SoleDistributionAgreement獨(dú)家經(jīng)銷協(xié)議No:編號(hào)：1.ThisagreementisenteredonJune,2006,byandbetween,_Inc(AA),currentlylocated_AndInc，(BB)，currentlylocated_某公司（以下稱AA）位于_和中國(guó)公司（以下簡(jiǎn)稱BB）,地址電話聯(lián)系人于2006年月日簽署本合同。2.Definition定義2.1Item&ProductofSoleDistribution(theProduct)is獨(dú)家經(jīng)銷的產(chǎn)品（以下簡(jiǎn)稱產(chǎn)品）是2.2DistributionArea(theArea)includes,獨(dú)家經(jīng)銷的區(qū)域（以下簡(jiǎn)稱經(jīng)銷區(qū)域）是（國(guó)家或地區(qū)名稱）2.3DurationoftheAgreementisfrom(date)to(date).本協(xié)議的期限從（日期）到（日期）止。3.BothpartiesagreethatAAmayselltheProductintheAreaastheSoleDistributorofBB.BBpromisesthatBBneithercansell,norcanallowanythirdpartytoselltheProducttotheAreabesideAA.雙方同意，AA可以在經(jīng)銷區(qū)域以BB公司的獨(dú)家經(jīng)銷商銷售產(chǎn)品。BB承諾BB不能自行銷售，也不能允許任何第三方銷售產(chǎn)品給經(jīng)銷區(qū)域內(nèi)的客戶。4.Orders訂單4.1AAplacesorderstoBBtopurchase.TheordersshallincorporatethisAgreementautomatically.AA給BB下訂單采購(gòu)產(chǎn)品。訂單自動(dòng)合并本協(xié)議的內(nèi)容。4.2AAwilllistthequantity,deliverytimeandotherinformationintheordersforeachpurchase.AA在訂單中寫明定購(gòu)數(shù)量，交貨時(shí)間以及其他信息，以便采購(gòu)。4.3BBshallsignbackAAsordersifBBaccepts.However,ifBBfailstodosobutBBstartperformingtheorder,theorderisdeemedtobeacceptedbyBB.BB如果接受訂單，應(yīng)當(dāng)在AA的訂單上簽署并發(fā)回。但是，如果BB不簽回，卻已經(jīng)開始執(zhí)行訂單的內(nèi)容，此訂單視為BB已經(jīng)接受。5.QuantityofSoleDistribution獨(dú)家經(jīng)銷數(shù)量5.1Minimumquantity.AAshallpurchasefromBBpcsinminimumperyear.最低數(shù)量。AA應(yīng)當(dāng)在一年內(nèi)至少向BB采購(gòu)只。5.2IfAApurchasesoverpcsperyear,BBagreestoawardAAbyreturningUSD,or%ofAAspurchaseamountincash,orsamevalueoftheProducttoencourage.如果AA一年內(nèi)采購(gòu)數(shù)量超過(guò)只，BB同意獎(jiǎng)勵(lì)A(yù)A。獎(jiǎng)勵(lì)方式有返還美金的現(xiàn)金，或AA采購(gòu)總金額的的現(xiàn)金，或者相同價(jià)值的產(chǎn)品，以資鼓勵(lì)。6.PriceandPayment價(jià)格和付款6.1ThepriceoftheProductisUSD/pc,FOBShanghai.Thepackageisstandardexportpackage.產(chǎn)品的價(jià)格是每只美金，F(xiàn)OB上海。包裝是標(biāo)準(zhǔn)出口包裝。6.2AAwillpaybyTTwithindaysafterAAreceivetheProductdeliveredbyBB.在收到BB交付的貨物后天內(nèi)AA通過(guò)電匯付款。6.3BBshallpostthefullsetofdocumentsincludingB/L,invoice,packinglist,etc.,toAAassoonaspossibleaftershipment.在交貨后，BB公司應(yīng)該盡快的將全套單據(jù)包括提單，發(fā)票和裝箱單等寄給AA。7.Support支持7.1TosupportAAtodevelopthemarket,BBagreestoprovidesamplesonitsowncosttoAAduringtheAgreementtimeperiod.為了支持AA開拓市場(chǎng)，在本協(xié)議期限內(nèi)，BB同意自己承擔(dān)費(fèi)用為AA提供樣品。7.2BBagreestoreimbursethecostandexpensesofadvertisementspentbyAAtopromotesalesoftheProduct.BB同意，AA為了促進(jìn)產(chǎn)品的銷售而支出的廣告費(fèi)用由BB公司報(bào)銷。7.3Other其他8.Inspectionofthegoods貨物檢驗(yàn)8.1Pre-shipmentinspection.BBshallinformAAofthereadinessforinspectionbeforeshipment.AAmaysenditsrepresentativetoinspectthegoodsbysampling.BBcannotshipifthegoodsfailtopassthepre-shipmentinspection.Ontheotherhand,however,thesatisfiedpre-shipmentinspectionreportisthePrimaFacieevidenceofthequalityofthegoods.ThegoodswillfinallybeinspectedbyAAscustomer,whoseinspectionreportisthefinalevidenceofthequalitywhichcannotbechallenged.裝船前檢驗(yàn)。BB應(yīng)當(dāng)通知AA貨物已經(jīng)備妥，可以檢驗(yàn)。AA可以派代表前往以抽樣方式做裝船前檢驗(yàn)。如果貨物沒(méi)通過(guò)裝船前檢驗(yàn)，BB不得出貨。不過(guò)另一方面，合格的裝船前檢驗(yàn)報(bào)告是貨物質(zhì)量合格的初步證據(jù)。貨物將最終由AA的客戶檢驗(yàn)，他的檢驗(yàn)報(bào)告是貨物質(zhì)量最終的證據(jù)，不得抗辯。8.2AAshallrequireitscustomerstoinspectthegoodswithin6monthsaftershipment.Innocircumstancescananyoneallegethequalityofthegoodstobeinferiorafteroneyearsincetheshipment.AA應(yīng)當(dāng)要求他的客戶在發(fā)貨后6個(gè)月內(nèi)檢驗(yàn)貨物。發(fā)貨后一年以后，任何人不得以任何理由提出貨物質(zhì)量異議。8.3Defectivegoods瑕疵貨物BBshallreplacethedefectivegoodsinthetimeAArequires.Thedefectivegoodscanbedestroyed,orshippedback,orrepairedbyAAoritscustomers,atBBsoptionandcost.BB應(yīng)當(dāng)在AA規(guī)定的時(shí)間內(nèi)補(bǔ)貨，代替瑕疵貨物。瑕疵貨物根據(jù)BB的選擇并由BB承擔(dān)費(fèi)用，可以由AA或他的客戶就地銷毀，或運(yùn)回，或修理。9.Liabilityofbreachofthisagreement違約責(zé)任9.1BBshallcompensateAAUSDifBBselltheProducttheanythirdparty,orallowanythirdpartytosell,tothecustomersintheArea.BB如果自行或允許他人銷售產(chǎn)品給經(jīng)銷區(qū)域內(nèi)的客戶，BB應(yīng)當(dāng)向AA支付美元的違約金。9.2BBmayrescindtheAgreementifAAfailstoreachtheminimumannualpurchasequantitywithoutanycompensation.BBshallbuybackorallowAAtoselltheremainingstockofthegoodsofAAaftertheterminationofthisAgreement,neverthelesswhatisthereasonofthetermination.如果AA沒(méi)有達(dá)到最低年采購(gòu)量，BB可以解除本協(xié)議，并且沒(méi)有任何賠償。在合同終止后，BB應(yīng)當(dāng)買回或者允許AA銷售剩余的庫(kù)存，不管合同終止的原因是什么。10.EntireAgreement完整協(xié)議Thisagreementshallconstitutetheentireagreementbetweenthepartiesheretoandsupersedesallprioragreementsorproposal,writtenandoral,relatingtothesubjectmatterhereof,betweenthepartiestothisAgreement.本協(xié)議應(yīng)該構(gòu)成雙方之間合作的整體協(xié)議，并取代此前雙方有關(guān)本合同事項(xiàng)所做的協(xié)議、建議書（不管書面的還是口頭的）。11.Miscellaneous雜項(xiàng)a)TheagreementshallbewritteninEnglishandinChinese.Bothlanguageversionsareequallyauthentic.Intheeventofanydiscrepancybetweenthetwoaforementionedversions,theChineseversionshallprevail.本協(xié)議用中英文書寫，同等效力。如果兩個(gè)版本出現(xiàn)不符，以中文版本為準(zhǔn)。b)NoprovisionsofthisAgreementmaybemodified,waivedoramendedexceptwiththewrittenconsentofbothparities.本合同的條款，除非獲得合同雙方書面同意，不得予以改正、廢棄或修改。c)ThisAgreementshallcomeintoeffectafterbothpartiessignedtheagreement.Thisagreementshallbeeffectivetillitbefullyexecuted.本合同自雙方簽字之日起生效。合同期限直到合同履行完畢為止d)ThegoverninglawofthisagreementisChineselaw.本合同的準(zhǔn)據(jù)法是中國(guó)法。e)AllthedisputesinrelatedtothisAgreementshallbesubmittedtoCIETACShanghaiforarbitration.Thearbitrationawardisfinalandboundtwoparties.本協(xié)議所有的爭(zhēng)議均提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)上海分會(huì)進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有
