1、沃爾瑪購(gòu)物廣場(chǎng)_分店意向書(shū)LOI for Wal-Mart Supercenter_ Store標(biāo)準(zhǔn)版 /Standard意 向 書(shū)LETTER OF INTENT本意向書(shū)于二零零七年_月 _日由下列雙方簽訂:(1) 煙臺(tái)福山天府房地產(chǎn)開(kāi)發(fā)有限公司 ,一家根據(jù)中華人民共和國(guó) ( “中國(guó) ” ) 法律正式成立并有效存續(xù)的有限責(zé)任公司,其法定地址在中國(guó) 省 市 (“業(yè)主”) ;及(2) 沃爾瑪深國(guó)投百貨有限公司 ,一家依據(jù)中國(guó)法律正式成立并有效存續(xù)的有限責(zé)任公司,其法定地址在中國(guó)廣東省深圳市羅湖區(qū)洪湖路湖景花園一至三層 ( “沃爾瑪 ”)( 業(yè)主與沃爾瑪合稱(chēng)時(shí)為“雙方 ”)鑒于:(a) 沃爾瑪欲承
2、租業(yè)主位于中國(guó)山東省煙臺(tái)市福山區(qū)天府街北電新路東的富豪青年國(guó)際廣場(chǎng) ( “ 大廈” ) 地下一層及地上一層的部分面積的房屋 ( “房屋 ”);(b) 業(yè)主亦欲將房屋出租給沃爾瑪;(c) 沃爾瑪和業(yè)主愿按照本意向書(shū)列明的條款和條件,尋求雙方達(dá)成有關(guān)房屋的租賃協(xié)議的可能性。THISLETTEROFINTENTismade on_, 2007 by and between:1)Co., Ltd., a limited liability company established and existing under the laws ofthe People s Republic of China C
3、hina(”“), with its legal address at City, Province, China (hereinafter referred to as the“LANDLORD”); and2) Wal-Mart SZITIC Stores Co., Ltd. , a limited liability company established and existing under the laws of China, with its legal address at F/13 Lakeview Garden, Honghu Road, Luohu District She
4、nzhen Municipality, Guangdong Province, China (hereinafter referred to as WAL-MART“ ”)(LANDLORD and WAL-MART shall be collectively referred to as Parties”). “WHEREASa) WAL-MART wishes to lease from LANDLORD a portion of the areaon_(the Premises“") of the Building(the “ Building ”located) at _ C
5、ity,_ Province China;b) LANDLORD seeks to lease to WAL-MART the Premises;c) WAL-MART and LANDLORD seek to explore the possibility of entering into a lease agreement for the Premises pursuant to the terms and conditions specified herein.Both Parties hereby reach the intent as below and, based on such
6、 intent, shall further negotiate and discuss with regard to the lease of the Premises with a view to concluding a formal Premises Lease Agreement.1現(xiàn)雙方達(dá)成下列意向條款和條件并在此基礎(chǔ)上就有關(guān)房屋租賃事宜作進(jìn)一步協(xié)商和談判以期達(dá)成正式的房屋租賃協(xié)議。除本意向書(shū)另有約定外,本意向書(shū)僅列明雙方對(duì)意向中的房屋租賃協(xié)議條款和條件的初步意見(jiàn),并無(wú)法律約束力。本意向書(shū)和任何確定文件中敘述的條款和條件均須經(jīng)沃爾瑪百貨有限公司 ( 沃爾瑪總部 ) 房產(chǎn)委員會(huì)審閱并
7、得到其批準(zhǔn)。(1) 租賃協(xié)議雙方欲在下列條款和條件的基礎(chǔ)上,進(jìn)行有關(guān)房屋租賃協(xié)議的談判(“ 租賃協(xié)議 ”)。(a) 租用面積房屋內(nèi)沃爾瑪?shù)淖庥妹娣e約為_(kāi)平方米 (_m2)( “租用面積 ”) ,其中, _層的租用面積為 _平方米 (_m2) ,_層的租用面積為_(kāi)平方米 (_m2) ,_層的租用面積為 _平方米 (_m2 ) 。房屋的租金應(yīng)根據(jù)租用面積計(jì)算。租用面積平面圖參見(jiàn)附件一房屋總平面圖和各層平面圖。(b) 免租施工期業(yè)主同意,自進(jìn)場(chǎng)日( 如本意向書(shū)第(1) 條(e) 款所定義 ) 起至房屋內(nèi)沃爾瑪購(gòu)物廣場(chǎng)開(kāi)業(yè)之日的前一日止的期間,為業(yè)主授予沃爾瑪?shù)拿庾馐┕て?( “ 免租施工期 ”) 。
8、免租施沃爾瑪購(gòu)物廣場(chǎng)_分店意向書(shū)LOI for Wal-Mart Supercenter_ Store標(biāo)準(zhǔn)版 /StandardUnless otherwise provided in this Letter of Intent, this Letter of Intent sets forth only the preliminary views of both Parties towards the terms and conditions of the proposed Premises Lease Agreement and is legally non-binding. The te
9、rms and conditions outlined in this Letter of Intent and any definitive documents shall be subject to the review and final approval of the Real Estate Committee of Wal-Mart Stores Incorporation (home office of WAL-MART).(1)Lease AgreementThe Parties propose to proceed with negotiation of a Lease Agr
10、eement for the Premises based on the following terms and conditions (the Lease“ Agreement”).(a) Leased AreaThe overall area leased by WAL-MART within the Premises is about _square meters (_m2) ( “Leased Area” ), with _square meters (_m2) on the _, _ square meters (_m2) onthe _, _square meters (_m2)o
11、n the _.The Leased Area shallbe thebasis forcomputing the Rent for thePremises. The planof the Leased Area is referred to Exhibit I Site Plan and Floor Plan.(b) Rent-free Construction PeriodLANDLORDagrees to grant WAL-MARTaRent-free Construction Period from the Starting Date of Construction (defined
12、 in Section (1) Subsection (e) of this Letter of Intent) to thedate before the Grand Opening Day ofWal-MART s supercenter withinthe Premises (the“” During theRent-free Construction Period ).Rent-Free Construction Period, WAL-MARTincludingWAL- MART ssubsidiaries,suppliers,contractors,orsubcontractors
13、, will not be obligated to pay2工期內(nèi),包括沃爾瑪、沃爾瑪?shù)淖庸?、供貨商、工程總包和分包公司無(wú)須支付租金和/ 或任何管理費(fèi)以及其它根據(jù)中國(guó)法律法規(guī)中所規(guī)定的業(yè)主作為租賃標(biāo)的物所有人應(yīng)承擔(dān)的任何稅費(fèi)。(c) 租 期初始租期為十五 (15) 年,自免租施工期屆滿后的次日開(kāi)始計(jì)算。沃爾瑪可單方面酌情行使續(xù)約權(quán)五 (5) 次,每次續(xù)約期的最長(zhǎng)期限為五 (5) 年。(d) 租 金房屋的租金已包括租金、管理費(fèi)( 備注:管理費(fèi)為租用面積每月每平方米人民幣_(tái) 元2RMB_/月 /m ) 、空調(diào)系統(tǒng)及其它設(shè)施使用費(fèi)以及依照中國(guó)法律應(yīng)由業(yè)主承擔(dān)的房屋所涉及的任何其它費(fèi)用和支出。沃爾
14、瑪租用面積內(nèi)的水費(fèi) ( 包括空調(diào)用水 ) 、電費(fèi) ( 包括空調(diào)用電 ) 、燃?xì)赓M(fèi)、暖氣費(fèi),按沃爾瑪實(shí)際用量,單獨(dú)計(jì)量,由沃爾瑪自行向相關(guān)公用設(shè)施服務(wù)部門(mén)繳納。一個(gè)租約年系指連續(xù)十二 (12) 個(gè)月的租賃期間。免租施工期屆滿后的次日為第一 (1) 個(gè)租約年和租期的開(kāi)始日。初始租期內(nèi)房屋的租金按如下標(biāo)準(zhǔn)計(jì)算:沃爾瑪購(gòu)物廣場(chǎng)_分店意向書(shū)LOI for Wal-Mart Supercenter_ Store標(biāo)準(zhǔn)版 /Standardany Rent and/or any management fee and/or any taxation and/or fee owed to LANDLORD as
15、the owner of the Leasehold Property in accordance with the relevant PRC laws, regulations.(c) TermThe Initial Lease Term shall be Fifteen (15) years beginning on next day following end of Rent-free Construction Period. WAL-MART shall be granted the option, exercisable at its sole discretion, to rene
16、w the lease term for Five(5) consecutive periods of up to Five (5) years each.(d) RentThe Rent for the Premises includes rental, management fees (Note: management fee for the Leased Area shall be RMB _ Yuan per square meter per month RMB_/month /m2), charges for use of air-conditioning system and ot
17、her utilities, and any other costs and expenses related to the Premises that shall be borne by the LANDLORD under the laws of China.Charges for water (including water for A/C), electricity (including electricity for A/C), gas and heat consumed by WAL-MART within the Leased Area shall be separately c
18、alculated and directly paid to relevant utility service suppliers by WAL-MART upon its actual consumption.A Lease Year shall mean a consecutive Twelve (12)-month lease period. The day following the end of Rent-free Construction Period shall be the date of commencement for Lease Year One and the Leas

20、 個(gè)租約年的租金為每2月每平方米人民幣 _(RMB_/m/month).自第 _() 個(gè)租約年起,初始租期內(nèi)的租金在上一個(gè)租約年的基礎(chǔ)上每 _() 年遞增百分之 _ (_%) 。初始租期屆滿后,若沃爾瑪決定續(xù)約,則自第() 個(gè)租約年起,續(xù)約期內(nèi)的租金在上一個(gè)租約年的基礎(chǔ)上每 () 年遞增百分之 (%) 。(e) 進(jìn)場(chǎng)日在符合下列條件的前提下且沃爾瑪可以進(jìn)場(chǎng)施工的日期為 “進(jìn)場(chǎng)日 ”(“進(jìn)場(chǎng)日 ”):(i)市城市商業(yè)規(guī)劃已獲得中國(guó)商務(wù)部的批準(zhǔn);(ii) 沃爾瑪在房屋內(nèi)開(kāi)設(shè)沃爾瑪購(gòu)物廣場(chǎng)符合前述中國(guó)商務(wù)部批準(zhǔn)的市城市商業(yè)規(guī)劃; (iii) 市商務(wù)主管部門(mén)舉行的有關(guān)沃爾瑪在房屋內(nèi)開(kāi)設(shè)沃爾瑪購(gòu)物廣場(chǎng)的
21、聽(tīng)證已完成,且聽(tīng)證結(jié)果是同意沃爾瑪在房屋內(nèi)開(kāi)設(shè)沃爾瑪購(gòu)物廣場(chǎng) (若適用 ) ; (iv) 業(yè)主已完成租賃協(xié)議附件中所約定的沃爾瑪進(jìn)場(chǎng)施工條沃爾瑪購(gòu)物廣場(chǎng)_分店意向書(shū)LOI for Wal-Mart Supercenter_ Store標(biāo)準(zhǔn)版 /StandardLease Year_ through Lease Year_: RMB Yuan per square meter per month (RMB_/m2/ month);Lease Year through Lease Year : RMB _Yuan per square meter per month (RMB_/m2/ month
22、);From Lease Year, the Rent in the Initial Lease Term shall increase _ percent (%) every () year on the basis of the Rent for the preceding Lease Year.In the event that WAL-MART decides to renew the Lease Agreement upon expiration of the Initial Lease Term, from Lease Year (), the Rent in the Extens
23、ion Period shall increase percent(%) every _ () year on the basis of the Rent for the preceding Lease Year.(e) Starting Date of ConstructionThe “ Starting Date of Construction is the date” on which the following conditions are satisfied and WAL-MART may enter the Premises for construction (the “Star
24、ting Date of Construction. ” ): (i) the city commercialplanning of City has been approved by the Ministry of Commerce of China (the “M OC ”);(ii) WAL-MART s opening of Supercenter within the Premises is in conformity with theaforesaid city commercial planning of City approved by MOC; (iii) WAL-MART
25、is granted to open its Supercenter within the Premises (if applicable) during a completed hearing process which is held by the commercial authority of City for examining WAL-MART s opening itsSupercenterwithinthePremise; (iv)theconditionsbeforeWAL-MART s startingconstructionset forthinExhibit of the
26、 LeaseAgreement are satisfied by LANDLORD;and,(v) WAL-MART has inspected and accepted the conditions before WAL-MART s starting construction according to Exhibit of the Lease Agreement.4件;和, (v) 沃爾瑪根據(jù)租賃協(xié)議附件對(duì)沃爾瑪進(jìn)場(chǎng)施工條件驗(yàn)收合格。(f) 停車(chē)區(qū)業(yè)主應(yīng)在附件一所示位置向沃爾瑪提供最少() 個(gè)免費(fèi)汽車(chē)停車(chē)位,() 個(gè)免費(fèi)摩托車(chē)停車(chē)位,和 ()個(gè)免費(fèi)自行車(chē)停車(chē)位( 以上合稱(chēng)“停車(chē)區(qū) ” )
27、。在租期內(nèi),業(yè)主不得就其提供的停車(chē)區(qū)向沃爾瑪,沃爾瑪員工及沃爾瑪?shù)墓?yīng)商收取任何費(fèi)用。業(yè)主不得就其提供的摩托車(chē)和自行車(chē)停車(chē)位向沃爾瑪顧客收取任何費(fèi)用;及,沃爾瑪顧客可以在沃爾瑪購(gòu)物廣場(chǎng)的營(yíng)業(yè)時(shí)間內(nèi)免費(fèi)汽車(chē)停車(chē)一百二十(120) 分鐘。若停車(chē)時(shí)間超過(guò)一百二十 (120)分鐘,或無(wú)有效小票停車(chē),則業(yè)主有權(quán)按 _ 市物價(jià)部門(mén)核準(zhǔn)的收費(fèi)標(biāo)準(zhǔn)向沃爾瑪顧客收取停車(chē)費(fèi)用。(g) 分租或轉(zhuǎn)租業(yè)主同意,經(jīng)書(shū)面通知業(yè)主,沃爾瑪有權(quán)隨時(shí)將部分或全部房屋分租或轉(zhuǎn)租給任何第三方。分租戶或受轉(zhuǎn)租人在遵守租賃協(xié)議約定的前提下可將房屋用于合法的經(jīng)營(yíng)用途。(h) 機(jī)密情報(bào)沃爾瑪無(wú)需向業(yè)主提供有關(guān)銷(xiāo)售或其它方面的機(jī)密情報(bào)或有關(guān)資
28、產(chǎn)方面的信息。沃爾瑪購(gòu)物廣場(chǎng)_分店意向書(shū)LOI for Wal-Mart Supercenter_ Store標(biāo)準(zhǔn)版 /Standard(f) Parking AreaLANDLORD shall provide a minimum of( )free car parking spaces,( )free motorcycleparking spaces, and() freebicycleparkingspaces forWAL-MART(collectivelyasthe“Parking Lot ”) in theplaceas specifiedinExhibit I.Duringthe
29、Term,WAL-MART,WAL-MARTs employees and WAL-MARTssuppliers shall not be leviedany feebytheLANDLORDfor usingof the Parking Area.WAL-MART customers shall not be chargedfor any fee for using the motorcycle and bicycle parking spaces within the Parking Lot; furthermore, WAL- MART s customers shall have th
30、e right to park car for One Hundred and Twenty (120) minutes free of charge during business hour of WAL- MARTs supercenter. If the parking time surpasses One Hundred and Twenty (120) minutes, or the customer can not present valid shopping receipt, LANDLORD shall have the right to charge the customer
31、s according to the standard approved by office price stabilization in _ City.(g) Sub-leasing or AssigningLANDLORD agrees that, upon written notification to LANDLORD, WAL-MART has the absolute right to sub-lease or assign any part or up to 100% of the Premises to any third party. The sub-lessee or as
32、signee can use the Premises for lawful purpose on the pre-condition of complying with the Lease Agreement.(h) Confidential InformationThere is no requirement for WAL-MART to provide sales information or other confidentialandproprietaryinformationtotheLANDLORD.(i) Competition Information5(i) 競(jìng)爭(zhēng)信息業(yè)主承諾
33、在房屋和大廈內(nèi)無(wú)其它與沃爾瑪購(gòu)物廣場(chǎng)、山姆會(huì)員商店或沃爾瑪社區(qū)店形式相同或相似的沃爾瑪?shù)闹苯踊蜷g接競(jìng)爭(zhēng)者。(j) 終止權(quán)自第 _() 個(gè)租約年起,沃爾瑪有權(quán)以任何理由提前 _() 個(gè)月以書(shū)面形式通知業(yè)主終止租賃協(xié)議,沃爾瑪無(wú)需為此承擔(dān)任何責(zé)任。如自租賃協(xié)議簽訂之日起十 (10) 個(gè)月內(nèi),若沃爾瑪或其合資方無(wú)法從 _市工商行政管理局取得在該房屋內(nèi)從事經(jīng)營(yíng)活動(dòng)的營(yíng)業(yè)執(zhí)照,沃爾瑪有權(quán)在書(shū)面通知業(yè)主后立即解除租賃協(xié)議而無(wú)需為此承擔(dān)任何責(zé)任。(k) 無(wú)持續(xù)運(yùn)營(yíng)沃爾瑪購(gòu)物廣場(chǎng)的義務(wù)雙方同意,在本意向書(shū)第 (1) 條(c) 款所述租期內(nèi),在沃爾瑪根據(jù)與業(yè)主日后簽訂的房屋租賃協(xié)議的條件和條款履行其支付租金的義
34、務(wù)的條件下,沃爾瑪沒(méi)有義務(wù)在房屋內(nèi)持續(xù)不斷地運(yùn)營(yíng)沃爾瑪購(gòu)物廣場(chǎng)。(l) 業(yè)主負(fù)責(zé)之工程項(xiàng)目沃爾瑪購(gòu)物廣場(chǎng)的設(shè)計(jì)和建筑應(yīng)遵循沃爾瑪向業(yè)主提供的附件二中所定義的規(guī)格與要求。附件二規(guī)格與要求將明確規(guī)定雙方在有關(guān)大廈建設(shè)工程中的職責(zé)。沃爾瑪購(gòu)物廣場(chǎng)_分店意向書(shū)LOI for Wal-Mart Supercenter_ Store標(biāo)準(zhǔn)版 /StandardLANDLORD shall warrant that there shall be no other stores being identical or similar in the format to Wal-Mart supercenter, S
35、am s club or Wal-Mart neighborhood market, nor business operators being directly or indirectly in competition with the business of WAL-MART within the Premises and Building.(j) Right to TerminateFrom Lease Year _, WAL-MARTshall havethe right toterminatethe Lease Agreementwithoutanyliabilitiesfor any
36、 reason(s) upongiving_ () months prior writtennotice to theLANDLORD.In the event that WAL-MART and /or its joint venture partner fails to obtain the business license for its operation within the Premises from the Industrial and Commercial Bureau of_ City within Ten (10) months from the dateof execut
37、ion of the Lease Agreement, WAL-MART shall have the right to terminate the Lease Agreement immediately without any liability upon giving a written notice to the LANDLORD.(k) No obligation to continuously operate WAL-MART supercenterThe Parties agree that during the Term set forth in Section (1) Subs
38、ection (c) under this Letter of Intention, so long as WAL-MART pays its Rent in accordance with the terms and conditions of the Lease Agreement executed by the Parties in the future, WAL-MART shall not have the obligation to continuously operate WAL-MART supercenter in the Premises.(l) Works by LAND
39、LORDThe Design and Construction of WAL- MART s supercenter shall follow the Requirements and Specifications as defined in Exhibit II provided to the LANDLORD by WAL-MART. The6(m) 沃爾瑪進(jìn)場(chǎng)裝修條件業(yè)主應(yīng)在租賃協(xié)議規(guī)定的房屋進(jìn)場(chǎng)日或之前完成附件三中所列的沃爾瑪進(jìn)場(chǎng)裝修條件。(2) 條 件本意向書(shū)第 (1) 條所定條款的完成必須具備以下的條件: (i) 業(yè)主需在本意向書(shū)簽署之日或之前提供業(yè)主為房屋所涉用地的土地使用權(quán)人且
40、房屋所涉用地可作商業(yè)用途的國(guó)有土地使用證; (ii) 業(yè)主提供其有權(quán)出租房屋、大樓、用地及改進(jìn)措施的證明; (iii) 雙方已簽署有效完成本交易的全部必要的文件; (iv) 沃爾瑪百貨有限公司房地產(chǎn)委員會(huì)已審核和批準(zhǔn)本項(xiàng)交易;和 (v) 其它行政規(guī)章規(guī)定的和政府的許可。(3) 其它條款及條件本意向書(shū)中列明的僅是本項(xiàng)交易的主要條款和條件,但未盡全部租賃協(xié)議條款。租賃協(xié)議將會(huì)對(duì)條款和條件做更詳細(xì)的規(guī)定。其余租賃協(xié)議的條款及條件將由雙方經(jīng)進(jìn)一步協(xié)商決定。(4)保密在本意向書(shū)有效期間以及本意向書(shū)期滿或終沃爾瑪購(gòu)物廣場(chǎng)_分店意向書(shū)LOI for Wal-Mart Supercenter_ Store標(biāo)準(zhǔn)
41、版 /StandardRequirements and Specifications in Exhibit II will clearly specify the responsibilities of both Parties for the construction of the Building.(m) Handover StatusThe LANDLORD shall complete all the work set forth in Exhibit III as suitable for WAL-MART to conduct renovation on or before the
42、 Handover Day of the Premises set in the Lease Agreement.(2) ConditionsThe closing of any contemplated transaction in Section (1) under this Letter of Intent will be contingent upon: (i) LANDLORD providing the Certificate for State-owned Land Use Right for WAL- MART s intended commercial use and LAN
43、DLORD is the land use right holder for the land occupied by the Premises on or before the execution date of this Letter of Intent; (ii) LANDLORD providing evidence of its legal right to lease the Premises, Land and improvements; (iii) execution by both Parties of all necessary documents to effective
44、ly close the transaction; (iv) review and approval of the proposed transaction by the Real Estate Committee of Wal-Mart Stores, Inc.; and (v) any other regulatory or other governmental approvals.(3)Other Terms and ConditionsThe above terms and conditions of this Letter of Intent are the major terms
45、and conditions of this transaction and are not exhaustive. Terms and conditions will be set forth in greater detail in the Lease Agreement. The remaining terms and conditions of the Lease Agreement shall be determined through further discussions between the Parties.7止后的五 (5) 年內(nèi),除非中國(guó)政府主管部門(mén)和/ 或有管轄權(quán)的法院
46、要求,否則,沃爾瑪和業(yè)主在任何情況下均不得未經(jīng)對(duì)方事先書(shū)面同意而將與雙方本房屋租賃項(xiàng)目有關(guān)而直接或間接獲得的對(duì)方的保密信息 ( 定義如下 )泄漏或披露給任何第三方,亦不得未經(jīng)對(duì)方事先書(shū)面同意而為本房屋租賃項(xiàng)目以外的目的使用該等保密信息,但雙方均有權(quán)向其因工作職責(zé)需要而需知悉保密信息的雇員、高級(jí)職員、董事、代理和 / 或顧問(wèn)披露保密信息;雙方亦有權(quán)因與本意向書(shū)有關(guān)的司法程序或按法律顧問(wèn)意見(jiàn)根據(jù)法律要求而披露相關(guān)保密信息;沃爾瑪有權(quán)向其關(guān)聯(lián)公司及其雇員、高級(jí)職員、董事、代理人和 / 或顧問(wèn) ( 不問(wèn)其所在地 ) 披露任何及全部保密信息。“保密信息 ”系指披露方因與本房屋租賃項(xiàng)目相關(guān)而向另一方直接或
47、間接披露的與披露方的業(yè)務(wù)、業(yè)務(wù)計(jì)劃、業(yè)務(wù)戰(zhàn)略、銷(xiāo)售情況、營(yíng)運(yùn)情況、業(yè)務(wù)關(guān)系、財(cái)產(chǎn)、營(yíng)運(yùn)模式、現(xiàn)有產(chǎn)品或擬開(kāi)發(fā)產(chǎn)品有關(guān)的信息,而不論此信息是否由披露方制作。但是,“保密信息”不包括: (i) 另一方在披露方向其披露時(shí)已經(jīng)知曉的信息; (ii) 在披露方向另一方披露時(shí),已經(jīng)為公眾所知曉的信息;沃爾瑪購(gòu)物廣場(chǎng)_分店意向書(shū)LOI for Wal-Mart Supercenter_ Store標(biāo)準(zhǔn)版 /Standard(4)ConfidentialityExcept pursuant to an order of a governmental agency or a court, in both cas
