3、rty b)1 、乙方接受甲方委托，為甲方提供清算前代理記賬及清算期間代理記賬服務1. party b provides bookkeeping agency service before and in the period of liquidation of party a.(1) 根據(jù)甲方提供的清算期間現(xiàn)金流水賬和銀行流水賬清單以及原始票據(jù)、憑證，負責審核并制作會計記賬憑證、設置會計科目和賬簿，登記財務賬簿；( 1 ) check the cash daybook & bank statement as well as the original vouchers of th

4、e liquidation period provided by party a, and then make accounting vouchers, plan accounting subjects and accounting books, register accounting books;(2) 在甲方清算期間代理甲方稅務事項包括每月應納稅額的計算，代理填寫納稅申報表和稅務申報手續(xù)( 包括增值稅和企業(yè)所得稅、個人所得稅等) ；(3) 根據(jù)中國企業(yè)會計制度有關規(guī)定，編制清算期間中英文月度清算資產(chǎn)負債表和清算損益表。2. party b provides the following au

6、為甲方代理注銷下列政府頒發(fā)的證照3. cancel the following licenses issued by the government on behalf of party a(1 )工商營業(yè)執(zhí)照；business license (2 )稅務登記證；tax registration certificate( 3 )財政登記證；financial registration certificate(4 )統(tǒng)計證；statistical certificate( 5 )外匯登記證；foreign exchange registration certificate; ( 6 )海關登記證

8、ments of the last 7 years for party a 第三條 甲方的責任和義務article three: （ resposibility and obiligation of party a ）1 、甲方應當依照中國的有關法律法規(guī)，依法建立健全清算期間的公司內(nèi)部控制制度（如不相容工作崗位安排不同的人來擔當?shù)龋?；設置持證上崗的出納員工作崗位。2 、甲方應在經(jīng)營期末（201* 年 * 月 * 日）清點甲方的全部資產(chǎn)，提供清理后的全部資 產(chǎn)明細清單。5. party a should check all of its assets at the end of operatio

16、的提供及保管article five: (provision of material, data, documentation & storage)1 、甲方應將委托業(yè)務所需要的當月資料于下月5 日前及時、完整地提供給乙方，并且將委托業(yè)務實施中所需要的信息告知乙方。(1) party a should provide all the necessary materials for the current month to party b by the 5th day of the following month, and also should provide to party

17、 b all the necessary information, needed for the service implementation.2 、乙方應謹慎保管甲方提供的資料，且不得將資料用于本合約的委托業(yè)務以外的任何目的。除本合約的委托業(yè)務以外，乙方不得將甲方提供的資料進行復印、編輯等。2 party b should prudently maintain and supervise the materials provided by party b, and may not use these materials in other purpose except for the outs

18、ourcing service in this contract. except the service stipulated upon, party b should not duplicate, copy or edit the materials provided by party a.第六條 保密責任article 6: : (confidentiality)甲乙雙方對本合約以及基于本合約的委托業(yè)務執(zhí)行中知曉的雙方技術、營業(yè)、以及個人信息等負有保密義務。在本合約有效期間內(nèi)，包括本合約終止后，凡是未得到對方許可，不得將其情報泄露給第三方。party a and party b are a

20、mation to third parties without permission.第七條 非常處理article 7: en: (abnormal deal) 發(fā)生妨礙委托業(yè)務執(zhí)行的事態(tài)時，應盡早與對方聯(lián)絡，由甲乙雙方協(xié)力解決問題。when something obstructs either of the parties from the implement of consignment service, party aor party b should contact counterparty as soon as possible. and the problem should be

21、 solved through可編輯精選negotiation.第八條 不當處理以及損害賠償article 8: ht: (misconduct & indemnity)乙方將處理結果聯(lián)絡甲方后，若發(fā)現(xiàn)由于乙方處理不當而引起的問題，乙方應在甲乙雙方協(xié)議決定的日期內(nèi)無償?shù)剡M行修改。after party b informs party a of the settlement result, party b should modify the misconduct with no additional charge within the period mutually agreed

22、 through the negotiation between two parties if it is the party b's fault to lead to the misconduct.除上述情況外，由于一方責任使對方遭受重大損失的，應在實際損失范圍內(nèi)向對方提由賠償要求。若損失金額超過本合約的業(yè)務委托費用的范圍，由甲乙雙方協(xié)議決定賠償金額。第九條不可抗力article night: (force majeure)因為天災人禍、戰(zhàn)爭、暴動、內(nèi)亂、罷工、紛爭以及其他不可抗力，造成本合約的全部或者部分內(nèi)容履行延誤或者不能履行時，甲乙雙方都不負任何責任。due to vis ma

23、jor, war, insurrection, civil strife, strike, dissention and other force majeure, one party delays implement or can not fulfill all or part of the contract stipulations, so both parties are free from any responsibility.第十條解約article ten: (cancellation)甲方或乙方在本合約實行期間，如要解除合約，應提前 2個月通知對方。if either of the party is willing to break this contract in the implement duration, it should give a twomonth notice to the counterpa
