1、三方合同Triangular Contract本合同議于年 M 日在(地點(diǎn))由有關(guān)三方在平等互利根底上達(dá)成,按三方同意的以下條件開展業(yè)務(wù)關(guān)系：This contract is made and entered into by and between the three parties concerned on(Date) in(Place) on the basis of equality and mutual benefit to develop business on terms and conditions mutually agreed upon as follows:1. 合同三方1

Appointment甲方為乙方在某地建立XX產(chǎn)線提供相關(guān)的技術(shù)支持、文件支持.乙 方承諾從甲方處以散件形式采購 xx,甲方將XX以散件形式發(fā)給丙方,丙 方收到后在某地按甲方或乙方的技術(shù)要求組裝成SKD形式產(chǎn)品發(fā)至乙方.Party A provides relevant technical support, documentation

3、support for Party B to set up a CKD XX product production line in place name. Party B should purchase XX product from Party A in CKD format. Party A should send the XX product to Party C in CKD format. Party C should assemble it accord to Parties A & B technical requirements and send it in SKD f

4、ormat to Party B.3.商品：XX3. Commodity:4. 數(shù)量：每年至少4萬臺4. Minimum Quantity per year : 40,000pcs /year5. 價格條款5. Price conditions考慮到競爭對手的價格,甲方必須保證給乙方最有競爭力價格. 每個產(chǎn)品的價格應(yīng)由甲乙雙方協(xié)商確定,甲方和乙方必須就每個季度 的采購方案達(dá)成一致,以防止價格波動.每當(dāng)原材料本錢總變動變動 +/- 3%時,所有產(chǎn)品的價格應(yīng)每季度協(xié)商一次.Part A must guarantee the best price to the part B, considering

5、 the Competitors ' prices.The price for each product shall be fixed through negotiations between Party B and Party A, the parties A and B must agree on a purchase plan for each quarter in order to avoid prices variation.Prices of all products should be negotiated every quarter whenever the total

6、 variation of raw materials cost change +/- 3%.6. 免費(fèi)易損配件比例6. Free easy broken spare parts ratio前三個訂單2%,第四個訂單開始1%免費(fèi)易損配件清單參照附 錄件1.2% of the order quantity from starting and it will reduce to 1% from the 4th order. The free easy broken spare parts list refer to Appendix 1.7. 額外收費(fèi)配件比例7. Extra chargeable

7、 parts ratio訂單數(shù)量的1%.甲方以貸記單形式先發(fā)出這些配件,甲乙丙三方每半年回憶結(jié)算貸記單的數(shù)量和金額.額外收費(fèi)配件清單參照附錄件2.1% of the order quantity. Party A shall send out 1% extra chargeable parts against a credit note. Party A, B and C will review and clearing the quantity and the amount of credit note in every half year. Extra chargeable parts r

Special condition乙方和丙方可以要求生產(chǎn)產(chǎn)品的任何配件以滿足其政府的要 求.Party B and C Can request to make production of any part of the product in case to apply the requirements of their government.9. 付款方式9. Liability for breach of contract乙方或丙方在合同有效期間有以下行為視為違約：1) 向合同以外的第四方透露甲方提供的任意文件信息或技術(shù)信息；2) 未能按本合同要求完成條款 4中規(guī)定的數(shù)量；Party B or Party C shall be regarded as a breach of contract during the period when the

10、 contract is valid:1) Disclose any documentary or technical information provided by Party A to a fourth party other than the contract;2) Failure to complete the quantity specified in Clause 4 as required by this contract;11.合同有效期11. Validity of Contract本合同經(jīng)有關(guān)三方如期簽署后生效,有效期為1年,從年 M 日至年 M 日.除非作出相反通知,本合

11、同期滿后將延長 月.This contract, when duly signed by the three parties concerned, shall remain effect for _ months from (date) to _ (date), and it shall be extended for another months uponexpiration unless notice in writing is given to the contrary.12. 保證條款,質(zhì)量和接受貨物程序12. Warranty terms, Quality and procedure

12、 for acceptance of goods貨物的質(zhì)量必須符合乙方和甲方批準(zhǔn)的貨物技術(shù)文件和要求,并 且具有可銷售的質(zhì)量,沒有缺陷并且適用于原有目的.The quality of the Goods must comply with the technical documentation and requirements for the Goods, approved by Party B and the Party A, and else be of merchantable quality, free from defects and suitable for the purpose

13、for which they are intended to.交付的貨物應(yīng)受到定量限制.當(dāng)實(shí)際訂單數(shù)量與合同數(shù)量有差異 時,甲方應(yīng)在出貨前通知乙方,經(jīng)雙方協(xié)商同意方可發(fā)貨.當(dāng)甲方聲 明的數(shù)量與乙方接受的數(shù)量之間的差異應(yīng)在丙方收貨之日起十(10)個工作日內(nèi)向甲方披露,乙方可以拒絕接受貨物剩余局部.The delivered Goods shall be subject to quantitative control. When there is a difference between the actual order quantity and the contract quantity, Pa

14、rty A should notify Party B before shipping, and the goods can be shipped only after mutual agreement. The difference between the quantity stated by Party A and the quantity accepted by Party B shall be disclosed to Party A within ten (10) working days after Party C receives the goods, and Party B m

15、ay refuse to accept the rest of the goods.甲方交付的貨物應(yīng)受到質(zhì)量限制.如果交付的貨物不符合批準(zhǔn)的 要求或由于質(zhì)量原因遭到拒收,質(zhì)量原因經(jīng)由甲乙雙方參照前期雙方 確認(rèn)的貨物質(zhì)量標(biāo)準(zhǔn)來鑒定,鑒定為不合格的,乙方可選擇更換貨物 或?qū)⒇浳锿嘶亟o甲方,更換有缺陷貨物(包括運(yùn)輸和海關(guān)費(fèi)用)所產(chǎn)生的所有費(fèi)用均由甲方承當(dāng).除了隱藏缺陷和不合格情況外,交付的貨物在到貨時應(yīng)被視為可用.因此,最初被接受的材料后來都被證實(shí) 是有缺陷的情況下,乙方有權(quán)發(fā)回,得到更換和換回對應(yīng)的貨款.The delivered Goods shall be subject to qualita

16、tive control. In case the delivered goods do not meet the approved requirements or are rejected due to quality reasons, quality reasons are identified by both Party A and Party B with reference to the goods quality standards previously confirmed by both parties. If they are identified as unqualified

17、, Party B may choose to replace the goods or return the goods to the Party A. All costs incurred in replacing defective goods (including transportation and customs fees) shall be borne by Party A. The delivered Goods shall be considered usable at the arrival except for the cases of hidden defects an

18、d non-conformity. Therefore, Party B shall have the right to dispatch back, obtaining the replacement or the crediting of money.如果質(zhì)量與乙方批準(zhǔn)的樣品和乙方圖紙中所示的商品規(guī)格有任何 偏差(甲方公差允許范圍內(nèi)的貨物除外),乙方和丙方有權(quán)拒絕交付的 貨物.In case there is any deviation between the quality and the product specifications shown in Party B's dra

19、wings and the product specifications shown in Party B's drawings (except for goods within the party A's tolerance range), Party B and Party C has the right to reject the delivered goods.13.合同的終止13. Termination在本合同有效期內(nèi),如果一方被發(fā)現(xiàn)違背合同條款,另一方有權(quán)終 止合同.在本合同有效期內(nèi),如果一方要解除合同,一方想解散合同,應(yīng)至 少提前3個月書面通知,以尊重所有確認(rèn)的

20、采購方案和已開具的訂單.During the validity of this contract if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this contract.During the validity period of this contract, if one party wants to dissolution of the contract, one party who want

21、s to dissolution of the contract shall submit a written notice at least 3 months in advance a condition to respect all the confirmed purchase plan and opened orders.14. 不可抗力14. Force Majeure由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或合同一方無法預(yù)見、限制、 防止和克服的其他事件導(dǎo)致不能或暫時不能全部或局部履行本合同,該 方不負(fù)責(zé)任.但是,受不可抗力事件影響的一方須盡快將發(fā)生的事件通 知另一方,并在不可抗力事件發(fā)生1

22、5天內(nèi)將有關(guān)機(jī)構(gòu)出具的不可抗力事 件的證實(shí)寄交對方.Either party shall not be responsible for failure or delay to perform all or any part of this contract due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relevant party.However, the party aff

23、ected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter shall send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.15 .爭議解決15. Dispute Resolution因凡因本合同引起的或與本合

24、同有關(guān)的任何爭議,三方應(yīng)首先嘗 試友好協(xié)商解決.如果一方向另一方發(fā)出協(xié)商通知之日起三十日內(nèi),爭 議仍未得到解決,那么應(yīng)將爭議提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會深圳分 會,根據(jù)申請仲裁時該會實(shí)施的仲裁規(guī)那么進(jìn)行仲裁.仲裁裁決是終局的,對雙方均有約束力.Any dispute arising from or in connection with this contract shall first be attempted to be resolved through discussions and consultations between the Parties in good faith. If the dispute remains unresolved upon expiration of 30 days after written notice has been sent by one Party to the other Party, the dispute shall be submitted to China International Economic and Trade Arbitration Commission, Shenzhen S
