If the Certificate issued by CIQ at the discharging port cannot be forwa

When Fe above 11%, buyer can reject

22、 the goods or ren egotiate the price.10.3.磷的含量超過0.10%時，其含量每超過 收或價格另議。0.01%基礎價減USD2其含量超過 0.15%時拒10.3 The base price shall be decreased by USD 2 as per Clause 2 for each 0.01% P per DMT incase of P above 0.10%, fractions pro-rata. When P above0.15%, buyer can reject thegoods or ren egotiate the price.

23、10.4. 硫的含量超過0.10%時，其含量每超過0.01%基礎價減USD1.5,其含量超過0.15%時拒收或價格另議。10.4. 26、D 2.7as per Clause 2 for each 1% H2O per MT incase of H2O above 8.0%, fractio ns pro-rata. When H2O above 12 %, buyer can reject the goods or ren egotiate the price.11.品質檢測：11. The determ in ati on of quality11.1. 賣方在裝運時應提供裝運港CCIC或SGS檢驗機構出具的對所裝運貨物的檢測證明書。同時進行封樣，共 4份，以備復核。11.1 sellers shall supply the

27、 test reports issued by the CCIC or SGS whe n loadi ng the cargo.And seller shall seal the sample of four lots whe n in n eed for future test.11.2. 四份封樣中，買賣雙方各執(zhí)一份，一份由CCIC或SGS留存?zhèn)鋸?，一份由CCIC或SGS進 行檢測。檢測費用由賣方承擔。11.2. In the four lot of sample, buyer and seller shall each keep one lot; one lot shall be ke

28、pt by the CCIC or SGS and one lot shall be tested by the CCIC or SGS. The test fee shall be borne by the seller.11.3該CCIC或SGS勺檢測證明交2/3隨同賣方的商業(yè)發(fā)票，裝箱單等單據(jù)一同作為買方 在付款時的議價單據(jù)。同時賣方在貨物裝運后的7個工作日內，以書面形式將檢測證明書及商業(yè)發(fā)票的金額通知買方。11.3. The 2/3 of the CCIC or SGS test reports shall be accompanied with seller ' scomme

And seller must i nform buyer the test reports and the commercial in voice value seve n work ing days afterfini shi ng the loadi ng of the cargo.11.4買方在卸貨港對運抵貨物會同CIQ進行取樣檢測，檢測費由買方承擔。11.4. Buyer shall ask the CIQ in China to sampli ng and

30、testi ng the goods in the discharging port and the testing fee shall be borne by the buyer.11.5. CIQ對貨物樣品的品質成份及水份的檢測證明書將作為買方的最終付款依據(jù)。11.5 The quality and the moisture content show n on the CIQ test report will be the basis of the final payme nt.12. 在裝運港的所有稅費由賣方承擔。在卸貨港的所有稅費由買方承擔。12. Any taxes/dues on

31、cargo at load port for sellers acco unt.Any taxes/dues on cargo at discharge port for buyers acco unt.13. 法律與仲裁：13. ARBITRATION雙方簽訂合同后應嚴格遵守執(zhí)行。如有爭議，雙方應友好協(xié)商。如在15天內不能達成共識應依新加坡仲裁法進行裁決，仲裁地點為新加坡，仲裁委員的裁決為最終裁決，仲裁費用由敗訴方承擔。All disputes or differe nces whatsoever aris ing betwee n the parties out of or relat i

32、ng to the con structi on, meaning and operati on or effect of this con tract or the breach thereof shall be settledthrough frien dly n egotiati ons. In case no settleme nt can be reachedwith in 15 days, the disputes shall be submitted for arbitrati on to theArbitrati on inSin gapore as per ICC rules

33、 of Con ciliati on and arbitrati on (latest editi on) and the award made in pursua nee thereof shall be binding on the parties. The venue of arbitratio n proceedi ngs will be Sin gapore. The Decisi on of the Arbitrati on Commissi on shall be final and binding upon both parties n either party shall s

34、eek recourse to a law court or other authorities for revising the decision. The arbitration fee shall be borne by the los ing party.14. 違約：14. Breach of the con tract通過傳真或電子郵件掃描件簽章訂立本合同后，雙方應遵守此合同。合同傳真件或電 子郵件掃描件效力等同于原件。違約的一方應付合同總金額的2%勺罰金。After sig ning the con tract of this con tract by Fax or E-mail

35、, both parties shall perform this con tract. The legal effect of the agreeme nt made by fax or sca nned E-mail is thesame as the orig inal con tract.Any party who breach this con tract shall pay 2% totalvalue of this con tact to the other party.15. 延遲交貨及付款PENALTY FOR DELAYED DELIVERY如賣方在合同規(guī)定的裝運日期延遲5

36、天并沒有任何解釋，買方有權解除合同。除非賣方得到買方的書面確認，雙方就延遲交付時間達成一致，賣方可繼續(xù)履行合同。在未 經(jīng)買方書面同意的情況下，賣方未按時交付的貨物，將被處以未交付貨物價值0.5% (每天)的罰款，總罰款不得超過未交付貨物價值的2%Should the Seller fail to effect delivery on time within 5 days after the latest shipment time as stipulated in this con tract without any expla nati on, the buyer has the right

37、 to cancel this con tract. Only whe n the both parties make an agreeme nt on the delay of delivery in writ ing form, seller can continue to perform the con tract. Without the agreeme nt from buyer in writ ing form, the seller may postp one delivery to the buyer on payme nt of pen alty to the buyers.

38、 Pen alty shall be charged at the rate of 0.5 %( each day) of the total un delivered cargo value of every day. The pen alty shall not exceed 2% of the total value of goods in volved.16. 操作程序：16. Procedure16.1.買方確認錳礦石指標和價格及合同條款。16.1 buyers confirm the specificati on of the Mn ore, the price and con t

39、ract terms.16.2.買賣雙方簽署合同。16.2 seller and buyer sig n the con tract16.3. 賣方在3個工作日內開出錳礦石合同總金額的2%履約金。16.3 sellers ope ned 2% PB (performi ng bond) of the con tract Value to buyer within 3 working days after sig ning con tract.16.4. 買方收到賣方2%履約金后3個工作日內開出合同金額的100%的即期信用證。16.4. Buyer ope ns LC at sight cove

40、ri ng the 100% of the con tract value with in 3 work ingdays after buyer receives seller' s 2% PB (performing bond).16.5. 賣方收到信用證后20日內發(fā)貨。16.5. Seller delivery the cargo with in 20 days after receiv ing the LC 16.6買方按照信用證進行首付款的支付16.6 Buyers make the provisi onal payme nt accord ing to the LC.16.7

41、. 貨到買方指定港口后，中國商檢，屆時買賣雙方可以派人參與商檢。16.7. When the cargo reaches the discharging port indicted by the buyer, buyer shall apply for CIQ testi ng and both parties can join.16.8 CIQ結果有后，買賣雙方進行最終付款的結算。16.8 buyer and seller effect the final payme nt after CIQ test result come out.16.9.噸貨物交易結束。16.9 fini shed the bus in ess of the MT cargo.17.保密條款17. Con fide ntiality雙方需保密，并不使信息外露給第三方，在公共領域方面除外。Both parties shall obey the prin ciple of Con fide ntiality and not disclose to any third party except the public field.18. 不可抗力條款18. Force Majeure
