4、o ints the Party B as its Exclusive Purchas ing Agency in China, purchas ingthe goods as Part A refers. Olefi ns, Aromatics Hydroge nati on and Isomerisati on CatalystsGas Oil Desulfurizati on Catalyst(AGO+VGO ) , Light Naphtha HydrotreaterCatalyst.(Details as per Purchase Con tract)4. 雙方的職責(zé)： Duties

5、 of two parties:(1) 甲方所需的采購業(yè)務(wù)應(yīng)提交給乙方詳細的采購產(chǎn)品信息，比如材質(zhì)、尺寸、數(shù)量、品質(zhì)等具體要求。Party A shall provide all the information of the purchasing products to PartyB, such as material, size, qua ntity, quality and other con crete requireme nts.乙方向甲方提供采購產(chǎn)品客戶信息，代理信息，代理租船顧問業(yè)務(wù)等。負責(zé)落實甲方采購產(chǎn)品資源，渠道和談成供貨意向一并介紹給甲方。Party B shall prov

6、ide Party A customers' formatio n and age nt in formati on,con sulta ncy service on age nts charteri ng. Besides, he shall find and con firm the products resources and supply channel, then introduce these information totally to Party A.(2) 因甲方購買的產(chǎn)品涉及專利產(chǎn)權(quán)和產(chǎn)品生產(chǎn)者指定代理的情況，乙方負責(zé)促成甲方與產(chǎn)品生產(chǎn)者或產(chǎn)品生產(chǎn)者代理商之間簽署采

7、購協(xié)議，實現(xiàn)貿(mào)易，并負責(zé)為甲方對采購產(chǎn)品取樣 、驗貨、出貨等的環(huán)節(jié)進行服務(wù) 。Party B shall help and facilitate Party A sign the Purchasing Agreement with the suppliers or age nts, also should provide services in many aspects, such as sampli ng, in specti on, delivery and other matters.5. 貨款的支付方式 ：Payment of goods,甲方與產(chǎn)品生產(chǎn)者或產(chǎn)品生甲方購買的產(chǎn)品涉及專利

8、產(chǎn)權(quán)或產(chǎn)品生產(chǎn)者指定代理的情況產(chǎn)者代理商之間直接簽署采購協(xié)議，貨款支付方式由協(xié)議雙方協(xié)商達成一致。Party A will sign Purchasing Agreement directly with producers or its agents, and thepayment term of goods will be negotiated and agreed by Party A and the Seller.6傭金的計算、給付方式、給付時間：Commissi on calculati on, payme nt methods, payme nt time甲方同意按照采購產(chǎn)品總金額的

9、(1-5)%支付傭金給乙方，支付日期為付款給賣方的同一天傭金匯入乙方指定銀行賬戶。如甲方以預(yù)付款或分期付款的形式向賣方支付貨款，在甲方向賣方支付第一筆貨款的同時向乙方全額支付采購產(chǎn)品總金額的傭金。For the Purchas ing Age nt's services, the Party A shall pay the Party B the followi ng co mmissi on perce ntage:(1-5)% of Part B ' purchas ing aggregate amount of the in voice value ,simultaneo

10、usly within the same banking day as the party Amakes payment tothe Seller . Commission should be remitted to Party B ' designated bank account. If the Party A makes adva nee payme nts to the Seller orpayme nt by in stallme nts, he should pay thecommissi on to Party Bsimulta neously with the firs

11、t payme nt he made to the Seller.7. 違約責(zé)任：(1)甲方若不按本合同第6條的執(zhí)行，逾期一天應(yīng)支付乙方滯納金 ，滯納金系數(shù)為：總傭金的5 %o /天。Party A if not in this agreement and article 6, execution of expired day shall pay party B overdue fine, fine for delay ing payme nt coefficie nt for: the total commissi on 5%o / day.8. 協(xié)議的修改：Modification此協(xié)議書

12、只有經(jīng)雙方共同簽字后才能作修改，This Agreeme nt may not be modified except by ame ndme nt reduced to writ ing and sig ned by both Parties.9. 不可抗力：Force Majeure由于水災(zāi)、火災(zāi)、地震、干旱、戰(zhàn)爭或協(xié)議一方無法預(yù)見 、控制、避免和克服的其他事件 導(dǎo)致不能或暫時不能全部或部分履行本協(xié)議，該方不負責(zé)任。但是，受不可抗力事件影響的一方須盡快將發(fā)生的事件通知另一方，并在不可抗力事件發(fā)生 15天內(nèi)將有關(guān)機構(gòu)岀具的不可抗力事件的證明寄交對方。Either party shall not

13、 be held responsible for failure or delay to perform all or any partof this agreeme nt due to flood, fire, earthquake, draught, war or any other eve nts whichcould not be predicted, con trolled, avoided or overcome by the relative party. However, theparty affected by the eve nt of Force Majeure shal

14、l inform the other party of its occurre nee inwrit ing as soon as possible and thereafter send a certificate of the eve nt issued by the releva nt authorities to the other party with in 15 days after its occurre nee.10. 仲裁：Arbitration因履行本協(xié)議所發(fā)生的一切爭議應(yīng)通過友好協(xié)商解決。如協(xié)商不能解決爭議，則應(yīng)將爭議提交中國國際經(jīng)濟貿(mào)易仲裁委員會(北京)，依據(jù)其仲裁規(guī)則

15、進行仲裁 。仲裁裁決是終局的，對雙方都有約束力，仲裁費用，除另有規(guī)定外，由敗訴一方負擔(dān)。All disputes aris ing from the performa nee of this agreeme nt shall be settled throughfriendly negotiation. Should no settlement be reached through negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade

16、 Arbitration Commissi on (Beiji ng) and the rules of this Commissi on shall be applied. The award of the arbitration shall be final and binding upon both parties. Arbitration fees shall be borne by the losing party, unl ess otherwise awarded.11. 協(xié)議有效期：Validity of Agreement本協(xié)議經(jīng)有關(guān)雙方如期簽署后生效，有效期為 年，從201
