9、的技術(shù)、性能、規(guī)格和技 術(shù)要求。設(shè)備的質(zhì)量保證期為設(shè)備正常運(yùn)行后之日起的24 (二十四)個(gè)月。Guarantee of Quality:The seller guarantee that the commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects withthe quality, performanee andspecificati ons stipulated in this contrac

10、t and conforms to the tech nical man uals of the commodities con traded The Warranty Period lasts 24 (twenty-four) months commencing from the date of the normal running of the Equipment.3. 檢驗(yàn)及索賠：在交貨前，賣(mài)方應(yīng)出具關(guān)于質(zhì)量、規(guī)格、性能、數(shù)量或重量說(shuō)明書(shū)，證明貨物符合合同規(guī)定。此證明書(shū)形成向付款行議付的完整文件的部分，但不作為質(zhì)量、規(guī)格、性能以及數(shù)量或重量的最終結(jié)果。賣(mài)方開(kāi)出的檢測(cè)結(jié)果應(yīng)形成 質(zhì)量證明書(shū)

11、的一部分Inspection and Claim:The Seller shall, before making delivery, make a precise and comprehensive inspection of the goods as regards the quality, specification, performanee and quantity/weight and issue certificates, certifying that the goods are in conformitywith the stipulations of this Contract

The certificates shall form anintegral part of the documentation to be presented to the paying bank for negotiation butshall not beconsidered as final in respect of quality, specification,performanee and quantity/weight. Particulars andresults of the test carried out by the Seller must be shown in

13、 a statement, which has to be attached to the Quality Certificate 待貨物運(yùn)抵最終用戶(hù)現(xiàn)場(chǎng)后，買(mǎi)方應(yīng)會(huì)同國(guó)家進(jìn)出口商品檢驗(yàn)檢疫局代表和賣(mài)方代 表共同在現(xiàn)場(chǎng)對(duì)設(shè)備進(jìn)行開(kāi)箱檢驗(yàn),并由檢疫局開(kāi)具檢驗(yàn)證書(shū)。開(kāi)箱前1周，最終用戶(hù)需通知賣(mài)方參 加此項(xiàng)初檢。Upon the arrival of the goods at site of the End-user, the Buyer shall carry on site open package inspection of the goods with participation of re

14、presentatives from Chengdu Entry-Exit Inspection And Quarantine Bureau and a Survey Report shall be issued therefore End user shall inform Seller one week before the inspection to have the possibility to join this preliminary inspection.買(mǎi)方因貨物與合同不符合而向賣(mài)方提出的任何索賠要求須憑國(guó)家進(jìn)出口貨物檢驗(yàn) 檢疫局出具的商檢證書(shū)原件提出，不應(yīng)有延誤。通常認(rèn)為該索

15、賠應(yīng)在設(shè)備到貨后 六十日內(nèi)提出。Any claim by Buyer stati ng that the Equipme nt is not in compliance with this Con tract must be made toSeller without delay against original Inspection Certificate issued by Chengdu Entry-Exit Inspection and Quarantine Bureau , which normally deemed not exceeding sixty (60) days aft

16、er the arrival of the Equipment.(3)索賠的解決Settlement of claims如是賣(mài)方責(zé)任，買(mǎi)方提出索賠在合同附件2,3款規(guī)定的索賠期內(nèi)，賣(mài)方按以下方式解決：In case the sellers are liable for the discrepancies and a claim made by the Buyers within the period of claim or quality guarantee period as stipulated in Clause 2 and 3 of delivery terms of this con

The seller shall settle the arrangement Buyers in the following waysa. 同意買(mǎi)方退貨或退貨款給買(mǎi)方，并承擔(dān)買(mǎi)方直接損失和費(fèi)用，包括利息，銀行費(fèi)用，運(yùn)費(fèi)，保費(fèi)，商檢費(fèi)，倉(cāng) 租費(fèi)，裝卸費(fèi)和其他保管費(fèi)Agree to the reject!on of the goods and refund to the Buyers the value of the goods so rejected in the same currency as contracted herein, and to bear all direct

18、 losses and expenses in connection there with including in terest accrued, ban king charges, freight, insura nee premium ,in specti on charges, storage, charges and all other necessary expenses required for the custody and protection of the rejected goodsb. 根據(jù)貨物劣等程度，受損程度或損失總額，買(mǎi)方有權(quán)提出降價(jià)。間接損失除外。Devalue

21、ll claim shall be regarded as accepted if the Sellers fail to reply within 30 days after receipt of the Buyer's claim.4. 遲交貨如果賣(mài)方未能按合同規(guī)定的時(shí)間按期交貨（本合同第5款規(guī)定的不可抗力除外），在賣(mài)方同意支付核定損 失額的條件下，買(mǎi)方將同意延長(zhǎng)交貨期。核定損失額的支付將由付款銀行從議付款或從履約保證金中扣除。核 定損失額比率為每遲交7天，將罰貨物金額的0.5%,不滿(mǎn)7天的按7天計(jì)算，但是，核定損失額的支付不得超 過(guò)合同金額的5%o如果賣(mài)方在推遲10周仍不能交貨，

22、買(mǎi)方有權(quán)因賣(mài)方違約終止合同，而賣(mài)方仍有義務(wù)支付上 述遲交貨罰金?；谘悠诮回浀娜魏芜M(jìn)一步的權(quán)利或索賠不包括在內(nèi)。Late delivery and penaltyShould the seller fail to effect delivery within the time of shipment as stipulated in this contract （with exception of force majeure） , the seller shall pay pen alty due to late deliver y. The Buyer shall agree to post

23、p one the delivery on condition that the seller agree to pay penalty which will be ducted by the paying bank from the payment under negotiation. The penalty shall be calculated at a rate of 0.5% for every 7 days, less than 7 days shall be counted as 7 days However, the total amount of penalty shall

24、not exceed 5% of the total value of the commodities involved in late delivery. In case the sellers fail to make delivery ten weeks later than the time of shipment stipulated in this con tract, the buyer shall have the right to cancel the contract, and the seller still pay the pen alty as aforesaid t

25、o the Buyers without delay. Any further rights or claims based on a delayed delivery are excluded 賣(mài)方按照規(guī)定時(shí)間發(fā)貨是有條件的，這 是指：買(mǎi)方及 時(shí)履行了其如下的義務(wù)，包括交納可能有的預(yù)付款項(xiàng)、如約 開(kāi)設(shè)信用 證、且及時(shí)提供所 有可能需要的許可證及批文。如果上述條件未及時(shí)得到滿(mǎn)足，發(fā)貨期貝IJ應(yīng)相應(yīng)延長(zhǎng)。If delay is attributable to force majeure as stipulated in Clause 8, or to any other cause bey on

26、d the reas on able control of Seller, the delivery/performanee periods shall be extended correspondingly.如果延期歸咎于以下第5條規(guī)定的不可抗力，或其他賣(mài)方無(wú)法合理控制的原 因，發(fā)貨期應(yīng)相應(yīng)延長(zhǎng)。If delay is attributable to force majeure as stipulated in Clause 16, or to any other cause bey ond the reas on able control of Seller, the delivery/p

27、erformanee periods shall be extended corresponding!y.5、不可抗力：在履行合同的過(guò)程中，由于不可抗力如戰(zhàn)爭(zhēng)、火災(zāi)、洪水、臺(tái)風(fēng)及地震等因素或其它雙方認(rèn)可的因素造成賣(mài)方（或買(mǎi)方）不能履行合同，賣(mài)方（或買(mǎi)方）對(duì)此不負(fù)責(zé)任。賣(mài)方（或買(mǎi)方）應(yīng)在此后的14?天之內(nèi)立即 將上述情況通知對(duì)方，并將事故發(fā)生地政府主管機(jī)關(guān)出具的事故證明書(shū)用空郵寄交買(mǎi)方（或賣(mài)方）為證，并取得對(duì)方認(rèn)可。在上述情況下，賣(mài)方（或買(mǎi)方）仍有采取一切必要措施從速交貨的責(zé)任，如果事故持續(xù)10個(gè)星期以上，買(mǎi) 方（或賣(mài)方）有權(quán)取消本合同。Force Majeure :The Seller/the

28、 Buyer shall not be held responsible for being un able to carry out this con tract due to Force Majeur such as war, serious fire, flood. Typhoon and earthquakes or other events agreed upon by both parties, which might occur during the process of manufacturing or in the course of loading or transit.

29、The Seller / the Buyer shall advice the Buyer/Seller immediately of the occurrence mentioned above within fourteen days thereafter, the seller/the Buyer shall send by airmail to the Buyer/the Seller for their acceptanee a certificate of the accident issued by the Competent Government Authorities whe

30、re the accident occurs as evidenee thereof. Under such circumstances, the Seller/the buyer, however, is still under obligation to take all necessary measures to expedite/take the delivery of the goods in case the accident lasts for more than 10 weeks, the Buyer or theSeller shall have the right to c

31、an cel the contract.6、仲裁：一切因執(zhí)行本合同所發(fā)生或與本合同有關(guān)之爭(zhēng)執(zhí)，雙方應(yīng)友好協(xié)商解決。如雙方協(xié)商不能解決時(shí)，此爭(zhēng)執(zhí)應(yīng) 提交中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)仲裁委員會(huì)，按照該仲裁委員會(huì)仲裁程序暫行規(guī)定進(jìn)行仲裁，仲裁地點(diǎn)在北京。仲裁委 員會(huì)的裁決為終局裁決，對(duì)雙方均有約束力。仲裁費(fèi)用除非仲裁會(huì)另有決定外，均由敗訴一方負(fù)擔(dān)。Arbitratio n : All disputes in conn ecti on with this Con tract or executio n thereof shall be amicable settled throughn egotiation .In case no
