9、ntee that the commodity hereof is made of the best materials with first class workmanship, brand new, unused and complies in all respects with the quality and specification stipulated in the contract. 10、賠(Inspection and claims):在貨物到達(dá)目的港的30天內(nèi)，如發(fā)現(xiàn)貨物的質(zhì)量及規(guī)格與合同規(guī)定不符或發(fā)現(xiàn)貨物無(wú)論任何原因引起的缺陷，包括內(nèi)在缺陷或使用不良的原料，買方應(yīng)申請(qǐng)商檢局檢驗(yàn)，并有權(quán)向賣方索賠。關(guān)于質(zhì)量，賣方將保證貨物在質(zhì)量保證期內(nèi)若發(fā)現(xiàn)質(zhì) 量缺陷、或使用的缺陷材料，買方應(yīng)立即書(shū)面通知賣方并通過(guò)商檢局開(kāi)出的報(bào)告向賣方提出索賠。賣方應(yīng)負(fù)責(zé)立即消除缺陷，除非收到賣方的許可和同意付費(fèi)后買方才可自行處理。如賣方未能在收到索賠1個(gè)月內(nèi)給予答復(fù)，可視為賣方接受了索賠。Within 30 days after the goos reach the port of destinatio

12、h the insurance company or the owners of vessel are liable, the surveillance company shall, on the strength of the authorization given by both parties, has the right to claim forreplacement with new goods within one month. As regards quality, the Seller shall guarantee that if within the guarantee p

13、eriod, damages occur in the course of operation by reason of inferior quality, bad workmanship or the use of inferior materials. The Buyer shall immediately notify the Seller in writing and put forward a claim supported by inspection certificate issued by CIQ. The certificate so issued shall be acce

14、pted as the basis of a claim. The Seller, In accordance with the Buyerthe immediate elimination of the defect(s). Where necessary and only after receipt of Sellert libseartpyptroovaleliminate the defect themselves at the Seller s expenses and with the Seller s consent. If the rSweliltehrinfaoilnteo

15、anmonth after receipt of the aforesaid claim, the claim shall be reckon as having been accepted by the Seller13 . 不可抗力 (Force majeure):賣 方 將 不 對(duì) 因 如 戰(zhàn) 爭(zhēng) ，地 震 和 其 它 不 可 抗 力 所 引 起 的 遲 交 貨 或 無(wú) 法 交 貨 承 擔(dān) 責(zé) 任 。但 賣 方 應(yīng) 于 14 日 內(nèi) 空 郵立即通知買方。由事件所發(fā)地政府開(kāi)出證明。然而。賣方仍有義務(wù)采取必要的措施抓緊交貨。如事件 持 續(xù) 超 過(guò) 10 星 期 。 買 方 有 權(quán) 取 消 合

16、 同 。 買 方 同 樣 也 不 承 擔(dān) 因 發(fā) 生 不 可 抗 力 時(shí) 執(zhí) 行 全 部 或 部 分 合 同 的 責(zé) 任。The Seller shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force majeure (war, war-like operation, acts of God, riot, floods, earthquakes, and so on), which might be occurred during the process o

17、f manufacturing or in the course of loading or transit. The Seller shall advise the Buyer immediately of the occurrence mentioned above and within fourteen days thereafter the Seller shall send by airmail to the Buyer for their acceptance a certificate of the accident issued by the competent Governm

18、ent Authorities and/or Public Institutions where the accident occurs as evidence thereof. Under such circumstances the Seller, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks, the Buyer shal

19、l have the right to cancel the contract.14 . 遲交和罰款(Delayed delivery and penalty) ：如延遲交貨除人力不可抗拒事故者外，賣方應(yīng)付給買方每一星期按遲交貨物總值的0.5%的遲交罰款，不足一星期的遲交日數(shù)作為一星期計(jì)算，此項(xiàng)罰款總額不超過(guò)全部遲交貨物總值的5%，在議付貨款時(shí)由銀行代為扣除，或由買方在付款時(shí)進(jìn)行扣除 .如延遲交貨超過(guò)原定期限十個(gè)星期時(shí)，買方有權(quán)終止本合同。但賣方仍應(yīng)向買方繳付以上規(guī)定之罰款，不得推諉或延遲。Should the Seller fail to make delivery on time as s

20、tipulated in the contract, with exception of Force Majeure causes specified in clause 14 of this contract, the Buyer shall agree to postpone the delivery on condition that the Seller agrees to pay a penalty which shall be deducted by the paying bank from the payment under negotiation. The penalty, h

21、owever, shall not exceed 5 % of the total value of the contract. The rate of penalty is charged at 0.5% per week calculated on the amount of the current delivery of the goods involved in the late delivery. For every seven days or days less than seven days should be counted as seven days. In case the

22、 Seller fails to deliver ten weeks later than the time of shipment stipulated in the contract, the Buyer shall have the right to cancel the contract and the Seller in spite of the cancellation, shall still pay the aforesaid penalty to the Buyer without delay.15 . 仲裁 (Arbitration) 有關(guān)本合同的所有爭(zhēng)議應(yīng)協(xié)商解決，如協(xié)商

23、不成，將提請(qǐng)國(guó)際商會(huì)，商業(yè)仲裁委員會(huì)依據(jù)其仲裁準(zhǔn)則仲 裁 ，其 決 議 對(duì) 以 上 雙 方 為 最 終 裁 定 ，任 一 方 不 得 向 其 它 法 庭 或 機(jī) 構(gòu) 獲 得 追 索 權(quán) 以 修 改 本 裁 定 。仲 裁 費(fèi) 用 由敗訴方負(fù)擔(dān)。發(fā)生仲裁時(shí)雙方應(yīng)該仍然執(zhí)行未仲裁部分的合同條款A(yù)ll disputes in connection with this contract or the execution thereof shall be amicably settled through negotiation.
