3、YMENT:工期規(guī)定及付款條約： Aftersigningthiscontract,Thebuyerpay30%oftotalcontractamountasdeposittotheseller,afterreceivingthedeposit,thesellershoulddeliverythecommoditytothedeliveryplacein3040days.Thesellershouldinformbuyerthedeliverydateinawritingform7daysinadvance簽訂合同后，買(mǎi)方付合同總金額的30%給賣(mài)方作為訂金，賣(mài)方收到訂金后，于3040天內(nèi)運(yùn)送商

4、品到交貨地點(diǎn)。在商品運(yùn)送的前一周，賣(mài)方以書(shū)面形式通知買(mǎi)方送貨日期； Whenthecommodityarrivedthedeliveryplace,thebuyerpaythe60%oftotalcontractamounttotheseller;設(shè)備送到買(mǎi)方指定地點(diǎn)后，買(mǎi)方支付合同總金額60%給賣(mài)方； Installationandcommissioningshouldbecompletedin45days,Then,thebuyerandtheselleristogethertocheckandaccept,ifthecommoditypasstheprojectacceptance,th

5、ebuyerpaytherestofthecontractamountinonemonths.Thesellershouldinformbuyertheprojectacceptancedateinawritingform7daysinadvance商品的現(xiàn)場(chǎng)安裝調(diào)試施工在45天之內(nèi)完成，安裝結(jié)束，經(jīng)買(mǎi)賣(mài)雙方試機(jī)、驗(yàn)收通過(guò)后，買(mǎi)方在一個(gè)月內(nèi)付清全部貨款。在工程驗(yàn)收的一周前，賣(mài)方以書(shū)面通知買(mǎi)方驗(yàn)收。4. PROJECTACCEPTANCE:工程驗(yàn)收：Thesellermustprovideequipmentlist,blue-linedrawing,install&layoutdrawi

6、ng,specification&guidelinesandthecorrespondingdocumentsandinvoicetothebuyer.Thenthetwopartiestogethercheckthecommodityandcommissioning,ifthecommodityrunningproperlyandhaven'totherqualityprobleminoneworkingweek,thebuyersigntheinspectionreport.賣(mài)方提供商品詳細(xì)材料清單，設(shè)備圖紙，安裝布置圖紙，使用說(shuō)明指南及相應(yīng)的單據(jù)憑證給買(mǎi)方。買(mǎi)賣(mài)雙方現(xiàn)場(chǎng)點(diǎn)

7、收設(shè)備，并試運(yùn)行設(shè)備。試運(yùn)行一工作周后，確認(rèn)質(zhì)量合格，雙方簽訂驗(yàn)收?qǐng)?bào)告。5. GUARANTEEOFQUALITY:質(zhì)量保證：Thesellershallguaranteethatthecommodityhereofmustcomplyinallrespectswiththequalityandspecificationstipulatedinthiscontract.Theguaranteeperiodshallbe12monthsafterfinalacceptancetest,buttheguaranteeperioddoesnotexceed15monthsaftershipmentd

8、ate;andduringtheguaranteeperiodthesellershallbeheldresponsibleforthedamageduetothedefectsinthedesignormanufactureofthemanufacturer.Excludingpartssubjectnormalwearandtear.賣(mài)方保證貨物品質(zhì)規(guī)格必須符合合同規(guī)定，品質(zhì)保證期限為最終驗(yàn)收?qǐng)?bào)告后的12個(gè)月內(nèi)，但最多不超過(guò)發(fā)貨之日起的15個(gè)月。在保證期限內(nèi)，因制造廠商在設(shè)計(jì)制造過(guò)程中的缺陷造成貨物損害應(yīng)由賣(mài)方負(fù)責(zé)賠償。質(zhì)量保護(hù)范圍不包括一切正常操作所需的損耗件。6. INSTALLATI

9、ON、COMMISSIONINGANDTRAINING:設(shè)備安裝、調(diào)試及操作培訓(xùn)：(1) Installationandcommissioningshouldbebecarringoutonlybyqualifiedpersonnelsendedbyseller,andtheyhavethedutytotrainingtheoperator.Thesellershouldprovidesufficientassistantworkerstokeeptheinstallationandcommissioning;賣(mài)方應(yīng)派專(zhuān)業(yè)技術(shù)人員指導(dǎo)設(shè)備安裝及調(diào)試，同時(shí)負(fù)責(zé)進(jìn)行工人的操作技術(shù)培訓(xùn).賣(mài)方提供足夠

10、的勞動(dòng)工人進(jìn)行設(shè)備安裝及調(diào)試；(2) Within7daysbeforedecidedtoinstallationandcommissioning,theBuyershouldsendbyairmailtothesellerabouttheinstallationandcommissioning;買(mǎi)方在決定對(duì)合同設(shè)備進(jìn)行安裝調(diào)試前7天內(nèi)，以電郵形式告知賣(mài)方安裝、調(diào)試事宜，以便賣(mài)方做好人員和技術(shù)上的準(zhǔn)備；(3) TheBuyershouldbedoneasbelow:買(mǎi)方需做好設(shè)備安裝、調(diào)試的如下準(zhǔn)備工作：a. TheBuyerwillresponsiblefortheengineerstran

11、sportationfee,accommodationcharge&mealfeeforanyadditionaltimerequiredinexcessoftheinstallationandtrainingtimeaccordingtheinstallation/trainingandserviceinattachedappendix.(contractappendixbasedonagreementtimeofinstallationandtraining).買(mǎi)方需負(fù)責(zé)賣(mài)方所派安裝調(diào)試培訓(xùn)維修人員(安裝調(diào)試培訓(xùn)依據(jù)約定時(shí)間見(jiàn)合同附件)的市內(nèi)交通費(fèi)用，住宿及工作餐等費(fèi)用；b. 12、eBuyershouldprovidetheforkorothertoolsforhoistingandinstallation,andauxiliarymaterialforcommissioningfreeofcharge;買(mǎi)方應(yīng)提供安裝調(diào)時(shí)期內(nèi)的切起重搬運(yùn)工具，并免費(fèi)提供足夠的試機(jī)材料；c. TheBuyershouldcompletethebaseequipmentsuchaswater,electricity,workshop,compressingairetc.,andresponsiblekeepingitcontinuoussupplyandworknormally.買(mǎi)方應(yīng)完成

13、設(shè)備安裝調(diào)試前所必須進(jìn)行的水、電、廠房等基礎(chǔ)設(shè)施建設(shè)和壓縮空氣，并保證其不斷供應(yīng)和正常運(yùn)轉(zhuǎn)。IftheBuyerdisobeytheaboveitems,theBuyershouldberesponsibleforthepaymentofadditionalandlosingetc.買(mǎi)方違反上訴條款，應(yīng)承擔(dān)因此而造成的額外費(fèi)用、損失等工程延誤的一切責(zé)任。(4) Theinstallationandcommissioningshallproceedaccordingtosellerconditionsprovidedinorderacknowledgement.賣(mài)方對(duì)設(shè)備所進(jìn)行的安裝、調(diào)試，應(yīng)與

14、合同約定的性能完全一致；(5) Thesellershallnotberesponsibleforthemachine'sinsiammionBioningandoperationnotnormalduetotheBuyer'scause,andthecustomerwillbeconsideredhavngacceptedthemachineiftheBuyerfailtoreplywithin3months.如因買(mǎi)方原因使設(shè)備不能正常安裝、調(diào)試、使用而使設(shè)備閑置，自買(mǎi)方收到設(shè)備之日起3個(gè)月內(nèi)視為質(zhì)量完全合格。7. After-salesService售后服務(wù)： Thegua

15、ranteeperiodshallbe12monthsafterpassfinalacceptancetest.Thesellershouldstillprovidepaidserviceaftertheguaranteeperiod.質(zhì)保期為設(shè)備最終驗(yàn)收通過(guò)后的12個(gè)月內(nèi)，保修期過(guò)后，賣(mài)方繼續(xù)為賣(mài)方提供維修服務(wù)； Thesellerprovidefreeserviceduringtheguaranteeperiod,ifqualityissuesofthecommodityisnotimpersonalfactors.保修期內(nèi)，設(shè)備非人為損壞，由賣(mài)方免費(fèi)提供保修及更換零配件的服務(wù)； Thes

16、ellerprovidepaidserviceifqualityissuesofthecommodityiscausebyhumanfactororaftertheguaranteeperiod.保修期內(nèi)的人為損壞，及過(guò)保修期后的損壞，其維修所產(chǎn)生的費(fèi)用及相關(guān)的人員費(fèi)用均由買(mǎi)方承擔(dān)； Thesellerpromisestogottothesitein8hoursafterreceivingthenoticefromthebuyerandsolvetheproblem.賣(mài)方接到買(mǎi)方的求助電話，維護(hù)人員要在8小時(shí)內(nèi)上門(mén)維修。8. FORCEMAJEURE:人力不可抗拒：Thesellershall

17、notbegeldresponsibleforthedelayinshipmentornot-deliveryofthegoodsduetoforcemajeurewhichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingoftransit.Thesellershalladvisethebuyersimmediatelyoftheoccurrencementionedaboveandwithinfourteendaysthereafter,thesellershallsendbyairmailtothebuyerfo

18、rtheiracceptanceacertificateoftheaccidentissuedbythecompetentgovernmentauthoritieswheretheaccidentoccursasevidencethereof.Undersuchcircumstancestheseller,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.Incasetheaccidentlastsformorethan10weeks,boththebuyerand

19、thesellershallhavetherighttocancelthecontract.It'seffectiveimmediatelysincebeinginformed.如在制作過(guò)程中或裝貨運(yùn)輸中發(fā)生不可抗拒因素，致使貨物推遲裝運(yùn)或不能成交，賣(mài)方將不承擔(dān)責(zé)任。賣(mài)方應(yīng)將上述發(fā)生情況及時(shí)通知買(mǎi)方。并在發(fā)電后的14天內(nèi)將事故發(fā)生所在地政府主管部門(mén)開(kāi)具的事故證明書(shū)書(shū)面提供給買(mǎi)方，以便買(mǎi)方承認(rèn)。然而，在這種情況下，賣(mài)方仍然有義務(wù)采取一切必要措施加速貨物成交。如果事故延續(xù)至10個(gè)星期以上，買(mǎi)賣(mài)雙方均有權(quán)取消合同。通知一旦作出，立即生效。9. LATEDELIVERYANDPENALITY:

20、遲交貨和罰款：Shouldthesellerfailtomakedeliveryontimeasstipulatedinthecontract,withexceptionofforcemajeureclausesspecifiedinclause7ofthiscontract,thebuyershallagreetopostponethedeliveryonconditionthattheselleragreetopayapenaltywithshallbedeductedbythepayingbankfromthepaymentundernegotiation.Thepenalty,howe

21、ver,shallnotexceed3%ofthetotalvalueofthegoodsinvolvedinthelatedelivery.Therateofpenaltyischargedat0.3%foreverysevendays,odddayslessthansevendaysshouldbecountedassevendays.Incasethesellerfailtomakedeliverytenweekslaterthanthetimeofshipmentstipulatedinthecontract,thebuyershallhavetherighttocanceltheco

22、ntractandtheseller,inspiteofthecancellation,shallstillpaytheaforesaidpenaltytothebuyerwithoutdelay.除本合同第8條規(guī)定的不可抗拒條款外，如賣(mài)方仍不能按合同期限交貨，買(mǎi)方可同意推遲交貨期，但賣(mài)方必須同意付款銀行在議付貨款時(shí)扣除罰款。罰款總額不超過(guò)遲交貨物總值的3%,罰款率按每7天0.3%計(jì)算，不滿7天仍以7天計(jì)算。如超過(guò)合同規(guī)定交貨期限10星期后，賣(mài)方仍不能交貨，則買(mǎi)方有權(quán)撤銷(xiāo)合同，而賣(mài)方仍須立即付給買(mǎi)方上述罰款。10. Disputesettlement:爭(zhēng)議解決：Anydisputesarisingfromorinconnectionwiththiscontract,shellbesettledamicablythroughfriendlynegotiation.IfthePartiesfailtoreachandamicablesolution,eitherPartymaysubmitthedisputetotheForeignEconomicandTradeArbitrationinaccordancewithitsExistingRulesofProcedureforarbitration.Thearbitralawardisfinala
