2、HASE THE SAID COMMODITY.在通力合作,認(rèn)真負(fù)責(zé)的根底上,買賣雙方分別申明:賣方為所簽貨物的合法所有者, 買方有水平購(gòu)置所簽貨物.CLAUSE 2: PRODUCT ORIGIN & COMMODITY 地來(lái)源及貨物名稱PRODUCT ORIGIN IS FROM, DIESEL GASOIL D2, HAVING THECONTRACAL MINIMUM GUARANTEED SPECIFICATIONS AS PER A NNESHEREWITHATTACHED AS AN INTEGRAL PART OF THIS CONTRACT.D2柴油的產(chǎn)地為,品質(zhì)見附

3、件“ A".附件A為合同不可分割的一部分.CLAUSE 3: QUALITY 質(zhì)量FORTHEFULL DURATION OF THE CONTRACTHE SELLERGUARANTEEI3HAT THEQUALITY OFTHEPRODUCSOLDAS REPORTEDN “ANNEXA SPECIFICATION WHICHCONSTITUTES AN INTEGRAL PART OF THIS CONTRACT. IF THE QUALITY OF THE PRODUCT IN THE FIRSTSHIPMENT FAILS TO CONFIRM WITH THE D2 SP

4、ECIFICATIQ N AS AGREED TO IN THE CONTRAC T THEN THE BUYER HAS THE RIGHT TO TERMINATE THE CONTRACT.在整個(gè)合同履行期間,賣方銷售的品質(zhì)必須符合附錄 A材質(zhì)單要求,附錄A作為合同 的不可分割的一局部.如果第一船的產(chǎn)品不符合附錄 A中要求的最大或最小值,買方有 權(quán)停止此合同.CLAUSE 4: QUANTITY 數(shù)量THE MONTHLY QUANTITY IS METRIC TONS , AND TOTAL QUANTITY OF THIS SALESAND PURCHASE IS MT +/-5%

5、ALTOGETHER FOR 12 MONTHS.每月數(shù)量為噸,本合同12個(gè)月的貨物總量為噸,+/-5%增減裝.CLAUSE 5: DELIVERY 交貨5.1 THE DESTINATIONPORTSHALLBE APPOINTEDJY BUYER;THEESTIMATEDARRIVINGDATEFORTHEFIRST SHIPMENEHOULBEWITHIN30-45 DAYSAFTERRECEIPTANDCONFIRMATIONOF AN OPERATIVFINANCIAL INSTRUMENACCEPTABLEO THESELLER THE SUBSEQUENTSHIPMENTS OB

6、EY TO ANNEX B.OF THIS CONTRACT.到岸港由買方指定.賣方在收到并確認(rèn)銀行付款工具后的30-45天內(nèi)將開始第一批船貨的運(yùn)輸.其它船次那么遵照合約之附件Bo5.2 THE PLACE OF LOADING PORT SHALL BE. THE SELLER SHALL HAVETHE RIGHT TO DELIVER EARLIER THAN AGREED IN THIS CONTRACT GIVING NOTICE TO ALLDESIGNATED PARTIES AS REQUIRED HER EINWITH THE APPROVAL OF THE BUYER. T

7、HEPRODUCTS SHALL BE SHIPPED TO THE DESTINATION PORT AND THE MINIMUM QUANTITY ISMT+/-5% PER MONTH ACCORDING TO THE DELIVERY SCHACCEPTEBY BOTHBUYER AND SELLER.裝貨地點(diǎn)為港.經(jīng)買方批準(zhǔn),賣方有權(quán)按本協(xié)議的規(guī)定向所有指定方發(fā)出通知提前交貨.產(chǎn)品應(yīng)根據(jù)買賣雙方確定的船期表運(yùn)至規(guī)定的地點(diǎn),交貨的每月最少數(shù)量為萬(wàn)噸(+/-5%).5.3 THE SHIPPING ADVICE AND ALL COPIES OF NEGOTIATION DOCUMEN

8、TS SHOULD BE SENTTO THE BUYER BY FAX OR EMAIL WITHIN FIFTEEN (15) DAYS AFTER SHIPMENT.裝船后15日內(nèi)將裝船通知和全部議付文件復(fù)印件用 或者電子郵件的方式發(fā)送給買 方.CLAUSE 6: PRICE 價(jià)格PRICE: AT FIXED PRICE: USD PER METRICE TON CIFPORT.價(jià)格:固定價(jià)格美金/噸送到港口.THE CONTRACT IS ALTOGETHER FOR MONTHS AND THE PRICE OF THIS CONTRACTSHALL BE AVAILABLE FO

9、R THE WHOLE CONTRACTUAL PERIOD.合同期為個(gè)月,本合同價(jià)格適用于整個(gè)合同期限.CLAUSE 7: PAYMENT# 款7.1BUYERSHALLISSUE AN IRREVOCABL E TRANSFERABL E 100% PAYABLEDOCUMENTARYLETTEROF CREDITFROMDHINESERIMECOMMERCIALANK IN THECURRENCYF UNITED STATES DOLLARS WHICH ISSUED FOR TONS GOODS VALUES.買方通過(guò)中國(guó)一流商業(yè)銀行以美元計(jì)算開出不可撤消,可轉(zhuǎn)讓,100% 噸金額的跟

10、單信用證.7.2 THIRD PARTY DOCUMENTS ARE ACCEPTABLE 受第三方有效單據(jù).7.3 THE SELLERSHALLISSUEA PERFORMANCONCTOBUYER, AUTOMATICALLREVOLVINGFOR THE ENTIRE CONTRACT.賣方將開立履余勺保函給買方,并在整個(gè)合同期內(nèi)自動(dòng)循環(huán).7.4 THE PAYMENT WILL BE EFFECTED AGAINST THE FOLLOWING DOCUM ENTS 買方根據(jù)以下單據(jù)付款:A.SIGNED COMMERCIAL INVOICE ONE ORIGINAL AND THR

15、LUE OF THE QUANTITY COVERING ALL THE RISKS INCLUDING OCEAN MARINETRANSPORTATIO NWAR RISKS STRIKE RISKS. THE INSURANCE COMPANY HAS TO BE RECOGNIZED AND ACCEPTED BY THE BUYER.賣方應(yīng)向一流的保險(xiǎn)公司為柴油投保至目的港海上運(yùn)輸全險(xiǎn)海運(yùn)險(xiǎn)/戰(zhàn)爭(zhēng)險(xiǎn)/罷工險(xiǎn),投保金額為所運(yùn)柴油 CIF價(jià)格的百分之一百一十110%.保險(xiǎn)公司須由買方認(rèn)可.1.55 ELLER SHALL MAKING BUYER AS BENEFICIAR Y SUBM

16、IT TO BUYER THE OCEANTRANSPORTATIONSURANCPOLICYAS STIPULATEDN CLAUSEOFTHIS CONTACTIF ANYACCIDENTOCCURAFTERDELIVERYOF EACHSHIPPMENAT THEPORTOF LOADING BUYERSHALL RENDER ASSISTANCE TO SELLER FOR THE SETTLEMENT OF INSURANCE CLAIMS WHEN REQUESTED BY SELLER.賣方以買方為保險(xiǎn)的受益人提供買方海上運(yùn)輸保險(xiǎn),如果油輪離開出貨港后有任何意外發(fā)生,買方應(yīng)根據(jù)賣

17、方的要求向賣方提供協(xié)助來(lái)解決保險(xiǎn)理賠.1.56 LTHOUGH INSURANCE BENEFICIARY IS BUY ERNSURANCE COMPANY SHALL PAY THEREAL PRODUCTS LOSER. IF ANY ACCIDENT HAPPENS AT PORT OF DESTINA TIOELLERSHALL BE ENTITLED TO RECEIVE THE INSURANCE COMPENSATION FROM THE INSURANCECOMPANY IF BUYE RS BANK HAS NOT PAID THE FULL AMOUNT OF SHIPM

18、ENT TO SE LLERBANK.雖然保險(xiǎn)的受益人是買方, 但是保險(xiǎn)公司是以產(chǎn)品的實(shí)際損失者為支付對(duì)象, 如果在目 的港有任何意外發(fā)生,并且買方銀行尚未支付這批貨款總額給賣方銀行, 賣方應(yīng)獲得保 險(xiǎn)金的賠償.CLAUSE8: DELIVERY & INSPECTION 裝運(yùn)及檢驗(yàn)8.1SELLER SHALL NOTIFY THE BUYER OF THE CHARTERED PARTY AGREEMENT PARTICULARS (GENERAL DIMENSION S CARGO SYSTEM ARRANGEM EMAXIMUM UNLOADING CAPACITYRATE C

19、ARGO TANKS CAPACITIES AT 98% LOAD EDMANIFOLDS SIZES AND REDUCTIONSAVAILABLE ON BOARD) AND RELEVANT DOCUMENTS. THIS INFORMATION MUST BE PROVIDEDTO THE BUYER AT LEAST TWO (2) DAYS PRIOR TO THE SEL LERVESSEL NOMINATION.REGARDING THE RELEVANT SHIPPING INFORMATION OF FIRST SHIP MESNETLLER SHALLNOTIFY BUY

20、ER AFTER RECEIVING DLC WITHIN 5 INTERNATIONAL BANK WORKING DAYS.賣方應(yīng)提前通知買方有關(guān)船舶的所有詳細(xì)資料及文件,此通知至少應(yīng)在船舶租用前兩天通知買方,以保證船舶適卸貨港.第一批貨的有關(guān)船舶的所有詳細(xì)資料及文件應(yīng)在賣方收到DLC后5個(gè)銀行工作日內(nèi)通知買方.8.2SELLER SHOULD SEND SHIPPING ADVICE AND THE COPY OF ALL DOCUMENTS OFNEGOTIATION BY FAX OR BY EMAIL TO BUYER WITHIN 15 INTERNATIONAL WORKING

21、 DAYS AFTER THE DATE OF SHIPMENT.裝船后的15個(gè)工作日內(nèi),賣方以 或者電子郵件的形式給買方發(fā)裝船通知和全部的 議付文件副本.8.3 THE TANKERS MASTER SHALL ADVISE THE BUYER AND SHIP OWNERGENT AT THEPORT OF DISCHARGE THE SHIS ETA 120 HOURS BEFORE HER ARRIVAL HER NAMETONNAG E FLAG, DRAUGHTS ON BOARD QUANTITIE S AND ACTUAL TIME OF ARRIVAL120, 48 , 36

22、 , 24 AND 12 HOURS BEFORE HER ARRIVAL TO THE DISCHARGE PORT.船長(zhǎng)應(yīng)在到達(dá)前120小時(shí),48小時(shí),36小時(shí),24小時(shí),12小時(shí),通知買方及船主在卸貨港的代理關(guān)于船舶預(yù)計(jì)到達(dá)時(shí)間,船舶名稱,貨物重量等信息.8.4QUANTITY AND QUALITY ASSESSMENT&ONDUCTED BY THE APPOINTED SURVEYORCOMPANIES SHALL COMPLY WITH REVISED ASTM/IP INTERNATIONAL STANDARDS.數(shù)量和質(zhì)量的評(píng)定按石油行業(yè)一貫的ASTM/IP的國(guó)際標(biāo)準(zhǔn)

23、方法和程序.8.5THE SELLER SHALL BOOK SPACE IN THE SHIPPING COMPANIES WHICH ENJOY GOODREPUTATION. THE CARRYING VESSEL SHALL HAVE GOOD RECORD OF TRANSPORTATION. ITSSERVICE TIME SHALL NOT BE OVER 15 YEAR S AND ITS FLYING FLAG AND/OR ITSNATIONALITYSHALLBE ACCEPTABLBY BUYER.IF ITS SERVICETIME IS OVERI5 YEARSTH

24、E SELLER SHALL TAKE OUT THE INSURANCE AT HIS OWN COST FOR THIS REGARD. THEVESSEL CONSTRUCTION MUST BE DOUBLE-HULL.賣方應(yīng)向享有信譽(yù)的船務(wù)公司預(yù)定艙位,運(yùn)貨的船只應(yīng)有良好的運(yùn)輸記錄.其效勞時(shí)間應(yīng)不超過(guò)15年,所懸掛的旗幟或國(guó)籍都應(yīng)是買方所能接受的.如其效勞時(shí)間超過(guò)15年,那么應(yīng)由賣方自付保險(xiǎn)費(fèi)用.船只結(jié)構(gòu)應(yīng)為雙殼船.CLAUSE9: LAYCAN - LAYTIME - DEMURRAGES 貨和滯期9.1LAYCAN9.1.1SELLER ANDBUYERHEREBYSUARANT

25、EBDDISCHARGSMOOTHLAT THEDESTINATIONPORT.買賣雙方保證貨物在卸貨港順利卸貨.9.1.2NOTICE OF READINESS (NOR) SHALL BE GIVEN TO THE BUYER AND / OR AG ENTNSHIP S ARRIVALAT THEBUYERS DISCHARGPORT(S)BY THESHIP S MASTEBYRADIQCABLE OR BY HAN D AT ANY TIME INCLUDING SATURDAY S SUNDAYS AND HOLIDAYS.船長(zhǎng)應(yīng)在包括星期六、日和假期的任何時(shí)間通過(guò) 、電傳或信件的

26、形式通知買方或其 代理船舶的裝卸準(zhǔn)備完成通知.9.1.3VESSELS EMPLOYED BY SELLER SHALL IN ALL RESPECTS FOLLOW OR MEET THE RULES OF THE UNLOADING PORT WITH RESPECT TO MEASUREMENRAFT DEADWEIGHT DE-BALLASTING ETC. ON ARRIVING AT THE UNLOAD PORT AFTER RECEIPT OF FREE PRACTICUM THE SHIP MASTER (OR HIS AGENT) SHALL SEND TO THE BUY

27、ER OR BUYER REPRESENTATIVE A WRITTEN NOTICE OF READINESS (N.O.R.) OF THE VESSEL FOR UNLOADING THE GOODS. LAY TIME WILL COMMENCE 6 (SIX) HOURS AFTER SUCH NOTICE IS GIVEN BY THE MASTER.賣方應(yīng)完全依照卸貨口岸的規(guī)定與條件預(yù)定船舶.船長(zhǎng)在到達(dá)卸貨口岸前的適當(dāng)時(shí)間, 由代理向買方發(fā)出到港通知.卸貨時(shí)間以就緒通知發(fā)出6小時(shí)后開始起算.9.1.4IF THEVESSEL3APACITYEXCEEDSHECAPABILITY

28、OF UNLOADINAT DISCHARGING PORT THENTHESELLERSHALLOBTAINADVANCEAPPROVAEROMTHEBUYER.THESELLER AND BUYER WILL EXCHANGE OPINION ABOUT CONSTRAINTS ON BERTH AND TANKERS AS SOONAS POSSIBLE AFTER CONTRACT IS SIGNED.如果油輪超過(guò)買方指定港口的卸貨水平,必經(jīng)買方同意.買賣雙方應(yīng)對(duì)買方碼頭及油輪限制盡快交換意見.9.1.5VESSEL TOBEACCEPTEDY BUYEFANDSUChACCEPTAN

29、CHdALLNOTBEUNREASONABLYWITHHELD.HOWEVER THESELLER S CHARTEREVDESSELSHALLCOMPLYVITHTHE THREEMAJOR OIL COMPAN YS REQUIREMENTS AND SHALL BE TOVALOP/PANDI REGISTERED.沒有不合理的原因,買方應(yīng)接受賣方租用的船舶.該船應(yīng)符合世界大石油公司的要求并在 TOVALOP/PAN曲冊(cè).9.1.6BUYER WILL HAVE THE OPTION TO CHANGE HIS DESIGNATED DISCHARGE P ORTPROVIDED THA

30、T WRITTEN NOTICE IS GIVEN TO THE SEL LEOF AT LEAST THIRTY (30) CALENDAR DAYS PRIOR TO THE ESTIMATED SHIARRIVAL AT THE FORMER SCHEDULEDNOMINATED DISCHARGE PORT.如果買方需要變更卸貨港,應(yīng)在船舶預(yù)計(jì)抵達(dá)卸貨港提前30天提出書面通知.9.2DEMURRAGES 期9.2.1 DEMURRAGES AT THE DISCHARGE PORTS 交貨罰金IF DE MURRAGES HAVE BEEN CAUSED BY THE BUYEISCH

31、ARGE TERMINAL (INCLUDING CHINA CIQ), THEN THE RELATIVE EXPENSE SHALL BE BORNE BY THE BUYER. IF THE DEMURRAGESVEBEENCAUSEBY THESELLERSIDE, THENTHEEXPENS6HALLBE BORNE BY THE SELLER.如果船舶滯期是由于買方造成的,滯期費(fèi)由買方承擔(dān).如果船舶滯期是由賣方造成的, 滯期費(fèi)那么由賣方承擔(dān).9.2.2 ACCORDINGTHECHARTERARTYXGREEMENTIT SHALLBE CALCUATEDNDAILY RATE O

32、F PRO-RATA THEREO F滯期費(fèi)應(yīng)根據(jù)每日費(fèi)用成比例計(jì)算,并經(jīng)買賣雙方確認(rèn).9.2.31 F THE VESSEL ARRIVES AT THEDISCHARGE TERMINAL AHEAD OF THE RANGE OF DAYS IN ACCORDANCE WITH CLAUSE 9.1,.3 SUCH NOTICE SHALL ONLY BE EFFECTIVE AS FROM 00.01 HOURS ON THE FIRST THREE DAYSUNLESS THE DISCHARGE TERMINAL BEGINS TO DISCHARGE THE VESSEL BEF

33、ORE SUCH TIME. IN THE CASE OF A VESSEL ARRIVING LATER THANTHERANGOFDAYSACCEPTE DTHE DISCHARGEERMINAIWILL USEHIS BESTEFFORTS TO MINIMIZE THEDELAYTODISCHARGEHOWEVER IN SUCHCASES LAYTIME WILL ONLY START TO COUNT UPON VESSEL BEING ALL FAST IN BERTH.如果油輪提前于條款9.1.3的時(shí)間到達(dá)卸貨港,此通知僅從頭三天的 00.01生效,除非 在此之前卸貨港就開始卸

34、貨.如果油輪晚于雙方接受的時(shí)間到達(dá),卸貨港應(yīng)盡全力降低卸貨的延遲時(shí)間.CLAUSE 10: NON-PERFORMANCE履約10.1 PENALTY FOR DELAYED DELIVER 延遲交貨的處分SHOULD THE SELLER FAIL TO MAKE DELIVERY AS STIPULATED IN THE CONTRACT1TH EXCEPTIONDF FORCE MAJEURE CAUSES SPECIFIED IN CLAUSE (11.1) THFIS CONTRAC T THE BUYER SHALL AGREE TO POSTPONE THE DELIVERY O

35、N CONDITION THAT THE SELLER AGREES TO PAY A PENALTY WHICH SHALL BE DEDUCTED BY THE PAYING BANK FROM THE PAYMENT. THE PENALTY SHALL BE 2% OF THE TOTAL VALUE OF THE GOODS INVOLVED IN THE LATE DELIVERY WITHIN 10 DAYS.如賣方未按合同規(guī)定交貨,除了本合同第(11.1)條款規(guī)定的不可抗力之外,交貨延遲在10天之內(nèi),賣方應(yīng)該賠付貨物總值的2%可以在議付貨款時(shí)扣除.10.21 N CASE TH

SEE ANNEX B.如果賣方交貨期已超過(guò)在合約中規(guī)定之交貨期,買方有權(quán)撤消合同.見附件Bo10.31 F BUYER CANNOT SEND ANY EACH SHIPMENT OF PAYMENT BY T/T ON, TIMELLER RESERVES THE RIGHT TO CANCEL THE CONTR

37、ACT IN WHICH BUYER CANNOEILTEJKES PERFORMANCE BOND AS HIS COMPENSATION.如果買方無(wú)法準(zhǔn)時(shí)將任何一船貨的貨款電匯付給賣方,賣方保存取消此合同的權(quán)利,買方不可以賣方的履約保證金作求償之用.CLAUSE 11: FORCE MAJEURK可抗力11.1 NEITHER THE PARTIES SHALL BE LIABLE FOR FAILURE TO PERFORM THE AGREEMENT CAUSEDJY FORC助AJEURESUCHAS ACTSOFGOD STRIKES, FIRE, FLOODS WARSRIOTS
