ipmenttimeforshipmenttotheportofdestination.Transshipmentisnotallowed.Partialshipmentisnotallowed.ThecontractedcommodityshallnotbecarriedbyavesselflyingtheflagofacountrywhichtheBuyerscannotaccept.12.InspectionandClaims:a.Underthepresenceoftheclassificationsociety’srepresentativeSellerwillcarryoutanAcceptanceTestRunoftheengineonitstestbedtoverifythedataasspecifiedinthisContract.SellershastoinformBuyeraboutthedateofthisAcceptanceTestRuntwentydaysinadvanceandtoprovideacorrespondingtestingprogram.BuyerisentitledtoattendtheAcceptanceTestRunathisownexpense.Sellershallissueatestcertificate.Totheextentnotcoveredbythetest,Manufacturershall,beforemakingdelivery,makeapreciseandcomprehensiveinspectionofthegoodsasregardstheirquantity,qualityandweightandissueaCertificatecertifyingthatthegoodsareinconformitywithstipulationofthisContract。b.Within30daysafterarrivalofthegoodsattheportofdestination,thebuyershallapplytoNingboImport&ExportcommodityInspection&quarantineBureauofP.R.Chinaforthefinalinspectionofthegoodsinrespectoftheirquality,quantityandweight.Ifanydiscrepanciesarefoundbytheinspectionbureauregardingthequality,quantityandweightexpectthoseforwhichtheSellerisresponsible,thebuyersshallhaverighttoclaimshallberegardedasacceptedifthesellersfailtoreplywithin30daysafterreceiptoftheBuyers’claim.13.SettlementofClaims:IncaseaclaimislodgedbytheBuyerswithintheperiodofclaimasstipulatedinclause12ofthisContract,whichisbasedonfailuresindesign,workmanshipormaterial,theSellersshallsettletheclaimby:Repairorreplacethedefectivegoodswithnewoneswhichconformtothespecifications,qualityandperformanceasstipulatedinthisContractandbearallexpensesincurredforrepair/replacementincl.dispatch,aswellasreasonablecostsofremovalandinstallationofEquipment,further,ifunderconsiderationoftheindividualcasethiscanbereasonablydemanded,thecostsofnecessaryservicesofhismechanicsandassistants.Theguaranteeperiodofrepairorreplacementgoodsshallalsobe13monthsasspecifiedinClause12ofthisContractfromthedateonwhichthenew-builtshipbedeliveredtotheshipowneror26monthscountingfromthedateonwhichthecommodityarrivesattheportofdestination,whicheverisearlier.Incasethedefectivegoodsarefound,theSellermustreplaceitwithin30daysafterreceivingtheBuyer’swrittennotice,unlessthenatureofthedefectacquiressomelongerperiod.BuyershallgiveSellernecessarytimeandopportunitytoremedytheDefect.IfdefectsofdeficienciesofthegoodssuppliedunderthisContractoccurinthecourseofoperationwithinwarrantyperiod,theSellershallimmediatelybeinformedbyatelefaxnoticefromshipyardorshipowner(orit’snominee)describingsuchdefectsornon-conformities.IFSELLERisnotsuccessfulintherepairorreplacementofthesamedefectivegoodsasdescribedaboveaftertwoattempts,theSellerwillagreetooneofthefollowing:a)therejectionofthedefectivegoodsandrefundtotheBUYERthevalueofthedefectivegoodrejectedinthesamecurrencyascontractedhereinandbearalldirectlossesandexpensesinconnectiontherewithincludinginterestoccurred,bankingcharges,freight,insurancepremium,inspectioncharges,storagechargesandallothernecessaryexpensesrequiredforthecustomandprotectionoftherejectedgoods.b)Devaluethedefectivegoodsaccordingtothedegreeofinferiority,extentofdamageandamountofdirectlossessufferedbythebuyersandEndusers.14.GuaranteeofQuality:TheSellersguaranteethatthecommodityhereofismadeofthebestmaterialswithfirstclassworkmanship,brandednewandunusedandcompliesatthetimeofdeliveryinallrespectswiththequalityandspecificationstipulatedinthiscontract.TheSellerfurtherwarrantsthatitshallremainfreefromdefectsattributabletofailuresindesign,workmanshipormaterialforaperiodof26monthscountingfromthedateonwhichthecommodityarrivesattheportofdestinationor13monthscountingfromthedateonwhichthenew-builtshipbedeliveredtotheshipownerwhichevercomesearlier.15.ForceMajeure:TheSellersshallnotbeheldresponsibleforthedelayinshipmentornon-deliveryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.“ForceMajeure”shallmeananycausebeyondthereasonablecontrolofeitherparty,whichpreventsorimpedesthedueperformanceofthisContractandwhichbyduediligenceSellerisunabletoavoidorovercomethroughitsindividualeffort.ForceMajeureshallincludebutshallnotbelimitedtowar,naturaldisasters,fire,riots,strike,lock-out,embargo.TheSellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedaboveandwithin14daysthereafter,theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheincidentissuedbytheCompetentGovernmentAuthoritiesorChamberofCommercewheretheincidentoccursasevidencethereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessaryreasonablemeasurestohastenthedeliveryofgoods.Incasetheaccidentlastsformorethansixweeks,theBuyersshallhavetherighttocancelthisContract.16.LateDelivery:ShouldtheSellersfailtomakedeliveryontimeasstipulatedinthisContract,withexceptionofForceMajeurecausesspecifiedinClause15ofthisContract,theBuyersshallagreetopostponethedeliveryonconditionthattheSellersagreetopaypenaltywhichshallbedeductedbythepayingbankfromthepayment,T 合同金額：人民幣（含增值稅）：交貨時(shí)間、地點(diǎn)、方式、風(fēng)險(xiǎn)：交貨時(shí)間：。乙方應(yīng)在交貨前__10__個(gè)工作日，以書(shū)面形式通知甲方貨已備妥并通知甲方具體交貨時(shí)間。如因乙方未能有效、及時(shí)通知甲方，導(dǎo)致雙方未能按時(shí)交接貨物的，視為乙方未按時(shí)交貨。交貨地點(diǎn)：__。交貨方式：貨物必須交付給甲方或者甲方書(shū)面指定的代理人或收貨人，并以甲方或甲方書(shū)面指示的代理人或收貨人書(shū)面簽收單據(jù)作為交接貨證明。該接貨證明僅作為貨物運(yùn)到的證明，不得作為貨物驗(yàn)收合格的證明，貨物驗(yàn)收按照本合同檢驗(yàn)規(guī)定進(jìn)行。交貨內(nèi)容：乙方提供的貨物應(yīng)包括：本合同及附件規(guī)定的設(shè)備、相關(guān)配件、專(zhuān)用工具以及其他甲方要求提供的各類(lèi)文件和單證,包括但不限于技術(shù)資料、使用說(shuō)明書(shū)、安裝維修操作手冊(cè)、零部件手冊(cè)、換證憑單、質(zhì)量證明書(shū)、合格書(shū)等。如若短缺，均不能視為乙方完成交貨義務(wù)。貨物的所有權(quán)及風(fēng)險(xiǎn)承擔(dān)：根據(jù)本合同貨物交付的規(guī)定，乙方一經(jīng)將貨物交付甲方，貨物的所有權(quán)即屬于甲方，貨物因意外毀損滅失的風(fēng)險(xiǎn)亦歸甲方承擔(dān)。貨物運(yùn)抵指定交貨地點(diǎn)并由甲方或甲方指定代理人或收貨人簽收書(shū)面收貨單據(jù)前發(fā)生的一切貨物毀損、滅失的風(fēng)險(xiǎn)、損失和費(fèi)用由乙方承擔(dān)。包裝及嘜頭：乙方應(yīng)依照慣常合理的商業(yè)標(biāo)準(zhǔn)對(duì)貨物進(jìn)行包裝，并符合出口標(biāo)準(zhǔn)。所有交付貨物應(yīng)具有適合遠(yuǎn)洋和內(nèi)陸運(yùn)輸以及多次搬運(yùn)、裝卸的堅(jiān)固包裝，并根據(jù)貨物的特點(diǎn)和需要，采取防潮、防雨、防銹、防震、防腐蝕等的保護(hù)措施，以保證貨物安全無(wú)損地運(yùn)抵使用國(guó)目的地，即甲方告知的貨物最終使用地。如由于包裝原因產(chǎn)生貨物毀損、銹蝕、丟失等損失的，乙方應(yīng)承擔(dān)因此發(fā)生的一切責(zé)任并賠償該損失。乙方應(yīng)當(dāng)保證提供準(zhǔn)確、真實(shí)的有關(guān)貨物包裝信息，包括但不限于貨物尺寸、重量、件數(shù)等，如果由于乙方提供的信息不準(zhǔn)確而導(dǎo)致的任何甲方出口費(fèi)用的增加，乙方應(yīng)當(dāng)承擔(dān)一切責(zé)任并賠償該損失。包裝物不回收，不另收費(fèi)。包裝費(fèi)用由乙方承擔(dān)。嘜頭：根據(jù)甲方指示，乙方應(yīng)在每個(gè)包裝箱鄰接的二個(gè)側(cè)面上，用不退色的油漆或油墨以明顯易見(jiàn)的文字字樣印刷以下嘜頭標(biāo)記(見(jiàn)附件)。乙方應(yīng)在包裝箱外部刷上箱號(hào)，箱號(hào)應(yīng)當(dāng)連續(xù)，并且標(biāo)注出總數(shù)。乙方應(yīng)按甲方的要求提供貨物裝箱單，并且在包裝箱中裝一份中英文貨物裝箱單。包裝要求：對(duì)于海運(yùn)貨物，如果單件貨物重量超過(guò)18噸或長(zhǎng)度超過(guò)12米或?qū)挾瘸^(guò)2.7米或高度超過(guò)3米，乙方應(yīng)在交付運(yùn)輸前_對(duì)于易燃、易爆等有害、危險(xiǎn)的貨物或存放溫度需特別考慮處置的貨物，乙方應(yīng)將貨物的名稱(chēng)、特性，特殊的搬運(yùn)方法，保護(hù)措施和發(fā)生意外的應(yīng)急方法提供給甲方有關(guān)中英文說(shuō)明，以便甲方做出合理安排。乙方應(yīng)按照甲方的要求，對(duì)木質(zhì)包裝物進(jìn)行熏蒸除害處理。如本合同對(duì)貨物包裝有具體要求或不同于行業(yè)慣例的特殊要求的，乙方的包裝應(yīng)符合本合同的要求。貨款的支付：支付按下列方式進(jìn)行【1】合同生效后10個(gè)工作日內(nèi)，甲方向乙方支付合同金額的30%作為預(yù)付款?！?】甲方收到乙方提交的貨物和甲方認(rèn)可的增值稅發(fā)票以及由最終用戶(hù)出具驗(yàn)收合格證明后向乙方支付合同金額_30_%的貨款?！?】甲方在收匯后10個(gè)工作日內(nèi)，向乙方支付合同金額_35_%的貨款?！?】合同金額的_5%_作為質(zhì)量保證金，質(zhì)保期滿(mǎn)后，如貨物無(wú)任何質(zhì)量問(wèn)題，甲方向乙方支付質(zhì)保金。乙方開(kāi)戶(hù)銀行：戶(hù)名：銀行帳號(hào)：乙方確認(rèn)本款前述各項(xiàng)信息準(zhǔn)確無(wú)誤，若因乙方提供的前述有關(guān)信息有誤，導(dǎo)致甲方不能按本合同約定正確、及時(shí)履行付款義務(wù)的，甲方無(wú)須承擔(dān)任何違約責(zé)任；如款項(xiàng)已按乙方提供的上述信息實(shí)際支付則應(yīng)視為甲方已履行付款義務(wù)；同時(shí)，乙方不能以此為理由不按期、適當(dāng)、全面履行其合同義務(wù)。監(jiān)造：甲方有權(quán)派人或委派第三方監(jiān)理機(jī)構(gòu)到工廠(chǎng)進(jìn)行監(jiān)造。乙方應(yīng)在貨物生產(chǎn)開(kāi)始的一周前書(shū)面通知甲方。監(jiān)造期間，乙方應(yīng)對(duì)甲方監(jiān)造人員的工作給予積極配合，對(duì)提出的問(wèn)題及時(shí)整改。甲方是否進(jìn)行監(jiān)造，都不減少或免除乙方對(duì)貨物質(zhì)量的責(zé)任。如果貨物存在未整改的問(wèn)題，監(jiān)理人員有權(quán)要求乙方不得發(fā)貨。在得到甲方的書(shū)面認(rèn)可后，乙方才可發(fā)運(yùn)。甲方在監(jiān)造期間所發(fā)生的與監(jiān)造有關(guān)的費(fèi)用，由甲方自行承擔(dān)。如因乙方原因?qū)е卤O(jiān)造日期延長(zhǎng)，由此產(chǎn)生的監(jiān)造費(fèi)用由乙方承擔(dān)。如導(dǎo)致交貨期延遲，乙方應(yīng)承擔(dān)由此產(chǎn)生的一切損失。技術(shù)和質(zhì)量要求：貨物質(zhì)量和技術(shù)要求必須符合本合同所附技術(shù)協(xié)議及雙方約定的標(biāo)準(zhǔn)。貨物質(zhì)量應(yīng)當(dāng)嚴(yán)格符合本合同及有關(guān)技術(shù)標(biāo)準(zhǔn)的要求，否則甲方有權(quán)拒絕接收貨物。貨物的檢驗(yàn)：乙方必須在交貨之前對(duì)貨物質(zhì)量、規(guī)格、性能和數(shù)量等進(jìn)行全面的檢驗(yàn)，并簽發(fā)質(zhì)量合格證明書(shū)。乙方應(yīng)根據(jù)甲方的要求對(duì)于甲方或甲方的客戶(hù)或第三方檢驗(yàn)機(jī)構(gòu)在乙方工廠(chǎng)檢驗(yàn)貨物提供一切必要的便利。貨物在乙方工廠(chǎng)的檢驗(yàn)，應(yīng)經(jīng)雙方簽字確認(rèn)，該檢驗(yàn)并不替代國(guó)外最終用戶(hù)對(duì)貨物的驗(yàn)收，且不減少或免除乙方對(duì)貨物質(zhì)量的責(zé)任。經(jīng)過(guò)檢驗(yàn)發(fā)現(xiàn)貨物的質(zhì)量、包裝和甲方要求提供的各類(lèi)文件和單證技術(shù)資料等不符合本合同規(guī)定的，甲方有權(quán)要求乙方及時(shí)整改、修理和更換，或有權(quán)拒收、退貨、解除合同以及獲得賠償。乙方負(fù)責(zé)完成法定商檢貨物的商檢手續(xù)，取得商檢機(jī)構(gòu)出具的有關(guān)換證憑單等證書(shū)，費(fèi)用由乙方自行承擔(dān)。所取得的換證憑單在交貨時(shí)遞交甲方?，F(xiàn)場(chǎng)安裝調(diào)試：乙方應(yīng)按時(shí)完成設(shè)備在現(xiàn)場(chǎng)的安裝與調(diào)試，達(dá)到合同約定的要求和標(biāo)準(zhǔn)。甲方在安裝與調(diào)試過(guò)程中應(yīng)提供必要的協(xié)助。乙方保證在設(shè)備安裝調(diào)試前確定出國(guó)服務(wù)人員，并及時(shí)通知甲方。乙方人員必須參加設(shè)備的安裝調(diào)試的簽字驗(yàn)收工作，確保安裝調(diào)試的服務(wù)質(zhì)量。在安裝調(diào)試期間，如果乙方提供的設(shè)備、材料有缺陷或由于乙方技術(shù)人員的指導(dǎo)錯(cuò)誤或乙方提供的技術(shù)資料、圖紙、說(shuō)明書(shū)的錯(cuò)誤造成國(guó)外最終用戶(hù)設(shè)備、材料損壞，乙方應(yīng)采取必要的補(bǔ)救措施，并賠償甲方一切損失。設(shè)備整機(jī)經(jīng)聯(lián)運(yùn)測(cè)試完全符合約定的技術(shù)指標(biāo)，最終用戶(hù)簽字驗(yàn)收后，即完成了對(duì)全部設(shè)備的最后驗(yàn)收。在貨物安裝調(diào)試的過(guò)程中，由于乙方的過(guò)錯(cuò)發(fā)生的所有人身傷害或財(cái)產(chǎn)損失，均由乙方承擔(dān)，除非該傷害或損失是由甲方故意所造成的。技術(shù)服務(wù)和培訓(xùn)乙方需根據(jù)甲方要求提供貨物在使用現(xiàn)場(chǎng)的安裝、調(diào)試、性能試驗(yàn)、運(yùn)行、檢修以及質(zhì)保期內(nèi)的維護(hù)、維修等服務(wù)。乙方應(yīng)按照甲方所要求的人員資質(zhì)，派__1__人到貨物使用現(xiàn)場(chǎng)進(jìn)行服務(wù)，如所派人員屬?lài)?guó)家或行業(yè)規(guī)定的特殊工種，必須持有相關(guān)資質(zhì)證書(shū)。服務(wù)期限為_(kāi)_30天__。乙方人員的食宿及交通費(fèi)用由__乙方_支付。乙方應(yīng)為其人員提供個(gè)人勞動(dòng)安全防護(hù)用品。乙方保證派出服務(wù)人員身體健康，勝任所承擔(dān)的工作，并對(duì)其人員進(jìn)行相關(guān)HSE培訓(xùn)，同時(shí)應(yīng)按甲方要求，接受甲方組織的HSE培訓(xùn)。乙方負(fù)責(zé)為其派遣的出國(guó)人員辦理護(hù)照并購(gòu)買(mǎi)甲方要求的人身保險(xiǎn)，甲方負(fù)責(zé)協(xié)助辦理簽證等出國(guó)手續(xù)。乙方提供在工廠(chǎng)和在貨物使用現(xiàn)場(chǎng)的培訓(xùn)，確保國(guó)外最終用戶(hù)和甲方要求的其他人員能夠完全正確地操作設(shè)備。因乙方不提供上述服務(wù)影響貨物的驗(yàn)收及使用，甲方有權(quán)向乙方追索由此造成的損失。乙方派出人員在提供售后服務(wù)期間染病，醫(yī)療和住院費(fèi)用由乙方負(fù)擔(dān)，甲方為其治療提供必要的協(xié)助和幫助。對(duì)于不能勝任本職工作的，不服從甲方或甲方指定一方管理、指揮，不遵守相關(guān)規(guī)章制度和當(dāng)?shù)胤煞ㄒ?guī)的，或因病無(wú)法正常工作的人員，根據(jù)甲方或甲方指定一方的要求，乙方有責(zé)任對(duì)其派出人員及時(shí)更換；所發(fā)生費(fèi)用由乙方承擔(dān)。乙方應(yīng)保證其派出人員服從甲方或甲方指定的委托人的管理和指揮，遵守國(guó)外最終用戶(hù)、甲方、CNPC及甲方指定的委托人的相關(guān)規(guī)章制度，遵守所在國(guó)的法律法規(guī)。乙方人員導(dǎo)致自身、他人的人身或財(cái)產(chǎn)損害時(shí)，乙方應(yīng)承擔(dān)一切責(zé)任和損失。一旦出現(xiàn)工傷、事故，事故損失由經(jīng)調(diào)查確認(rèn)的責(zé)任方承擔(dān)。乙方的保證：乙方保證第三方不向甲方主張任何權(quán)利，包括但不限于所有權(quán)、抵押權(quán)、租賃權(quán)、知識(shí)產(chǎn)權(quán)等。如有涉及以上權(quán)利的訴訟、仲裁或其他行政程序，乙方將承擔(dān)全部責(zé)任，并賠償甲方可能因此而受到的一切損失。乙方保證所提供的貨物是全新制造的,其質(zhì)量、性能符合合同的技術(shù)規(guī)格和其他規(guī)定并能夠滿(mǎn)足工藝操作要求。貨物質(zhì)量保證期從到達(dá)最終用戶(hù)使用地起開(kāi)始計(jì)算__12_個(gè)月，或者從最終用戶(hù)簽署驗(yàn)收合格證書(shū)起開(kāi)始計(jì)算_12__個(gè)月，以先到為準(zhǔn)。在質(zhì)量保證期內(nèi),貨物出現(xiàn)質(zhì)量問(wèn)題，乙方應(yīng)負(fù)責(zé)免費(fèi)更換和修理，同時(shí)賠償由此給甲方造成的所有損失。貨物的質(zhì)保期也按其由于存在質(zhì)量問(wèn)題而停止使用的時(shí)間相應(yīng)予以延長(zhǎng)。發(fā)生質(zhì)量問(wèn)題的零（備）件的質(zhì)量保證期，從乙方更換和修理后的次日起重新計(jì)算。乙方保證根據(jù)甲方的要求和商業(yè)慣例提供
