1.1 Thebuyeragreestobuyfromthesellerandtheselleragreestosellto

thecontractplant)includingallnecessaryequipmentandspareparts

(hereinafterreferredtoasequipmentforsafeandstableoperationof

thecontractplant)aswellasalltechnicaldocumentationnecessary

forassembling,erection,testrun,normaloperationandmaintenance

ofthecontractplant(hereinafterreferredtoastechnical

documentation).Thecontentsofequipmentsuppliedbythesellerare

specified

inAppendix1tothepresent

contract.Thecontentsof

technicaldocumentationsuppliedbythesellerarespecifiedin

Appendix2

tothepresentcontract.

Thetechnicalperformanceofallequipmentsuppliedbythesellerand

theseller

’technicals

guaranteesfortheequipmentof

thecontract

plantarespecifiedin

Appendix3tothepresentcontract.

Theseller

shalldispatchhisexperienced,healthyand

competent

technicalpersonneltothesiteofthecontractplantgiving

technical

instructions

and

supervision

for

construction,

erection,

commissioningandperformanceguaranteetestofthecontractplant.

Thenumberofpersonnelandtheextentofserviceandtreatment

conditionsareshowninAppendix4

tothepresentcontract.

Theseller

shallberesponsibleforthetrainingofthe

technical

personneldispatchedbythebuyer.Thenumberofpersonnel,training

placeandtheextentoftrainingareshownin

Appendix5

tothepresent

contract.

1.5 Thesellerisobligedtoprovidethebuyeratfavorablepricewithallsparepartsnecessaryforthenormaloperationofthecontractplantwithin10yearsafterthesignatureofthecontractaccordingtotherequestofthebuyer.Agreementwillbesignedbetweenbothpartiesatthattime.Afterthecontractcomesintoforce,boththebuyerandthesellerwillkeeptechnicalexchangeandcooperationwithin10years.

Chapter 3 Paymenttermsandconditions

3.1 Allpaymentstobemadeeitherbythebuyertothesellerorbythe

sellertothebuyerunderthepresentcontractshallbemadebytelegraphictransferandletterofcredit.Incaseofanypaymentbythebuyer,thepaymentshallbeeffectedthroughtheBankofChinaHebeibranchtoXXXXbankfortheaccountoftheseller.Incaseofany

Chapter 4 DeliveryandDeliveryTerms

4.1

Thesellershallcompletethedelivery

of

theequipmentat

the

destinationXINGANG,CHINAunderthe

presentcontract

in

onelot

within4(four)monthsafterthedateofcomingintoforceofthe

presentcontractandthebuyeropenedtherelevantletterofcredit.

Thebuyershouldopentherelevantletterofcreditbefore

theendof

be

postponed

automatically.

4.2

Within2monthsafterthedateofcomingintoforceofthepresent

contract,thesellershall

sendtothebuyer

copyofeachshipmentalongwiththecarrying

vesseltothechina

nationalforeigntradetransportationcorporationattheportofdestination.Atthesametime,2copieseachofthesaiddocumentsshallbesenttothebuyerbyairmail,togetherwith3copieseachofinspectionrecord,testreportanderectiondrawingsforassembling.

4.7

Thecontentsanddeliveryscheduleofthetechnicaldocumentation

arestipulatedinappendix2tothepresentcontract.

4.8

Oneweekbeforedispatchingthetechnicaldocumentation,theseller

shalladvisethebuyerbyFaxoftheapproximatenumberofparcels,

approximategrossweight,contractnumberandtheexpecteddateof

arrival

atthebuyer’soffice.

4.9

The

arrivaldateof

the

technicaldocumentation

atthebuyer’s

officeshallbetheactual

delivery

datedof

the

technical

documentation.

4.10

The

technical

documentation

provided

by

the

seller

shall

be

deliveredfreeofcharge.

Incaseofanyshortage,lossordamage

causedtothetechnicaldocumentation,thesellershallmake

supplementaldeliveryto

thebuyerfor

the

partlost

or

damaged

within

21daysafterreceiving

thebuyersnotification

without

any

charge.Thisnotificationshallbesentwithinonemonthafterhaving

receivedtheseller

’snotificationasperthelastparagraphofclau

4.11

Within

2working

days

after

sendingeachbatchoftechnical

documentation,

thesellershall

airmailtothebuyerthefollowing

Chapter 5 PackingandMarking

5.1

Thesellershall

have

thegoodsstronglypackedandshall

take

measurestoprotectthegoodsfrommoisture,rain,rust,corrosion

andshock,

etc.According

to

theirdifferentshapesandspecial

featuressoastowithstand

numeroushandling,loading

and

unloadingaswellaslongdistanceseaandinlandtransportationto

ensurethegoodssafearrival

atthesitewithout

anydamageor

corrosion.

5.2

Thelooseaccessoriesinpackageorbundleshallbelabeledbythe

seller,indicating

contract

and

5.7 Shouldthegoodsbedamagedorlostduetothesellerr’spackingand/orinadequateprotectivemeasuresbeforeshipping,thesellershallberesponsiblefortherepair,replaceorcompensationaccordingtothestipulationofchapter9ofthepresentcontract.

Chapter 6Technicalexchangeandcooperationaswellastechnicaltraining

6.1 Boththebuyerandthesellershallcarryouttechnicalexchangeandcooperationaccordingtothischapterandtheappendixofthepresentcontractinordertosmoothuptheconstructionworkofthecontractplant.

6.2 Thescopeofdesignundertakenbythesellerarelay-outdrawing,foundationdrawing,instructionbookforcivilconstructionandsub-assemblinginstruction.

6.3 ThecontentsoftechnicaldocumentationsuppliedbythebuyerisspecifiedinAppendix2tothepresentcontract.Thesellershalltakeitasthebasisforthedesignofthecontractplant.

6.4 Withinthreeweeksafterthecompletedocumentationofpreliminarydesignarriveinthebuyer’sofficeandafterthebuyerreceivedthecompletedocumentationandwithoutquestion,thebuyershallmakeconfirmation.ThesellerneednotsendhispeopletoChina.Otherwise,thesellershallsendhistechnicalpersonnelathisownexpensetoChinatoexplainthedesigning,thebuyershallassisttoarrangeentryvisaandsojournformalities.Duringtheperiodofexplainingdesign,thebuyerhastherighttoputforwardhisopinionofimprovement,towhichthesellershallgivefullconsideration.Afterhavingexaminedthepreliminarydesign,bothpartiesshallsignanagreement,whichwillbethebasisofthefinaldesign.

6.5 Accordingtothecontentofthecontractplant,tenyeartechnical

exchangeandcooperationbetweenbothpartieswillbecarriedout.Thesellershallprovidetheadvancedtechnologyandtechnicalmaterialstothebuyerandassistthebuyertosolvetheproblems,whicharehappenedintherespectofqualityofthecontractplant.

6.6 Thebuyershallsendareporttothesellerabouttheusingofthecontractplantonceayearandgivesomesuggestionoftheimprovementofthecontractplant.

6.7 Ifanyproductionqualityproblemswerefoundfromthecontractplant,theselleragreestosendhistechnicalpersonneltothesiteforinspectionandanalyzingthereason,whichhadhappenedafterthetwentyfourmonthsoftheequipmentguaranteeperiod.Iftheresultisfortheseller’faultsinthequalityoftheequipment,thesellerwillundertakedutiesandfeesduringtheperiodoftheequipmentguarantee.

Chapter 7 StandardsandInspection

7.1

Thesellershallcarryouttheequipment

manufacturing,selection

ofmaterial,inspectionandtestfortheequipmentsuppliedbythe

selleraccordingtotheexistingstandardsandcodesin

Appendix2.

Thesellershall

within

2monthsafter

cominginto

forceofthe

presentcontractairmailtheabove-mentionedstandardsandcodes

oftheseller

’scompanyin6copiesandstandardsandcodesoft

seller

’countrys

in2

copies

tothebuyer.Thebuyermayput

forwardhiscommentsuponanyoftheabovementionedcompany

standardsandcodes.Thesestandardsandcodesmaybechanged

and

willbethebasisfor

theinspectionandtestafterthe

consultationandagreementsbetweenbothparties.

7.2

Allequipmentsuppliedbythesellershallbeinspectedandtested

bythesellerandqualitycertificatesaswellasinspectionandtest

recordsissuedbythemanufacturersorthesellershallbesubmitted

tothebuyer.Thesedocumentsshallberegardedascertificatesof

qualityguaranteeasstipulatedinthepresentcontract.Allexpenses

involvedintheinspectionandtestoftheequipmentshallbeforthe

seller

’saccount.

7.3

Theopenpackageinspection

andtestforallequipmentsupplied

bythesellershallbeperformedonthecontractplantsite.The

sellerisentitledtosendhisrepresentativesathisownexpenseto

thecontractplantsitetojoinintheinspection.Thebuyershall

informthesellerofthedateofinspection1monthbeforethedate

ofopenpackageinspectionandshallalsorenderassistancetothe

seller

’inspectorin

theirinspectionwork.Shouldanyshortage,

defect,

damageor

caseswhich

arenot

in

conformity

with

the

stipulationof

thepresentcontract

orwith

thequality

standards

specifiedunderclauses7.1and9.1ofthepresentcontractbefound

with

thedeliveredequipmentduringopenpackageinspectionby

therepresentativesofbothparties,adetailedrecordshallbemade

andsignedbythem.This

recordshallbetakenasaneffective

evidenceforthebuyertoclaimreplacement,repairorsupplement

fromthesellerincasethesellerisresponsible.

7.4

Ifnotduetothebuyer

’sreason,theseller

’sinspector

theopenpackageinspection,thebuyershallhavetherighttoopen

packageandconducttheinspectionindependently.Shouldany

problembefoundasstatedinclause7.8ofthepresentcontract,a

certificateshallbeissuedbychinanationalcommodityinspection

bureauasaneffectiveevidenceforthebuyertoclaimreplacement,

repairorsupplementfromthe

seller

in

case

the

seller

is

responsible.Thesellershallmakethereplacementandsupplement

themissingpartsfreeofchargeorlowerthepriceimmediately

afterreceivingthecertificateofclaimfromthebuyer

andshall

responsiblefortheriskandfreightarisingthereoftheerectionsite

aswell

astheinspection

feeof

thebuyer.The

seller

asksfor

renegotiations

within

2

weeks

after

receiving

the

buyer’s

certificateofclaimandbothpartiesshallnegotiateagainifthereis

anydifferentopinion.Theclaimwouldbedeemedasestablished

afterthesaidperiod.Thesellershallreplaceand/orsupplement

thegoodsnotlaterthan2monthsafterhavingreceivedthebuyer

claim.

7.5

Ifany

damageof

equipment

werefound

in

open

package

inspectionowingtothereason

ofthebuyer,theseller

shall

supplementorreplaceitatthe

buyer’expenseas

soon

as

receiving

the

buyer’notifications.

Defective

andreplaced

parts

shall

be

returned,

if

requested

bythe

seller

on

Zhaoxian

mill

basisandtheEQUIPMENTshallbereturnedtotheselleronDDPZhaoxianmillbasis,butsuchreturnshallnotbeeffectedbeforethearrivalofthereplacementatjobsite.

7.6 Thesaidinspectionwillnotreleasethesellerfromhisresponsibilityunderchapters8and9.

7.7Duringtheinspection,thebuyerhastherighttocarryouttheinspectionaccordingtothebuyer’scurrentstandardsafter

negotiationwiththesellerifthestandardsprovidedbythesellerforinspectionisfoundincompleteornotprovidedintime.

Chapter 8 ERECTION,COMMISSIONINGANDACCEPTANCE

8.1 Erectionreferstotheerectionworkincludingassembly,connectingandplacingthepartstoitspositionaccordingtothedesigndrawingofallequipmentandmaterialsofthecontractplant.Commissioningreferstotheinitialproductionofthecontractplant,withdrawmaterialsandutilities.PerformancetestreferstothetestsforexaminingthedifferentguaranteefiguresasspecifiedinAppendix3tothepresentcontract.Acceptancereferstotheacceptanceofthecontractplantbythebuyeriftheresultoftheperformancetestshowsthatallguaranteeindicesspecifiedinappendix3ofthepresentcontractcanbereached.

8.2 Theerectionofthecontractplantshallbecarriedoutundertheorganizationofwhichthebuyerisresponsible,andunderthetechnicalinstructionofwhichthesellerisresponsible.Thesellerwilltakeoverthetechnicalinstructionfortheerectionasfarasallequipment,forwhichthedetailengineeringworkhasbeenperformedbythesellerareconcerned,aswellasinstructionsfortheconnectionpointsatbatterylimits.Thecommissioningandperformancetestofthecontractplantshallbecarriedoutundertheorganizationofwhichthebuyerisresponsibleandunderthetechnicalinstructionofwhichthesellerisresponsible.Eachpartshallnominate2monthsbeforethebeginningoferection1representativetodealwithalltechnicalmattersinconnectionwiththecontractplantduringtheperiodfromerectionuptotheacceptanceofthecontractplant.Detailedarrangementsshallbemadethroughfriendlyconsultationbytherepresentativesofbothparties.Therepresentativesofbothpartsshouldfullyco-operatetocompletetheconstructionoftheContractPlantwithin6monthfromthedateofcomingintoforceContract.Incasethereshouldariseanyproblemanddisputesbetweenbothparties,theyshould

analyzetheseason,clarityitsresponsibilitiesandsettleitonsite

throughfriendlyconsultation.

8.3

Beforetheerectionwork

begin,theseller

’technicals

personnel

shallgivedetaileddescriptionsofthemethodsandrequirements

of

theerection.

During

the

recreation

the

seller

’technicals

personnelshallgivetechnicalinstructions

to

theerection

work

andtakepartintheinspectionandtestoferection

qualityofall

the

equipment

important

technical

instructions

bythe

seller’s

technicalpersonnelshallbesubmittedinwrittenfrom.

8.4

Aftertheaccomplishmentoferection,therepresentativesofboth

partiesshallmakeinspectionandcarryouttest

run

together

accordingtothetechnicaldocumentsanddrawingswhenthey

thinktheerectionworkisdoneinfull

conformity

with

design

requirements.Theerectioncertificatesfor

the

same

kind

of

equipmentaswellastestruncertificates

for

thesinglemachine

andaseriesof

machinesandequipment

will

besignedby

the

representativesofbothparties.Thebasisfortheabovementioned

certificates

shouldbe

the

logbook

as

specified

in

clause

of

Appendix3tohepresentcontract.If

the

test

run

hasbeen

successfullyperformedandtheerectionisfoundinfull

conformitywiththerequirementsofthetechnicaldocumentation,

acertificate

for

thefinished

erection

shall

be

signed

by

the

representativesofbothpartiesontheplantsitewithin7days.The

dateofsigningthiscertificateshallbedeemedasthedateofthe

completionoftheerectionandtestrunofthecontractplant.But

thiscertificateshallnotsetfreethesellerfromhisresponsibility

asspecifiedinchapter9ofthepresentcontractforthedefectsof

theequipmentandmaterialsfoundduringtheperiodof

commissioning,performancetestandmechanicalguarantee.

8.5

Afterthecompletionofthetestrunspecifiedinclause8.4ofthis

chapter,the

commissioning

shallbecarriedout

as

quick

as

possible.Thestartupdateshallbefixed

between

site

representativesofbothpartiesthroughnegotiation.

Before

commissioning,

the

buyer

shall

make

available

sufficient

maintenance,

laboratory

andtesting

facilities

and

skilled

personnelincludingthepersonnelasAppendix5

tothepresent

contractforoperation,maintenanceandtestingaswellasallraw

materialsandutilities

in

the

required

quantity

and

quality

as

specifiedin

Appendix3tothepresent

contract.The

seller’s

technicalpersonnelshallhaveaccesstothelaboratoryandtesting

facilitiesinordertotakesamplesandmakeanalyticaltests.The

sampletakingandanalytical

testduring

thecommissioning

and

performance

test

will

be

done

in

the

presence

of

the

representativesofbothparties.Thesampletakingandanalytical

test

which

are

deemed

necessary

by

the

seller

’technicals

personnelbesidetheseproceduresalreadyagreeduponshallbe

done

bythe

ofeachperformancetestshallberecorded

Ifalltheguaranteefiguresspecifiedin

Appendix3tothepresent

contractarefulfilledintheperformancetestperiodasspecifiedin

Appendix3tothepresentcontract,acertificateofacceptanceof

thecontractplantshallbesignedby

therepresentativesof

both

partieswithin

5daysin4copies.2copiesforeachparty.This

shallbedeemedasacceptanceofthecontractplantbythebuyer.

Ifanyperformancetestfailsduetotheseller

’srea

shallhavetomakenecessaryrepair,replacementand/or

modifications

totheequipmentasquick

aspossiblewithin

the

periodagreeduponbybothparties.Aftermakingmodifications,a

performancetestshallbecarriedoutagainassoonaspossiblein

accordancewith

Appendix3

tothepresentcontract.Thebuyer

shalltryhisbesttogiveassistance.Iftheabovementionedrepair,

replacementand/ormodificationsshouldbecarriedoutonsite,

allinvolved

costs(e.g.workinghourcost,materialscost,etc.)

shallbebornebytheselleraccordingtothefinalcalculationmade

bytherepresentativesauthorized
