國(guó)際博覽會(huì)知識(shí)產(chǎn)權(quán)保護(hù)合同（中英文對(duì)照）國(guó)際博覽會(huì)知識(shí)產(chǎn)權(quán)保護(hù)合同（中英文對(duì)照）CONTRACTSFORPROTECTIONOFINTELLECTUALPROPERTYRIGHTSATFAIR目錄TABLEOFCONTENTS第一條博覽會(huì)名稱、地址及期限Article1Name,addressanddurationofthefair第二條展前審查Article2.Pre-exhibitionreview第三條展中投訴處理Article3.Complainthandlingintheexhibition第四條違約責(zé)任Article4Liabilityforbreach第五條爭(zhēng)議解決方式Article5DisputeSettlement第六條其他事項(xiàng)Article6Miscellaneous附件一參展知識(shí)產(chǎn)權(quán)承諾書Attachment1COMMITMENTTOEXHIBITINTELLECTUALPROPERTYRIGHTS部分章節(jié)示例如下：第二條展前審查Article2.Pre-exhibitionreview1.乙方應(yīng)當(dāng)在參展前自行檢查參展項(xiàng)目的知識(shí)產(chǎn)權(quán)內(nèi)容，并于年月日前向甲方提交《參展知識(shí)產(chǎn)權(quán)承諾書》(見附件一)。1.PartyBshallmakeself-inspectionofthecontentsoftheintellectualpropertyrightsofitsexhibiteditemspriortotheexhibitionandshall,priortothe___day___month____year,submittheCommitmenttoExhibitIntellectualPropertyRights(refertoAnnexI)toPartyA2.乙方應(yīng)當(dāng)攜帶與參展項(xiàng)目相關(guān)的權(quán)利證明原件或者復(fù)印件參展，并按照有關(guān)規(guī)定對(duì)參展項(xiàng)目標(biāo)注知識(shí)產(chǎn)權(quán)標(biāo)記、標(biāo)識(shí)。2.PartyBshalltakealongtheoriginaloracopyoftheproofofrightsrelatedtotheexhibiteditemsandlabeltheexhibiteditemswiththeintellectualpropertymarkandlogoinaccordancewiththerelevantregulations.3.甲方或甲方設(shè)立的知識(shí)產(chǎn)權(quán)投訴機(jī)構(gòu)(以下簡(jiǎn)稱“投訴機(jī)構(gòu)”)有權(quán)在博覽會(huì)開始前對(duì)乙方參展項(xiàng)目知識(shí)產(chǎn)權(quán)狀況進(jìn)行審查，審查內(nèi)容包括：展品、展臺(tái)、展板、相關(guān)宣傳資料及其他。3.PartyAorthecomplaintsbodyforintellectualpropertyrightswhichestablishedbyPartyA(hereinafterreferredtoastheComplaintsBody)shall,priortothecommencementoftheFair,havetherighttoexaminetheintellectualpropertyrightsofPartyB'sexhibits,includingexhibits,booths,panels,relatedpromotionalmaterialsandothers.4.乙方應(yīng)當(dāng)積極配合甲方的展前審查工作，并于年月日前向甲方提交審查所需物品及資料。4.PartyBshallmakeactivecooperationwithPartyAinthepre-exhibitionreviewand,priortothe___day___month____year,submittheitemsandmaterialsrequiredtoPartyAforthereview.5.甲方的展前審查工作應(yīng)當(dāng)于年月日前完成。甲方發(fā)現(xiàn)乙方的參展項(xiàng)目可能引起知識(shí)產(chǎn)權(quán)糾紛的，有權(quán)督促乙方再查或者采取相應(yīng)措施。5.PartyA'spre-showreviewshouldbecompletedpriortothe___day___month____year,andifPartyAbelievePartyB'sexhibitsmaybegiverisetointellectualpropertydisputes,hastherighttourgePartyBtore-investigateortakeappropriatemeasures.第三條展中投訴處理Article3.Complainthandlingintheexhibition1.甲方應(yīng)當(dāng)向乙方提供與博覽會(huì)有關(guān)的知識(shí)產(chǎn)權(quán)保護(hù)法律和相關(guān)專業(yè)技術(shù)方面的宣傳咨詢服務(wù)。1.PartyAshallprovidePartyBwithinformationandadvisoryservicesonthelegalandtechnicalaspectsofIPRprotectioninrelationtotheFair.2.甲方應(yīng)當(dāng)在顯著位置向乙方公示知識(shí)產(chǎn)權(quán)行政管理部門的受案范圍和聯(lián)系方式，并公布甲方或者投訴機(jī)構(gòu)的服務(wù)事項(xiàng)、投訴程序、投訴地點(diǎn)和聯(lián)系方式。2.PartyAshall,inaprominentposition,publicizetoPartyBthecasescopeandcontactinformationoftheintellectualpropertyadministrativedepartment,andpublishtheservicematters,complaintprocedures,complaintlocationsandcontactdetailsofPartyAorthecomplainingbody.3.乙方應(yīng)當(dāng)依據(jù)中華人民共和國(guó)關(guān)于知識(shí)產(chǎn)權(quán)的相關(guān)法律規(guī)定，規(guī)范使用其參展項(xiàng)目涉及的知識(shí)產(chǎn)權(quán)。3.PartyBshallstandardizetheuseoftheintellectualpropertyrightsinvolvedinitsexhibitsinaccordancewiththerelevantlawsandregulationsofthePeople'sRepublicofChinaonintellectualpropertyrights.4.乙方認(rèn)為其他參展方的參展項(xiàng)目侵犯其知識(shí)產(chǎn)權(quán)的，有權(quán)向甲方投訴，也可以自行與該參展方交涉，但不得擾亂博覽會(huì)秩序。4.ProvidedthatPartyBconsiderstheexhibitionitemsofotherexhibitorsinfringeitsintellectualpropertyrights,itshallhavetherighttocomplaintoPartyA,ormaynegotiatewiththeexhibitorsinquestionbyitself,howevershallnotdisturbtheorderofthefair.5.甲方應(yīng)當(dāng)按照《博覽會(huì)知識(shí)產(chǎn)權(quán)投訴處理程序》(見附件二)，接受乙方對(duì)其他參展方或第三方對(duì)乙方的知識(shí)產(chǎn)權(quán)侵權(quán)投訴。5.PartyAshallacceptcomplaintsfromPartyBinrespectofIPRinfringementbyotherexhibitorsorthirdpartiesagainstPartyBinaccordancewiththeProceduresforHandlingIPRComplaintsattheFair(refertoAnnexII).6.甲方接受投訴后，有權(quán)對(duì)投訴涉及的情況進(jìn)行調(diào)查處理，對(duì)乙方的參展項(xiàng)目采取拍照、復(fù)印、錄像等措施，并在各方自愿的基礎(chǔ)上進(jìn)行調(diào)解。6.PartyAhastheright,uponreceiptofcomplaint,toinvestigateanddealwiththeissuesinvolvedinthecomplaint,takemeasuressuchasphotographing,photocopyingandvideorecordingofPartyB'sexhibits,andconductmediationonavoluntarybasisbetweentheparties.7.乙方被投訴的，應(yīng)當(dāng)積極配合甲方的調(diào)查處理，并根據(jù)甲方的要求提交書面陳述意見和相關(guān)證據(jù)材料,做出不侵權(quán)的舉證。7.PartyB,uponbeingcomplained,shallactivelycooperatewithPartyAintheinvestigationandhandlingofthecases,andsubmitwrittenstatementsandrelevantevidentialmaterialsinlightofPartyA’srequirements,inadditiontomakeevidenceofnon-infringement.8.甲方應(yīng)當(dāng)妥善保管投訴有關(guān)資料，并根據(jù)乙方的要求對(duì)投訴涉及的有關(guān)情況出具相關(guān)事實(shí)證明，提供相關(guān)證據(jù)材料。8.PartyAshallproperlykeeptherelevantmaterialsofthecomplaint,andproviderelevantevidenceoffactsandrelevantmaterialsrelatedtothecomplaintinlightofPartyB'srequirements.9.甲方應(yīng)當(dāng)對(duì)在合同履行過(guò)程中掌握的乙方商業(yè)秘密承擔(dān)保密義務(wù)。9.PartyAshallkeepconfidentialPartyB'stradesecretswhichacknowledgedduringtheperformanceoftheContract.第四條違約責(zé)任Article4Liabilityforbreach1.屬于下列情況的，甲方有權(quán)要求乙方立即采取撤展、遮蓋等處理措施：1.PartyAshallhavetherighttorequirePartyBtotakeimmediatemeasurestoremoveorcoveruptheexhibitioninthefollowingcases.(1)生效的法律文書確認(rèn)乙方參展項(xiàng)目侵犯第三方知識(shí)產(chǎn)權(quán)的;(1)EffectivelegaldocumentsconfirmthatPartyB'sexhibitionprojectinfringestheintellectualpropertyrightsofathirdparty;(2)乙方承認(rèn)其參展項(xiàng)目涉嫌侵權(quán)的;(2)PartyB’sadmissionofitsinfringementoftheexhibitionitem;(3)乙方無(wú)正當(dāng)理由拒不提供陳述意見和相關(guān)證據(jù)材料的。(3)PartyBrefusestosubmitrepresentationsandrelevantevidentialmaterialswithoutvalidreasons.2.屬于下列情況的，甲方有權(quán)直接對(duì)乙方參展項(xiàng)目采取撤展或者遮蓋等處理措施，并由乙方承擔(dān)甲方采取處理措施的費(fèi)用。情節(jié)嚴(yán)重的，甲方有權(quán)終止乙方的參展資格：2.PartyAhastherighttodirectlytakemeasures,forthefollowingcases,suchaswithdrawingorcoveringtheexhibitsofPartyBwhichshallbeartheexpenseofthemeasurestakenbyPartyA.Inseriouscases,PartyAhastherighttoterminatePartyB'seligibilitytoexhibit.(1)乙方拒不采取撤展、遮蓋等處理措施的;(1)PartyB’srefusaloftakingmeasurestoremoveorcoveruptheexhibition;(2)采取撤展、遮蓋等處理措施后乙方擅自恢復(fù)的;(2)PartyB’sre-preparationoftheexhibitwithoutpermissionsubsequenttotakingmeasurestoremoveorcoveritup;(3)乙方拒不配合甲方的調(diào)查處理的。(3)PartyBrefusaloftakingcooperationwithPartyA'sinvestigationandhandling.3.除前款情況外，甲方直接采取撤展、遮蓋等處理措施給乙方造成損失的，應(yīng)當(dāng)承擔(dān)賠償責(zé)任。3.Exceptasthecasesspecifiedintheprecedingparagraph,PartyA
