Introduction

Thisagreement,referredtoasthe“Contract”,isenteredintoandmadeeffectiveasofthedateofsignaturebyandbetween:

[Nameofimporter],acompanyincorporatedandregisteredunderthelawsof[Country],havingitsprincipalplaceofbusinessat[Address],hereinafterreferredtoasthe“Importer”

Thepartiesherebyagreeasfollows:

Shipment

TheExporteragreestotransportanddeliverthegoodsdescribedinExhibitA(the“Goods”)totheportof[City],[Country]ortosuchotherdestinationasmaybeagreeduponinwritingbytheparties(the“Destination”)andtheImporteragreestoacceptdeliveryoftheGoodsattheDestination.

Payment

TheImportershallpaytheExporteratotalpurchasepriceequalto[Amount](the“PurchasePrice”),payableasfollows:

Allpaymentsshallbemadeinthecurrencyagreeduponinwritingbytheparties.

Delivery

DeliveryoftheGoodsshallbemadebytheExporterattheportof[City],[Country]oratsuchotherdestinationasmaybeagreeduponinwritingbytheparties.TimeofdeliveryisoftheessenceofthisContract,andanydelayshallbeconsideredabreachofthisContract.TheExportershallnotbeliableforanydelaycausedbycircumstancesbeyonditscontrol.

Insurance

TheExportershallinsuretheGoodsduringtransportuntildeliverytotheDestination,withinsurancecoverageprovidedbyareputableinsurancecompany.TheinsurancepremiumshallbebornebytheExporter,andtheImportershallnotbeliableforanyinsurancecosts.

Inspection

TheImportershallhavetherighttoinspecttheGoodsuponarrivalattheDestinationandshall,within[Numberofdays]daysaftersucharrival,givenoticetotheExporterofanydamageordefectsdiscoveredintheGoodsthatwerenotapparentuponarrival.

LimitationofLiability

TheExportershallnotbeliableforanylossordamagetotheGoodscausedbycircumstancesbeyonditscontrol,includingbutnotlimitedtoactsofGod,publicenemies,authorityoflaw,quarantinerestrictions,labordisputes,orcarrierdelays.TheExportershallnotbeliableforanyconsequentialdamagesarisingfromanybreachofthisContract.

GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].AnydisputearisingunderorinconnectionwiththisContractshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationAssociation].Allarbitrationproceedingsshallbeconductedin[City],[Country].

EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal,relatingtothesubjectmatterhereof.

Execution

ThisContractshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.ThisContractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichshallconstituteoneandthesameinstrument.ThisContractmaynotbemodifiedoramendedexceptinwritingsignedbybothparties.
