________________________________（2）數(shù)量Quantity：_______________________________________________________________________________________（3）單價及價格條款UnitPriceandTermsofDelivery:________________________________________________________________________________________________________（除非另有規(guī)定，"FOB"、"CFR"和"CIF"均應(yīng)依照國際商會制定的《2000年國際貿(mào)易術(shù)語解釋通則》(INCOTERMS2000)辦理。）(ThetermsFOB,CFR,orCIFshallbesubjecttotheInternationalRulesfortheInterpretationofTradeTerms(INCOTERMS2000)providedbyInternationalChamberofCommerce(ICC)unlessotherwisestipulatedherein.)（4）金額Amount：_______________________________合計Total:________________________________裝運數(shù)量允許有___％的增減Moreorlessallowed_____％（5）包裝Packing:______________________________________________________________________________（6）裝運口岸PortofLoading:_________________________________（7）目的口岸PortofDestination:________________________________（8）裝船標記ShippingMarks:_____________________________________（9）裝運期限TimeofShipment:貨物將在收到信用證____天內(nèi)裝出。Within________daysafterreceiptofL/C.（）允許轉(zhuǎn)船,（）允許分批裝運，最多可以分（）批。Transhipment()allowed,Partialshipment()allowedandcargocanbeshippedoutnomorethan()lots.（10）付款條件（TermsofPayment）：買方須于_____________前將保兌的、不可撤銷的、可轉(zhuǎn)讓的、可分割的即期付款信用證開到賣方，該信用證的有效期延至裝運期后_____天在中國到期，并必須注明允許分批裝運和轉(zhuǎn)船。ByConfirmed,Irrevocable,TransferableandDivisibleL/CtobeavailablebysightdrafttoreachtheSellerbefore______，andtoremainvalidfornegotiationinChinauntil______aftertheTimeofShipment.TheL/Cmustspecifythattransshipmentandpartialshipmentsareallowedornot.買方未在規(guī)定的時間內(nèi)開出信用證，賣方有權(quán)發(fā)出通知取消本合同，或接受買方對本合同未執(zhí)行的全部或部份，或?qū)σ虼嗽馐艿膿p失提出索賠。TheBuyershallestablishaLetterofCreditbeforetheabove-stipulatedtime,failingwhich,theSellershallhavetherighttorescindthisContractuponthearrivalofthenoticeatBuyerortoacceptwholeorpartofthisContractnonfulfilledbytheBuyer,ortolodgeaclaimforthedirectlossessustained,ifany.（11）保險（Insurance）：按發(fā)票金額的110%投保________險，由________負責投保。Covering_____Risksfor110%ofInvoiceValuetobeeffectedbythe____________.投保險別以本售貨合同中所開列的為限，買方如要求增加保額或保險范圍，應(yīng)于裝船前經(jīng)賣方同意，因此而增加的保險費由買方負責。Allrisksinsuredshouldbeincludedwithinthiscontract.IftheBuyeraskstoincreasetheinsurancepremiumorscopeofrisks,heshouldgetthepermissionoftheSellerbeforetimeofloading,andallthechargesthusincurredshouldbebornebytheBuyer.（12）單據(jù)Documents:賣方應(yīng)向議付銀行提供已裝船清潔提單、發(fā)票、中國商品檢驗局或工廠出具的品質(zhì)證明、中國商品檢驗局出具的數(shù)量/重量簽訂書；如果本合同按CTF條件，應(yīng)再提供可轉(zhuǎn)讓的保險單或保險憑證。TheSellersshallpresenttothenegotiatingbank,CleanOnBoardBillofLading,Invoice,QualityCertificateissuedbytheChinaCommodityInspectionBureauortheManufacturers,SurveyReportonQuantity/WeightissuedbytheChinaCommodityInspectionBureau,andTransferableInsurancepolicyorInsuranceCertificatewhenthiscontractismadeonCIFbasis.（13）品質(zhì)和數(shù)量的異議與索賠QualityandQuantityDiscrepancyandClaim:貨到目的口岸后，買方如發(fā)現(xiàn)貨物品質(zhì)或數(shù)量與合同規(guī)定不符，除屬于保險公司或船公司的責任外，買方可以憑雙方同意的檢驗機構(gòu)出具的檢驗證明向賣方提出異議。品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量/重量異議須于貨到目的口岸之日起15天內(nèi)提出。Incaseofqualitydiscrepancy,claimshouldbefiledbytheBuyerwithin30daysafterthearrivalofthegoodsatportofdestination;whileforquantitydiscrepancy,claimshouldbefiledbytheBuyerwithin15daysafterthearrivalofthegoodsatportofdestination.ItisunderstoodthattheSellershallnotbeliableforanydiscrepancyofthegoodsshippedduetocausesforwhichtheInsuranceCompany,ShippingCompany,othertransportationorganizationsareliable.（14）不可抗力Forcemajeure:由于人力不可抗拒事故，而賣方交貨遲延或不能交貨時，責任不在賣方。但賣方應(yīng)立即將事故通知買方；并于事故發(fā)生后15天內(nèi)書面提交有關(guān)證明。如果事故持續(xù)超過10個星期，買方有權(quán)撤銷本合同。TheSellersshallnotbeheldresponsibleforanydelayindeliveryornon-deliveryofthegoodsduetoFORCEMAJEURE.However,theSellersshalladviseBuyersimmediatelyofsuchoccurrenceandwithin15daysthereafter,shallprovidewithwrittenevidencetotheBuyersissuedbythecompetentauthoritiesoftheplacewheretheaccidentoccursasevidencethereof.Incasetheaccidentlastsformorethan10weeks,theBuyersshallhavetherighttocancelthisContract.（15）仲裁Arbitration:凡因執(zhí)行本合同或與本合同有關(guān)事項所發(fā)生的一切爭執(zhí)，應(yīng)由雙方通過友好方式協(xié)商解決。如果不能取得協(xié)議時，則在中國國際經(jīng)濟貿(mào)易仲裁委員會上海分會根據(jù)該仲裁機構(gòu)的仲裁程序規(guī)則進行仲裁。仲裁決定是終局的，對雙方具有同等約束力。仲裁費用除非仲裁機構(gòu)另有決定外，均由敗訴一方負擔。Alldisputesinconnectionwiththiscontractortheexecutionthereofshallbesettledfriendlythroughnegotiations.Incasenosettlementcanbereached,thecasemaythenbesubmittedforarbitrationtoChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewiththeprovisionalRulesofProcedurespromulgatedbythesaidArbitrationCommission.ThearbitrationshalltakeplaceinShanghaiandthedecisionoftheArbitrationCommissionshallbefinalandbindinguponbothpar
