utelyconfidential.Anybehaviorofdisclosingthetradesecretstocompetitorsandcausinglosseswillleadtolegalaction.產(chǎn)品變更和增加：a.在合同履行過程中，對任何變更和增加產(chǎn)品，甲方應(yīng)及時向乙方下發(fā)書面指令，沒有書面指令乙方可暫緩執(zhí)行，任何變更和增加產(chǎn)品需在費用經(jīng)雙方確認(rèn)后方可組織生產(chǎn)。b.乙方確認(rèn)增加和變更的價款作為追加合同價款，按照本合同約定的支付方式支付。ChangeandadditionofproductsInthecourseofcontractimplementation,ifthereisanychangeoradditiontoproduct,theBuyersshouldadvisetheSellersinwritingassoonaspossible.Ifwritteninstructionsarenotgiven,theSellerscansuspendoperation.Theproductstobechangedoraddedcanonlybearrangedafterbothpartiesconfirmontheexpenses.Theconfirmationonexpensearisingfromthechangeandadditionofproductswillberegardedasanadditiontothecontract,andshallbesubjecttothepaymenttermsstipulatedinthiscontract.質(zhì)量保證：產(chǎn)品質(zhì)量應(yīng)當(dāng)達(dá)到合同約定的質(zhì)量標(biāo)準(zhǔn)。因賣方產(chǎn)品質(zhì)量達(dá)不到約定的質(zhì)量標(biāo)準(zhǔn)，由賣方負(fù)責(zé)提供符合約定質(zhì)量標(biāo)準(zhǔn)的替代品并承擔(dān)由其給買方造成的損失。GuaranteeofQuality：Theproductshouldmeetthequalityrequirementsstipulatedinthiscontract.Shouldtherebedefectiveproduct,theSellershavetheresponsibilitytoprovidereplacementandmakeupforthelosscausedthereof.賣方對產(chǎn)品提供質(zhì)量擔(dān)保，擔(dān)保期為一年，從貨物抵達(dá)目的港的那天算起。在擔(dān)保期間，任何由于產(chǎn)品本身的設(shè)計和制造缺陷而造成的產(chǎn)品質(zhì)量問題，賣方將免費提供符合約定質(zhì)量標(biāo)準(zhǔn)的替代品。由于不正當(dāng)安裝、使用等人為因素而造成的問題不在擔(dān)保范圍之內(nèi)。Theproductiswarrantedforaperiodof365daysfromthedateofarrivingatportofdestination.Duringthewarrantyperiod,ifthereisanyproblemduetodefectsofproductdesignandfabrication,theSellersshallprovidereplacementfreeofcharge.Theproblemresultedfromhumanfactorsincludingimproperinstallation,unwiseuseandsoforthisbeyondthecoverage.檢驗和索賠：貨卸目的口岸，買方有權(quán)申請中華人民共和國國家質(zhì)量監(jiān)督檢驗檢疫總局進(jìn)行檢驗。如發(fā)現(xiàn)貨物的品質(zhì)及/或數(shù)量/重量與合同或發(fā)票不符：除屬于保險公司及/或船公司的責(zé)任外，買方有權(quán)在貨卸目的口岸后90天內(nèi)，根據(jù)中華人民共和國國家質(zhì)量監(jiān)督檢驗檢疫總局出具的證明書向賣方提出索賠，因索賠所發(fā)生的一切費用（包括檢驗費用）均有賣方負(fù)擔(dān)。FOB價格條件時，如重量短缺，買方有權(quán)同時索賠短重部分的運費。InspectionandClaim：TheBuyersshallhavetherighttoapplytotheGeneralAdministrationofQuanlitySupervision,InspectionandQuarantineofthePeople’sRepublicofChina(AQSIQ)forinspectionafterdischargeofthegoodsattheportofdestination.Shouldthequalityand/orquantity/weightbefoundnotinconformitywiththecontractorinvoicetheBuyersshallbeentitledtolodgeclaimswiththeSellersonthebasisofAQSIQ‘sSurveyReport,within90daysafterdischargeofthegoodsattheportofdestination,withtheexception,however,ofthoseclaimsforwhichtheshippingcompanyand/ortheinsurancecompanyaretobeheldresponsible.AllexpensesincurredontheclaimincludingtheinspectionfeeaspertheAQSIQinspectioncertificatearetobebornebytheSellers.IncaseofFOBterms,thebuyersshallalsobeentitledtoclaimfreightforshortweightifany.不可抗力：由于水災(zāi)、火災(zāi)、地震、海嘯、戰(zhàn)爭、罷工等一切無法預(yù)見、控制和克服的事件導(dǎo)致不能或暫時不能全部或部分履行本協(xié)議，賣方不負(fù)責(zé)任。但賣方必須立即通知買方，并以掛號函向買方提出有關(guān)政府機關(guān)或者商會所出具的證明，以證明事故的存在。由于人力不可抗拒事故致使交貨期限延期一個月以上時，買方有權(quán)撤銷合同。賣方不能取得出口許可證不得作為不可抗力。ForceMajeure：TheSellersshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthiscontractduetoflood,fire,earthquake,tsunami,war,strikeoranyothereventswhichcouldnotbepredicted,controlledandovercome.However,theSellersshallnotifyimmediatelytheBuyersanddelivertotheBuyersbyregisteredmailacertificateissuedbygovernmentauthoritiesorChamberofCommerceasevidencethereof.IftheshipmentisdelayedoveronemonthastheconsequenceofthesaidForceMajeure,theBuyersshallhavetherighttocancelthisContract.Sellers’inabilityinobtainingexportlicenceshallnotbeconsideredasForceMajeure.仲裁：一切因執(zhí)行本合同或與本合同有關(guān)的爭執(zhí)，應(yīng)由雙方通過友好方式協(xié)商解決。如經(jīng)協(xié)商不能得到解決時，應(yīng)提交北京中國國際貿(mào)易促進(jìn)委員會對外經(jīng)濟貿(mào)易仲裁委員會。按照中國國際貿(mào)易促進(jìn)委員會對外經(jīng)濟貿(mào)易仲裁委員會仲裁程序暫行規(guī)定進(jìn)行仲裁。仲裁委員會的裁決為終局裁決，對雙方均有約束力。仲裁費用除非仲裁委員會另有決定外，由敗訴一方負(fù)擔(dān)。Arbitration：All
