ProfessionalSubcontractingAgreement

ThisProfessionalSubcontractingAgreement("Agreement")isenteredintoasof[date](the"EffectiveDate")byandbetween[Companyname],a[State/CountryofIncorporation]corporation,withitsprincipalplaceofbusinessat[address]("Subcontractor"),and[Companyname],a[State/CountryofIncorporation]corporation,withitsprincipalplaceofbusinessat[address]("PrimeContractor").

1.ScopeofWork:

1.1.ThePrimeContractorherebyengagestheSubcontractortoperformthefollowingservices("Services"):[descriptionofservices].

1.2.TheSubcontractoracknowledgesandagreestoprovidetheServicesinaccordancewiththespecifications,schedules,andrequirementsoutlinedbythePrimeContractor.

2.TermandTermination:

2.1.ThisAgreementshallcommenceontheEffectiveDateandshallcontinueuntilthecompletionoftheServices,unlessterminatedearlierinaccordancewiththisAgreement.

2.2.EitherpartymayterminatethisAgreementuponwrittennoticeiftheotherpartyfailstoperformitsobligationsunderthisAgreement,subjecttoacureperiodof[numberofdays].

2.3.Upontermination,theSubcontractorshallpromptlyreturnanydocuments,materials,andconfidentialinformationprovidedbythePrimeContractor.

3.CompensationandPayment:

3.1.InconsiderationfortheprovisionoftheServices,thePrimeContractoragreestopaytheSubcontractortheamountof[paymentamount],payableasfollows:[paymentterms].

3.2.TheSubcontractorshallsubmitinvoicestothePrimeContractorfortheServicesrendered,andpaymentshallbemadewithin[numberofdays]daysofreceiptoftheinvoice.

4.OwnershipandIntellectualProperty:

4.1.Allintellectualpropertyrights,includingcopyrights,trademarks,patents,andtradesecrets,arisingfromtheServicesperformedbytheSubcontractorshallbevestedinandownedbythePrimeContractor.

4.2.TheSubcontractoragreesnottodiscloseoruseanyconfidentialorproprietaryinformationofthePrimeContractor,exceptasnecessarytoperformitsobligationsunderthisAgreement.

5.IndependentContractorRelationship:

5.1.TheSubcontractorisanindependentcontractorandnotanemployee,agent,orpartnerofthePrimeContractor.

5.2.TheSubcontractorshallbesolelyresponsibleforthetaxes,insurances,licenses,andotherstatutoryobligationsarisingfromtheprovisionoftheServices.

6.GoverningLawandDisputeResolution:

6.1.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[State/Country].

6.2.AnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughmediationorarbitrationinaccordancewiththerulesof[Mediation/ArbitrationOrganization].

7.EntireAgreementandAmendments:

7.1.ThisAgreementconstitutestheentireunderstandingbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetheroralorwritten,relatingtothesubjectmatterherein.

7.2.NoamendmentormodificationofthisAgreementshallbevalidunlessinwritingandsignedbybothparties.

INWITNESSWHEREOF,thepartiesheretohaveexecutedthisProfessionalSubcontractingAgreementasoftheEffectiveDate.
