Boxes4-8(“theVessel”),whichhasbeenacceptedbytheBuyersfollowingtheirsuperficialinspectionoftheVesselandexaminationofherclassrecordsasreferredtoinBoxes9and10respectivelyonthefollowingtermsandconditions.茲證明賣方（第1欄）與買方（第2欄）在此日達成賣方出售、買方買入船舶（船舶名稱參看第3欄）的買賣船舶協(xié)議，船舶詳細資料見第4欄到第8欄，且上述資料在買方進行船舶表面檢查及船級記錄（第9欄和第10欄）檢查后，已被買方所接受。該協(xié)議之條款及規(guī)定條件見下文。

PURCHASEPRICE

ThepurchasepriceoftheVessel(“thePurchasePrice”)shallbe

asstatedinBox11.

2.

PAYMENT

付款

(a)AssecurityforthefulfillmentofthisAgreement,theBuyers

shallremitadepositoften(10)percentofthePurchasePrice(“theDeposit”)toabanknominatedbytheSellerswithin

three(3)bankingdays(beingdaysonwhichbanksareopenforthetransactionofbusinessintheplacestatedinBox15(“BankingDays”)),fromthedateofthisAgreement,inthenamesofboththeSellersandtheBuyers.AnyinterestearnedontheDepositshallbecreditedtotheBuyers.BankchargesontheDepositshallbeborneequallybytheSellersandtheBuyers.TheDepositshallbepaidtotheSellersasapartof

thePurchasePriceinthesamemannerasthebalanceoftheninety(90)percentofthePurchasePriceasprovidedforhereunder.為確保協(xié)議充分履行之安全起見，買方應(yīng)在從本協(xié)議簽訂之日起3個銀行日（在第15欄（銀行工作日）內(nèi)規(guī)定地點的銀行開門營業(yè)辦理商業(yè)交易事宜的受理日）內(nèi)，將購買價格的10%作為保證金匯款給由賣方指定，以買賣雙方共同名義開設(shè)的銀行賬戶。保證金的所有利息收益歸買方所有。銀行對保證金收取的費用將由買賣雙方平均分攤。保證金將作為購買價格的一部分，與剩余的90%（詳見下文）以同一方式支付給賣方。

(b)TheBuyersshallremitthebalanceofthePurchasePricebytelegraphictransfertothesaidbankimmediatelyaftertheNoticeofReadinessforDeliveryistenderedbytheSellersasperclause7ofthisAgreement.ThebalanceshallbepaidtotheSellerstogetherwiththeDepositagainsttheProtocolofDeliveryandAcceptancebeingdulysignedbyarepresentativeofeachpartyatthetimeofdeliveryoftheVessel.在賣方按照本協(xié)議第7條遞交船舶交付準備就緒通知書之后，買方應(yīng)立即將剩余的90%購買價款電匯到上述銀行。剩余款項應(yīng)當在船舶交付時，由買賣雙方代表人適當簽署交付和接受協(xié)議議定書后，連同保證金一同支付給賣方。

3.

DOCUMENTATION交接文件

(a)AtthetimeofdeliveryoftheVessel,theSellersshallprovidetheBuyerswiththefollowingdocuments

(i)

theBillofSale,dulynotarizedbyaNotaryPublic,specifyingthattheVesselisfreefromalldebts,encumbrances,mortgagesandmaritimeliens;and

(ii)aletterfromtheSellersundertakingtosupplyaDeletionCertificatefromtheRegistrystatedinBox4assoonaspracticableaftertheVessel’sdelivery;and

(iii)suchotherdocumentsasmaybemutuallyagreed.

(b)UpondeliverytheBuyersandtheSellersshallexecuteandexchangeaProtocolofDeliveryandAcceptance,therebyconfirmingthedateandtimeofdeliveryoftheVessel.

(c)ClosingshalltakeplaceattheplacestatedinBox12.（a）在交付船舶時，賣方應(yīng)將以下文件提供給買方：

（i）

賣據(jù)，經(jīng)公正人正式簽字認證并明確載明該船舶沒有任何債務(wù)、負擔(dān)、抵押和船舶優(yōu)先權(quán)；和

（ii）賣方的確認函，保證在船舶交付之后盡可能提早提供在第4欄載明的船旗國注冊處簽發(fā)的注銷證書；和

（iii）

可能相互約定同意的其他文件。（b）在交付時，買賣雙方應(yīng)執(zhí)行和交換船舶交接議定書，以此來確認交付船舶的時間和日期。（c）交接會議應(yīng)在第12欄記載的地點進行。

4.

DELIVERYPLACE

ANDTIME

交付地點和時間

(a)TheSellersshallensurethattheVesselisreadyfordelivery

withintheDeliveryRangestatedinBox13notbeforeandnotlaterthanthedatesstatedinBox14,thelatterdatebeingtheCancellingDate.（a）

賣方應(yīng)確保船舶在交付區(qū)域（載于第13欄）內(nèi)已做好交付準備，不得早于且也不得晚于第14欄記載的時間，最后一天即為解約日。

(b)TheSellersshallkeeptheBuyersinformedoftheVessel’sitineraryandgivetheBuyersthirty(30),fifteen(15),seven(7)andthree(3)daysnoticeoftheexpecteddateandplaceofreadinessfordelivery.（b）

賣方應(yīng)保持通知買方船舶的行程，并提前30日、15日、7日和3日，發(fā)給買方關(guān)于船舶準備就緒交船的預(yù)期時間和地點的通知。

(c)IntheeventthattheVesselisnotreadyfordeliveryonorbeforetheCancellingDate,theBuyersshallhavetheoption

ofcancellingthisAgreement,providedsuchoptionshallbeexercisedinwritingwithintwo(2)WorkingDays(whichshallbethedaysnotfallingonSaturdays,Sundays,orPublic

holidaysintheplacestatedinBox15)fromtheCancellingDate.However,ifthefailuretodelivertheVesseliscausedbyanyeventoverwhichtheSellershavenocontrol,thentheCancellingDateshallbeextendedbythecorrespondingtimelostduetosucheventbutinnocaseshallsuchextensionbeforaperiodofmorethanthirty(30)days.（c）

萬一在解約日當天或之前，船舶沒有備妥交付，買方有權(quán)取消該買賣協(xié)議，但是須在從解約日起2個工作日（不應(yīng)發(fā)生在第15欄記載地點的周六、周日或公共假日范圍）內(nèi)以書面形式提出行使此選擇權(quán)。然而，如果不能交付船舶是由于賣方不能控制的任何事件所引起的，那么，解約日將根據(jù)該事件造成的時間損失做相應(yīng)的延長，但最長不得超過30天期限。

(d)IntheeventtheBuyersdonotelecttoexercisetheoptionto

canceltheAgreementinaccordancewithsub-clause(c)above,theyshallhavetherighttodesignateanewdatefordeliveryoftheVessel,providedsuchrightisexercisedinwritingwithintwo(2)WorkingDaysfromtheCancellingDate,andsuchdesignateddateshallbethenewCancellingDateasif

statedinBox14.HoweverifnonewCancellingDateis

designatedbytheBuyersinaccordancewiththissub-clausethereshallbenofurtherCancellingDateandtheSellersshalldelivertheVesselassoonaspracticable.

（d）

在買方?jīng)]有根據(jù)上文（c）款行使取銷該協(xié)議的選擇權(quán)時，他將有權(quán)指定一個新的船舶交付日，但須在從解約日起的兩個工作日內(nèi)以書面形式行使此權(quán)利，因此，該指定的日期應(yīng)成為新的解約日，如同第14欄已經(jīng)載明的一樣。然而，如果買方未根據(jù)上文（c）分條款進行指定，則應(yīng)不存在新的解約日，那么，賣方應(yīng)盡快交付船舶。

(e)Notwithstandingtheexerciseofduediligencebythem,iftheSellersanticipatethattheVesselwillnotbereadyfordeliverybytheCancellingDate,(whetheritbethefirstagreedCancellingDateoranysubsequentCancellingDateasprovidedforinsub-clause(d)above),thentheSellersmay

notifytheBuyersinwritingstatingthedatewhentheyanticipatethattheVesselwillbereadyfordeliveryandproposingthatthatdateshallbethenewCancellingDate.

UponreceiptofsuchnotificationtheBuyersshallhavetheoptiontocancelthisAgreement,providedsuchoptionis

exercisedinwritingwithintwo(2)WorkingDaysfromthereceiptoftheaforesaidnotificationfromtheSellers.Ifthe

BuyersdonotexercisetheoptiontocancelthisAgreement,thedateproposedbytheSellersshallbethenewCancellingDateasifstatedinBox（e）

盡管賣方已經(jīng)行使恪盡職守之職，如果賣方預(yù)計到船舶無法在解約日截止前準備就緒交付（無論是最初約定的解約日，還是根據(jù)上文（d）款規(guī)定，后來設(shè)定的任何解約日），那么賣方可以書面通知買方聲明他們預(yù)期準備就緒交付的日期，并提議該日作為新的解約日。一旦收到賣方的書面通知后，買方應(yīng)有權(quán)在收到該通知起的2個工作日內(nèi)書面取消本協(xié)議。如果買方?jīng)]有行使選擇權(quán)去取消本協(xié)議，那么，賣方提議的新的日期將成為新的解約日，如同第14欄載明一樣。

5.

DELIVERYCONDITION

交付條件

(a)TheSellersshalldelivertheVesseltotheBuyersin

substantiallythesameconditionaswhentheVesselwas

InspectedbytheBuyersattheplacestatedinBox9,fairwearandtearexcepted,butfreefromoutstandingrecommendationsandaveragedamageaffectingherpresentclassandwithallherclass,nationalandinternationaltradingcertificatescleanandvalidatthetimeofdelivery.

（a）

賣方交付船舶的狀況應(yīng)該與買方在第9欄載明的地點檢查船舶時基本一致，正常損耗除外；但不得有任何影響船舶現(xiàn)有船級狀況未糾正的批注和海事?lián)p壞；而且在交船時，保持所有船級證書，船旗國證書和國際營運證書清潔和有效。

(b)UpontheVesselbeingdeliveredtoandacceptedbytheBuyersinaccordancewiththisAgreementtheSellersshallhavenoliabilitywhatsoeverforanyfaultordeficiencyintheirdescriptionoftheVesselorforanydefectsintheVesselregardlessofwhethersuchdefectwasapparentorlatentatthetimeofdelivery.（b）

根據(jù)本協(xié)議，一旦船舶交付并由買方接受，對無論任何關(guān)于船舶描述的故障和缺陷，或交付時不論是顯現(xiàn)的或潛在的船舶缺陷，賣方均不應(yīng)承擔(dān)任何責(zé)任。

6.

UNDERWATERINSPECTION

水下檢驗

(a)TheSellersmaydelivertheVesselwithoutdrydocking,

subjecttothefollowingprovisions.(b)PriortodeliveryoftheVesseltheBuyersshallhavetherighttohavediversapprovedbyaclassificationsocietyreferredtoinBox5(“theClassificationSociety”),carryoutaninspectionoftheVessel’sunderwaterpartsbelowthesummer

loadlineinthepresenceofasurveyoroftheClassification

SocietyarrangedbytheSellers.Suchinspection,ifany,istobeattheBuyers’arrangement,riskandexpenseandisnottointerferewiththeVessel’soperationanddeliveryschedule.

(c)TheBuyersshallgiveawrittennoticeoftheirintentiontohaveanunderwaterinspectioncarriedoutwithintwo(2)daysfromthereceiptoftheseven(7)daysnoticestipulatedinsub-clause(b)ofClause4.IftheBuyersfailtogivesuchawrittennoticewithintwo(2)days,theyshalllosetheirrighttohaveanunderwaterinspection

（a）

根據(jù)以下條款，賣方可以無需安排進塢而交付船舶。（b）

交付船舶前，買方應(yīng)該有權(quán)雇傭經(jīng)船級社（第5欄）批準的潛水員執(zhí)行對船舶夏季載重線以下的水下部分進行檢驗，且需賣方安排的船級社驗船師在場監(jiān)督。該檢驗（如有）由買方安排，風(fēng)險、費用也由買方承擔(dān)，且不得干擾船舶的運營計劃及交船進度。（c）

買方應(yīng)在收到（第4條b次條）規(guī)定的7日通知書之日起的2日內(nèi)，書面通知賣方他們對船舶進行水下檢驗的意圖。如買方?jīng)]有在這2日內(nèi)給出書面通知，他應(yīng)將失去水下檢驗的權(quán)利。

(d)UponreceiptoftheBuyers’noticetheSellersshallarrangewiththeClassificationSocietytocarryoutanunderwaterinspection.ThecostoftheunderwaterinspectionshallbebornebytheBuyersunlessdamageaffectingtheclassis

found,inwhichcasetheSellersshallbearthecost.(e)Shouldanydamageaffectingtheclassbefoundbysuchdivers’inspectionthefollowingshallapply:(i)

wherethedamageisofsuchnaturethatrepairsarenotrequiredpriortothenextscheduleddrydockingbythe

ClassificationSociety,thentheSellersandtheBuyersshalleachselectareputableshipyardintheDeliveryRangestatedinBox13orneartheretoandobtainfromsuchshipyardaquotationforthecostofrepairsofthedamage.Eachquotationistobeforthedirectrepaircostsofthedamageonlyandisnottoincludethecostofdockageandgeneralserviceexpenses.TheSellersshallthenhavetheoptiontoeitherrepairthedamagepriortodeliveryoftheVesselordelivertheVesselwithoutthe

damagebeingrepairedwithareductionfromthePurchasePriceoftheestimatedcostofrepairs.Theestimatedcostofrepairsshallbedefinedastheaverageofthetwoquotationsobtainedfromthetwoshipyards;

(ii)wherethedamageisofsuchnaturethatrepairsarerequiredpriortothenextscheduleddrydockingbytheClassificationSociety,thentheSellersshallrepairthedamageattheircostandexpenseandtotheClassificationSociety’ssatisfaction.（d）一旦收到買方的書面通知后，賣方應(yīng)安排船級社開展水下檢驗。水下檢驗的費用由買方承擔(dān)，但如果發(fā)現(xiàn)影響船級的損壞，在這種情況下，費用應(yīng)將由賣方承擔(dān)。（e）

如果檢驗發(fā)現(xiàn)影響船級的損壞，適用以下條款：（i）

當損壞不需要在下一次船級社要求的定期塢檢之前進行修理時，那么，買賣雙方應(yīng)在第13欄載明的交船區(qū)域或其附近，各自挑選一家有良好信譽的船塢，并從船塢處獲得修復(fù)該損壞所需的報價。每份報價只是直接修復(fù)損壞的費用，不包括船塢費和一般服務(wù)費用。賣方應(yīng)有選擇權(quán)在船舶交付前修復(fù)損壞，或不修復(fù)損壞但要從購船價款中扣除預(yù)計修復(fù)費用。預(yù)計修復(fù)費用應(yīng)由兩家船塢提供的報價平均計算得出。（ii）

當損壞需要在下一船級定期塢檢之前修復(fù)的，那么賣方應(yīng)自費修復(fù)船舶直到船級社滿意為止。

(f)IntheeventthattheVesselisdrydockedtoeffectrepairsofdamageinaccordancewithsub-clause(e)hereof,theSellersshallhavetherighttodesignatethedrydockplaceasthenewdeliveryplaceifsuchdrydockplaceiswithintheDeliveryRangestatedinBox13.InsucheventtheBuyersshallhavetherighttocleanandpainttheunderwaterpartsoftheVesselattheirriskandexpenseandwithoutinterferingwiththeworkoftheSellersandasurveyoroftheClassificationSocietyandwithoutaffectingtheVessel’sdeliveryschedule.HoweveriftheBuyers’workindrydockisstillinprogresswhentheSellershavecompletedtheirwork,thentheadditionaldockingperiodnecessaryforcompletingsuchworkshallbeattheBuyers’riskandexpense,inwhicheventtheSellersshallhavetherighttotenderaNoticeofReadinessforDeliveryonoraftercompletionoftheirwork.(g)Ifrepairsarerequiredinaccordancewithsub-clause(e)hereof,thentheCancellingDateshallbeextendedbythecorrespondingtimelosttoeffectsuchrepairsprovidedthatsuchextensionshallnotinanyeventexceedthirty(30)days.

（f）

當船舶依上一次條之規(guī)定進入船塢進行修理損壞時，賣方有權(quán)指定該船塢地作為新的交船地，如果該船塢是位于第13欄交船的地理范圍內(nèi)。在此情況下，買方應(yīng)有權(quán)在不影響交船進程、不妨礙賣方及船級社驗船師工作的前提下，自費清洗和油漆船舶水下部分，且風(fēng)險自負。然而，如果當賣方已經(jīng)完成其工作而買方的塢修工作卻仍在繼續(xù)，那么，額外在船塢期間的風(fēng)險和費用將由買方承擔(dān)，此時，賣方有權(quán)在完成其工作之時或之后遞交船舶準備就緒交船通知書。（g）

如果船舶根據(jù)上以次條（第e次條）需要修理，那么，解約日應(yīng)根據(jù)進行修理所花費的時間相應(yīng)地延長，條件是無論何種情形延長都不超過30日。

7.NOTICEOFREADINESSANDLIQUIDATEDDAMAGES準備就緒通知書和議定損害賠償金

(a)WhentheVesselbecomesreadyfordelivery,theSellersshalltendertotheBuyersaNoticeofReadinessforDelivery.

(b)TheBuyersshalltakeovertheVesselwithinthree(3)BankingDaysfromthedayofreceiptofsuchNoticeofReadinessforDelivery

（a）

當船舶準備就緒交付時，賣方應(yīng)向買方遞交船舶交接準備就緒通知書。（b）

買方應(yīng)該在收到該準備就緒通知書之日起的3個銀行日內(nèi)接收該船舶。

(c)IntheeventtheBuyersdonottakedeliveryoftheVesselwithintheperiodspecifiedabove,theBuyersshallpaytotheSellersforeachdayofthedelayuptothetenth(10th)dayofthedelaytheliquidateddamagesasstatedinBox16.Ifthedelayexceedsten(10)daysthentheSellersshallhavetherighttocancelthisAgreementandclaimdamagesfortheirlossesflowingtherefrom.（c）

如果買方未能在上述規(guī)定的期限內(nèi)接收該船舶，每延遲一天，買方應(yīng)該向賣方支付（第16欄載明）議定損害賠償金，從遲延之日起，最長不超過10日。如果遲延超過10日，賣方應(yīng)有權(quán)解除本協(xié)議并對由此帶來的損失要求索賠。

8.

TOTALLOSSANDFORCEMAJEURE

全損及不可抗力

Should,beforedelivery,theVesselbecomeanactual,constructiveorcompromisedtotalloss(notbeingaresultofanactoromissionoftheSellerscommittedwiththeintenttocausesuchtotallossorrecklesslyandwithknowledgethatsuchtotallosswouldprobablyresulttherefrom),orshouldtheVesselnotbeabletobedeliveredbeforetheCancellingDatethroughtheoutbreakofwar,therestraintofGovernments,PrincesorPeople,politicalreasonsoranyothercauseoverwhichtheSellershavenocontrol,thenthisAgreementshallbenullandvoidandneitherpartyshallbeliabletotheother.InsucheventtheDeposittogetherwithinterestaccruedthereon,ifany,shallbeimmediatelyreleasedinfulltotheBuyers.

如果在交付前發(fā)生船舶的實際全損、推定全損或協(xié)議全損（非因賣方故意導(dǎo)致這種全損的疏忽行為或不為或草率魯莽，或明知很可能會因此導(dǎo)致這種全損），或者因戰(zhàn)爭爆發(fā)、政府、君主或人民的限制、政治原因或賣方不能控制的其他原因，船舶不能在解約日之前交付，那么，本協(xié)議將無效作廢，且買賣雙方中任何一方均不向?qū)Ψ匠袚?dān)責(zé)任。此種情況下，保證金連帶累計產(chǎn)生的利息（如有）應(yīng)立即全額歸還買方。

9.

TRANSFEROFTITLEANDRISK

所有權(quán)及風(fēng)險的轉(zhuǎn)移

TitleandrisktotheVessel,togetherwitheverythingbelongingtoher,shallpasstotheBuyersuponbothpaymentofthePurchasePriceanddeliveryoftheVesselhavingoccurred.DeliveryoftheVesselshallbedeemedtotakeplaceatthedateandtimespecifiedintheProtocolofDeliveryandAcceptance.船舶主權(quán)與風(fēng)險以及其他船舶從屬物，將在購買價款付畢，且船舶完成交付時發(fā)生。船舶交付的時間及地點應(yīng)被認為是交付和接收議定書中所具體規(guī)定的。

10.BELONGINGSANDBUNKERS

船舶從屬物及燃油

TheSellersshalldelivertotheBuyerstheVesselwitheverythingbelongingtoheratthetimeofthesuperficialinspectionreferredtointheBox9includingallspareparts,storesandequipment,onboardoronshore,usedorunused,exceptsuchthingsasare

inthenormalcourseofoperationsusedduringtheperiodbetweenthesuperficialinspectionanddelivery.TheSellersshallprovidetheBuyerswithaninventorylistatthetimeofdelivery.Forwardingcharges,ifany,shallbefortheBuyers’account.TheBuyersshalltakeoverandpaytheSellersfortheremainingbunkersandunusedlubricatingoilsatthelastpurchasedpricesvidencedbysupportingvouchers.PaymentunderthisclauseshallbemadeonorpriortodeliveryoftheVesselinthesamecurrencyasthePurchasePrice.賣方應(yīng)將船舶以及在第9欄記載的表面檢查時屬于船舶的全部物品交付給買方，包括在船上或在岸上，已使用或未使用的所有備用配件、物料和設(shè)備，但從表面檢查至船舶交付期間內(nèi)，在船舶正常營運過程中使用的物品除外。賣方在交付時應(yīng)向買方提供一份物品庫存清單。轉(zhuǎn)運費用（如有）應(yīng)由買方承擔(dān)。買方應(yīng)接收剩余燃油和未使用的潤滑油并為此另外支付款項，根據(jù)支持性付款憑證作為最近購買價格的證明支付給賣方。本條款下的付款，應(yīng)是在船舶交付之日或之前，以與船舶價款相同的貨幣進行支付。

11.EXCLUSIONFROMTHESALE

出售除外物品TheSellershavetherighttotakeashoreallcrockery,cutlery,linenandotherarticlesbearingtheSellers’flagorname,providedtheSellerssubstitutethesameforanequivalentnumberandtypeofsimilarunmarkeditems.Books,cassettesandformsetc.,exclusivelyforusebytheSellersontheVessel,shallbetakenashorebeforedelivery.PersonaleffectsoftheMaster,OfficersandCrewincludingslopchestandhiredequipment,ifany,areexcludedfromthissaleandshallberemovedbytheSellerspriortodeliveryoftheVessel.

賣方有權(quán)將印有賣方標記或名稱的所有陶器、刀叉餐具、日用織品以及其他物品拿走送岸，但賣方應(yīng)用同等數(shù)量和類型的無標記的類似物品替代它們。賣方在船上專門使用的圖書、盒式錄音帶和表格等等物品，應(yīng)在交付前拿走送岸。船長、高級船員和普通船員的私人物品包括小賣部免稅物品，以及租用的設(shè)備等（如有），不在本出售的范圍內(nèi)，應(yīng)在船舶交付前由賣方移除。

13.ENCUMBRANCESETC.

負擔(dān)TheSellersshalldelivertotheBuyerstheVesselfreefromalldebts,encumbrances,mortgagesandmaritimeliens.TheSellersherebyundertaketoindemnifytheBuyersagainstallclaimsof

whatevernaturemadeagainsttheVesselinrespectofliabilitiesincurredpriortothetimeofdelivery.

(a)ShouldtheBuyersdefaultinthepaymentoftheDepositor
