2.1ThepricefortheGoodsshallbeassetforthinExhibitAattachedhereto(the"Price").ThePriceisexclusiveofanyapplicabletaxes,duties,andotherchargesnoworhereafterimposedonthesale,delivery,oruseoftheGoods,whichshallbepaidtheBuyer.2.2TheBuyershallmakepaymentfortheGoodswiretransfertotheSeller'sdesignatedbankaccountintheformofabankdraftoraletterofcredit,inaccordancewiththetermssetforthinExhibitDattachedhereto(the"PaymentTerms").3.DeliveryandInspection

3.1TheSellershalldelivertheGoodstotheDeliveryPointonorbeforethedeliverydatesetforthinExhibitAattachedhereto(the"DeliveryDate").TimeisoftheessencewithrespecttothedeliveryoftheGoods.3.2TheBuyershallhavetherighttoinspectandtesttheGoodswithin[insertnumber]daysaftertheDeliveryDatetoconfirmtheirconformitywiththespecificationssetforthinExhibitAattachedhereto.IftheGoodsdonotconformtothespecifications,theBuyershallnotifytheSellerinwritingwithinsuchperiod,andtheSellershall,atitssolediscretion,eitherreplacethenonconformingGoodsorrefundtheBuyerforthepriceofsuchnonconformingGoods.4.Warranties
