10.附件十：其他相關(guān)文件二、違約行為及認定：1.違約行為：Transferor未能履行其在股權(quán)轉(zhuǎn)讓協(xié)議項下的義務(wù)，包括但不限于未能按照約定時間交付股權(quán)、未能提供真實、準確的公司信息等。

2.認定：違約行為應(yīng)當(dāng)根據(jù)股權(quán)轉(zhuǎn)讓協(xié)議的約定和適用的法律進行認定。一旦發(fā)生違約行為，Transferor應(yīng)當(dāng)承擔(dān)相應(yīng)的違約責(zé)任。三、法律名詞及解釋：1.股權(quán)轉(zhuǎn)讓：指股權(quán)的出售、贈與或其他形式的轉(zhuǎn)移。

2.股東：指在公司中持有股份的人或?qū)嶓w。

3.股權(quán)利益：指股東在公司中所享有的所有權(quán)利、利益和權(quán)益。

4.股權(quán)轉(zhuǎn)讓協(xié)議：指股東之間或股東與其他方之間就股權(quán)轉(zhuǎn)讓事宜達成的書面協(xié)議。
