工程文檔保密協(xié)議合同編號：__________partiesthisagreement(hereinafterreferredtoas"thisagreement")isenteredintoasof__________(the"effectivedate")andbetween:partya:name:_____________________address:_____________________contactperson:_____________________telephonenumber:_____________________(hereinafterreferredtoas"partya")partyb:name:_____________________address:_____________________contactperson:_____________________telephonenumber:_____________________(hereinafterreferredtoas"partyb")(hereinaftercollectivelyreferredtoasthe"parties")subjectmatter1.thesubjectmatterofthisagreementistheconfidentialinformation(asdefinedinarticle2hereof)relatedtotheproject(asdefinedinarticle3hereof)betweenpartyaandpartyb.scopeofconfidentiality2.theconfidentialinformationreferredtointhisagreementincludes,butisnotlimitedto,thefollowing:(1)technicaldata,designs,specifications,plans,drawings,manuals,operatinginstructions,andothertechnicaldocuments;(2)businessdata,marketingplans,salesstrategies,customerinformation,andotherbusinessinformation;(3)anyotherinformationthatismarkedas"confidential"orshouldreasonablybeknownthereceivingpartytobeconfidential.3.theconfidentialinformationdoesnotincludeinformationthat:(2)wasrightfullyknownthereceivingpartypriortothedisclosurethedisclosingparty;(3)isrightfullyobtainedthereceivingpartyfromathirdpartywithoutbreachofanyobligationofconfidentiality;(4)isindependentlydevelopedthereceivingpartywithoutuseoftheconfidentialinformationofthedisclosingparty.obligationofconfidentiality4.duringthetermofthisagreement,partybshall:(1)keeptheconfidentialinformationsecretandnotdiscloseittoanythirdparty;(2)usetheconfidentialinformationonlyforthepurposeofperformingtheproject;(3)takenecessarymeasurestoensurethattheconfidentialinformationiskeptconfidential,suchaslimitingaccesstotheinformationtoauthorizedpersonnelandimplementingappropriatesecuritymeasures.5.theobligationsofconfidentialityshallsurvivetheexpirationorterminationofthisagreement,andpartybshallcontinuetokeeptheconfidentialinformationsecretandnotdiscloseittoanythirdparty.exceptionstermandtermination9.eitherpartymayterminatethisagreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialprovisionofthisagreementandfailstocuresuchbreachwithinareasonableperiodoftimeafterreceiptofwrittennoticethereof.10.upontheexpirationorterminationofthisagreement,partybshallreturnallcopiesoftheconfidentialinformationtopartyaandcertifyinwritingthatallsuchcopieshavebeendestroyed.indemnification11.partybshallindemnifyandholdharmlesspartyafromanyandallclaims,damages,liabilities,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwithanybreachofthisagreementpartyb.generalprovisions12.thisagreementmaynotbeassignedeitherpartywithoutthepriorwrittenconsentoftheotherparty.13.thisagreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.14.anyamendmentormodificationofthisagreementoradditionalobligationassumedeitherpartyinconnectionwiththisagreementshallbebindingonlyifevidencedinwritingsignedeachpartyoranauthorizedrepresentative一、附件列表：1.工程文檔保密協(xié)議副本2.項目計劃和時間表3.技術(shù)規(guī)格說明書4.設(shè)計圖紙和規(guī)范5.操作和維護手冊6.商業(yè)計劃和市場分析7.客戶列表和合同文件8.其他與項目相關(guān)的文件和資料二、違約行為及認定：1.未按約定時間完成項目工作或交付貨物2.未保守秘密，泄露或披露了保密信息3.使用保密信息進行與項目無關(guān)的活動4.未經(jīng)許可，將合同權(quán)利或義務(wù)轉(zhuǎn)讓給第三方5.違反合同中的其他條款和條件三、法律名詞及解釋：1.保密信息：指合同中約定的，不為公眾所知悉的信息，具有商業(yè)價值，需要保密的信息。2.項目：指合同雙方約定的，由乙方負責完成的工程或任務(wù)。4.賠償：指違約方因違約行為而需要向守約方支付的違約金或損失賠償。5.終止：指合同雙方或一方根據(jù)合同約定或法律規(guī)定，解除合同關(guān)系的行為。四、執(zhí)行中遇到的問題及解決辦法：1.項目延期：如遇不可抗力因素或技術(shù)難題導致項目延期，應(yīng)及時與甲方溝通，制定調(diào)整計劃，并爭取甲方同意。2.信息泄露：加強內(nèi)部管理，限制信息的知悉范圍，定期對員工進行保密培訓，一旦發(fā)現(xiàn)泄露，立即采取補救措施。3.技術(shù)或質(zhì)量問題：加強與甲方的溝通，及時解決問題，必要時可請專家協(xié)助，確保項目質(zhì)量。4.法律糾紛：在合同中明確違約責任，一旦發(fā)生糾紛，及時尋求法律途徑解決，必要時可聘請專業(yè)律師。五、所有應(yīng)用場景：1.工程咨詢服務(wù)：
