BACKGROUND

Whereas,CompanyAisengagedinthebusinessof[descriptionofbusiness];

Whereas,CompanyBdesirestoengageinaquarterlytaskwithCompanyA,andCompanyAiswillingtoacceptsuchengagement;

Now,therefore,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows:

1.**ScopeofWork**

CompanyBagreestoprovideCompanyAwiththefollowingservices(hereinafterreferredtoasthe"Services"):

4.**TermandTermination**

ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforatermof[duration].eitherpartymayterminatethisAgreementbyprovidingwrittennoticetotheotherpartyatanytime.

5.**GoverningLawandDisputeResolution**
