TitleEndUserLicenseAgreementforEnglishLearningSoftware

ThisEnd-UserLicenseAgreement("Agreement")ismadeandenteredintoasofxxx,byandbetweenxxx("Licensor")andxxx("Licensee").PleasereadthisAgreementcarefullybeforeinstallingorusingtheEnglishLearningSoftware.ByinstallingorusingtheSoftware,youagreetobeboundbythetermsandconditionsofthisAgreement.Ifyoudonotagreetothesetermsandconditions,donotinstallorusetheSoftware.

Definitions

"Software"meanstheEnglishLearningSoftwaredevelopedbyLicensor,includingallassociateddocumentation,updates,upgrades,andanyothermaterialsprovidedinconnectionwiththeSoftware.

"License"meansthenon-exclusiverighttousetheSoftwaresubjecttothetermsandconditionsofthisAgreement.

"ConfidentialInformation"meansanyinformationdisclosedbyonepartytotheotherinconnectionwiththisAgreementthatismarkedasconfidentialordeemedconfidentialunderapplicablelaw.

"IntellectualPropertyRights"meansallpatents,trademarks,servicemarks,tradenames,copyrights,databaserights,designrights,know-how,tradesecrets,andanyotherintellectualpropertyrightsanywhereintheworld.

LicenseGrant

LicensorherebygrantsLicenseeanon-exclusive,revocable,limitedlicensetousetheSoftwaresolelyforLicensee'spersonaleducationalpurposes.Thislicenseisnon-transferableandcannotbesublicensedorassignedbyLicensee.

TheSoftwareisprotectedbycopyrightlawsandtreatiesaroundtheworld.AlltitleandownershiprightsintheSoftwareandrelateddocumentationareownedbyLicensororitslicensors.Licenseeagreesnottoremove,alter,orobscureanycopyrightnoticesorotherproprietaryrightsnoticesontheSoftwareoranyrelateddocumentation.

AnyunauthorizeduseoftheSoftwaremayresultinciviland/orcriminalpenalties.

RestrictionsonUse

Licenseeshallnotreverseengineer,decompile,disassemble,modify,translate,createderivativeworksfrom,orotherwiseattempttodiscoverthesourcecodeoftheSoftware.

Licenseeshallnotrent,lease,lend,resell,duplicating,uploadingtoawebsitefordownloadorstreaming,orotherwisedistributecopiesoftheSoftwareunlessexpresslyauthorizedbyLicensorinwriting.

LicenseeshallnotusetheSoftwareforcommercialpurposeswithoutobtainingpriorwrittenconsentfromLicensor.

LicenseeacknowledgesthatLicensorownsallIntellectualPropertyRightsinthe

Softwareandrelateddocumentationandagreesnottochallengeorcontesttheserights.

WarrantyandLimitationofLiability

TOTHEFULLESTEXTENTPERMISSIBLEUNDERAPPLICABLELAW,THESOFTWAREISPROVIDEDONAN"ASIS"BASIS,WITHALLFAULTSANDWITHOUTWARRANTIESORCONDITIONSOFANYKIND,EITHER

EXPRESSORIMPLIED,INCLUDINGBUTNOTLIMITEDTOTHEIMPLIEDWARRANTIESORCONDITIONSOFMERCHANTABILITY,FITNESSFORAPARTICULARPURPOSE,QUALITY,TITLE,ANDNON-INFRINGEMENTOFTHIRDPARTYRIGHTS.

INNOEVENTSHALLLICENSORBELIABLEFORANYSPECIAL,INCIDENTAL,PUNITIVE,ORCONSEQUENTIALDAMAGESARISINGOUTOFORINCONNECTIONWITHTHEUSEORINABILITYTOUSETHESOFTWARE,EVENIFLICENSORHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.

LICENSORMAKESNOREPRESENTATIONSORWARRANTIESABOUTTHEACCURACYORRELIABILITYOFINFORMATIONPROVIDEDBYUSERSDURINGTHEIRUSAGEOFTHESOFTWAREORANYTHIRD-PARTYMATERIALSORWEBSITESLINKEDTOFROMTHESOFTWARE.

SOMEJURISDICTIONSDONOTALLOWTHEEXCLUSIONOFCERTAINWARRANTIESORLIMITATIONSONINDEMNIFICATIONORLIABLEFORCONSEQUENTIALORINCIDENTALDAMAGES,SOSOMEOFTHEABOVELIMITATIONSMAYNOTAPPLYTOYOU.

TermandTermination

ThisAgreementshallcommenceonthedatefirstabovewrittenandshallcontinueuntilterminatedpursuanttoSection5below.

EitherpartymayterminatethisAgreementatanytimeuponthirty(30)days'priorwrittennoticetotheotherparty.UponterminationofthisAgreementforanyreason:(i)LicenseemustceasealluseoftheSoftware;(ii)Licenseemustdestroyallcopiesofthe

Softwareinitspossession;and(iii)LicenseemustconfirminwritingtoLicensorthatithascompliedwithsuchdestruction.

UponterminationofthisAgreementforanyreasonotherthanmaterialbreachbyLicensee:(i)LicenseewillceasetohaveanyrighttousetheSoftware;and(ii)LicenseemustimmediatelydeleteallcopiesofanyMaterialsfromitssystemsanddevices.

IfLicenseebreachesanyprovisionofthisAgreementandfailstocuresuchbreachwithinthirty(30)daysafterreceivingwrittennoticefromLicensorspecifyingsuchbreach:(i)LicensormayterminatethisAgreementimmediately;(ii)LicenseemustdestroyallcopiesofMaterialsinitspossession;and(iii)LicenseemustconfirminwritingtoLicensorthatithascompliedwithsuchdestruction.

ThisAgreementwillautomaticallyrenewattheendofeachannualtermunlesseitherpartyprovideswrittennoticeofnon-renewalatleastsixty(60)dayspriortoexpirationofthethen-currentterm.

Miscellaneous

ThisAgreementconstitutestheentireagreementbetweenLicenseeandLicensorregardingthesubjectmatterhereofandsupersedesallpriororcontemporaneousunderstandings,agreements,representations,warranties,andassurances,writtenororal,regardingsuchsubjectmatter.Therearenowarranties,representations,covenantsorpromiseswithrespecttotheSoftwareotherthanasexpresslystatedinthisAgreement.

IfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceableunderapplicablelaw,suchprovisionshallbeenforcedtothemaximumextentpermissiblesoastoaffecttheintentoftheparties,andtheremainderofthisAgreementshallcontinueinfullforceandeffect.

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofxxx,withoutregardtoitsconflictoflawsprinciples.AnylegalactionrelatedtothisAgreementmustbebroughtinxxx,xxx,xxx.

Noagency,partnership,jointventure,employee-employerrelationship,orfranchiser-franchiseerelationshipiscreatedbetweenLicenseeandLicensorasaresultofthisAgreement,andneitherpartyhasanyauthoritytobindtheotherpartyortocommittheotherpartytoanyobligation.

ThisAgreementsetsforththeentireunderstandingbetweenLicenseeandLicensorwithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,agreements,representations,andunderstandingsbetweenthemwithrespectthereto.NomodificationofthisAgreementshallbeeffectiveunlessmadeinwritingandsignedbybothparties.

NothingcontainedinthisAgreementshallbeconstruedascreatinganyagencyorpartnershipbetweenLicenseeandLicensor.Neitherpartyshallhaveanyauthoritytoassumeorcreateanyobliga
