1.1TheGoodsshallconformtothespecificationssetforthinExhibitAattachedhereto.

1.2TheSellerrepresentsandwarrantsthattheGoodsareofgoodqualityandfreefromanydefectsinmaterialsandworkmanship.

**Article2:PurchasePrice**

2.1TheBuyeragreestopurchasetheGoodsatthepricesetforthinExhibitB(the“PurchasePrice”).

**Article5:PerformanceandDefault**

5.2IfeitherpartydefaultsintheperformanceofanyofitsobligationsunderthisContract,thenon-defaultingpartymaypursueallremediesavailableatlaworinequity.

**Article6:GoverningLawandDisputeResolution**

6.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/State].
