ContractTemplateforTurkishProcurement

1.Parties

ThisContract(the"Contract")isenteredintobyandbetween[Buyer'sName]("Buyer")and[Seller'sName]("Seller")(eacha"Party"andcollectivelythe"Parties").

2.ProductandQuantity

TheBuyeragreestopurchasefromtheSellerthefollowingproducts(the"Products")inthequantitiesandatthepricessetforthintheSchedule:

3.Delivery

TheSellershalldelivertheProductstotheBuyerat[DeliveryLocation]onorbefore[DeliveryDate].

4.PaymentTerms

TheBuyershallpaythetotalpricefortheProductswithin[PaymentPeriod]afterthedateoftheinvoiceissuedbytheSeller.ThepaymentshallbemadebybanktransfertotheaccountoftheSellerspecifiedintheinvoice.

5.Warranty

TheSellerwarrantsthattheProductsconformtothespecificationssetforthintheScheduleandarefreefromdefectsinmaterialsandworkmanship.TheSeller'swarrantyperiodfortheProductsshallbe[WarrantyPeriod].

6.ForceMajeure

NeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation,providedthattheaffectedPartypromptlynotifiestheotherPartyoftheexistenceandnatureofsuchcause.

7.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsofTurkey.AnydisputesarisingoutoforinconnectionwiththisContractshallbefinallysettledbyarbitrationinaccordancewiththeRulesoftheIstanbulChamberofCommerce.

8.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,bothwrittenandoral,betweenthePartieswithrespecttothesubjectmatterofthisContract.

INWITNESSWHEREOF,thePartieshaveexecutedthisContractasoftheEffectiveDate.
