修訂裝修分包合同合同編號：__________revisiondecorationsubcontractingcontractBETWEENPartyA:____________________Address:____________________LegalRepresentative:____________________IdentityCardNumber:____________________PartyB:____________________Address:____________________LegalRepresentative:____________________IdentityCardNumber:____________________WHEREAS,PartyBisasubcontractorspecializedincertainaspectsofdecorationwork(hereinafterreferredtoasthe"SubcontractedWork");WHEREAS,PartyArequiresPartyBtoperformcertainSubcontractedWorkinaccordancewiththerequirementsandstandardsoftheMainProject;NOW,THEREFORE,thetwopartieshavereachedthefollowingagreement:Article1:ScopeofSubcontractedWork1.2Thespecificscope,standards,andtechnicalrequirementsoftheSubcontractedWorkshallbedeterminedanddocumentedinthe"ScopeofWork"attachmenthereto.Article2:PerformancePeriod2.2PartyBshallstrictlyadheretotheprogressscheduleandqualityrequirementsfortheSubcontractedWorkasagreeduponwithPartyA.Article3:PaymentTerms3.1PartyAshallpayPartyBfortheSubcontractedWorkinaccordancewiththepaymenttermsandamountspecifiedinthe"ScopeofWork"attachment.3.2ThepaymenttermsfortheSubcontractedWorkshallbeasfollows:3.2.2Theremaining50%ofthetotalpaymentshallbepaidPartyAtoPartyBuponthefinalacceptanceoftheSubcontractedWorkandtheissuanceoftherelevantacceptancecertificatePartyA.3.3PartyBshallprovidePartyAwithvalidinvoicesandothernecessarypaymentdocumentsinaccordancewiththerelevantprovisionsofPartyA.Article4:QualityWarranty4.1PartyBshallguaranteethequalityoftheSubcontractedWorkforaperiodof____________afterthefinalacceptanceoftheSubcontractedWork.4.2Duringthewarrantyperiod,ifanyqualityissuesarisewiththeSubcontractedWork,PartyBshall,atitsownexpense,promptlyrepair,replace,orotherwiserectifysuchissuestothesatisfactionofPartyA.4.3Thespecificwarrantytermsandconditionsshallbesetforthinthe"ScopeofWork"attachment.Article5:Confidentiality5.1PartyBshallkeepallconfidentialinformationofPartyAthatisrelatedtotheSubcontractedWork,includingbutnotlimitedtotechnicaldata,businessinformation,andotherproprietaryinformation,instrictconfidence.5.2PartyBshallnotuseanyofPartyA'sconfidentialinformationforanypurposeotherthantheperformanceoftheSubcontractedWorkwithoutthepriorwrittenconsentofPartyA.5.3TheconfidentialityobligationsofPartyBunderthisArticleshallsurvivetheterminationorexpirationofthisContract.Article6:LiabilityforBreach6.1IntheeventofabreachofthisContracteitherparty,thenonbreachingpartyshallhavetherighttoclaimdamagesand/orspecificperformancefromthebreachingparty.6.2PartyAshallnotbeliableforanydelaysorfailuresintheperformanceofitsobligationsunderthisContractduetoanycausesbeyonditsreasonablecontrol,includingbutnotlimitedtoforcemajeureevents.Article7:GoverningLawandDisputeResolution7.1ThisContractshallbegovernedandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.7.2AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthroughfriendlynegotiation.Ifthenegotiationfails,eitherpartymaysubmitthedisputetothepeople'scourtwithjurisdictionovertheplaceofregistrationofPartyA.Article8:Miscellaneous8.1ThisContractmaybeamendedorsupplementedthemutualwrittenconsentofbothparties.8.2ThisContractconstitutestheentireagreementbetween一、附件列表：1.ScopeofWorkdetailingthespecificscope,standards,andtechnicalrequirementsoftheSubcontractedWork.2.PaymentSchedulespecifyingthepaymenttermsandamountfortheSubcontractedWork.3.WarrantyCertificateoutliningthetermsandconditionsofthequalitywarrantyfortheSubcontractedWork.4.ConfidentialityAgreementdefiningtheconfidentialinformationtobekeptPartyBandtheuseofsuchinformation.5.DisputeResolutionAgreementdetailingthegoverninglawanddisputeresolutionmechanismfortheContract.二、違約行為及認(rèn)定：2.FailuretoadheretotheprogressscheduleandqualityrequirementsfortheSubcontractedWork.3.FailuretomaintainconfidentialityofPartyA'sconfidentialinformation.4.UseofPartyA'sconfidentialinformationforpurposesotherthantheperformanceoftheSubcontractedWorkwithoutconsent.5.Failuretoresolvedisputesthroughfriendlynegotiation,resultingintheneedforlegalaction.三、法律名詞及解釋：1.PartyAthemaincontractorresponsiblefortheMainProject.2.PartyBthesubcontractorundertakingtheSubcontractedWork.3.SubcontractedWorkthespecificaspectsofdecorationworktobeperformedPartyB.4.ScopeofWorkthedetaileddescriptionoftheSubcontractedWorktobeperformed.5.PaymentTermsthescheduleandconditionsunderwhichPartyAwillpayPartyBfortheSubcontractedWork.四、執(zhí)行中遇到的問題及解決辦法：2.QualityissueswiththeSubcontractedWork:Solution:ImmediaterectificationPartyB,andifnecessary,replacementorrepairatPartyB'sexpense.3.Breachofconfidentiality:Solution:LegalactionorterminationoftheContractdependingontheseverityofthebreach.4.Disputesa
