Item1PartAagreestosellthehouseandlandtenureintherangetherightofuseofthehouse(thatwillbeshortedas:realestate)。Thedetailstatusisshownasfollow:

(V)LandtenureintherangetherightofuseofthehouseisState—owned;therightofuseofthestatelandisobtainbysells.

Item2Bothsideshavereachedagreementonthepriceofthehousetobesoldat(RENMINBI)500000Yuan.(capitalization):FIVEHUNDREDTHOUSAND.

ThepaymentmethodandpaymenttermsofPartyBshallbeclearlystatedbybothpartiesinthepaymentagreement(Appendix3)。AfterPartyBpaysforthehouse,PartyAshalldrawoutareceiptconformingtothetaxationregulations。

Item3WhenPartAtransfertherealestate,thetenureoflandwillbedealwiththeitemNO:1shownasbelow.

(I)PartAobtaintheuseperiodoftherightofuseofthestatelandfromYearMonthDaytoYearMonthDay,thereinto,PartBinaccordancetothiscontractgaintherealestate,obtaintheuseperiodoftherightofuseofthestate—ownedlandfromYearMonthDaytoYearMonthDay,asLegallyusethedateofexpiryoftherightofuseofthestate—ownedland.

Item4BothsideshavereachedagreementthatPartAshouldvacatebeforetheday2007Year04Month30DaythishouseandinformPartBtocheckandaccept。PartBshouldcheckthedecoration、equipmentinthehousefromthedayPartBreceivetheinformationin5days。Afterchecking,PartyAshalltransferthekeysofthehousetoPartyB,whichindicatesthetransferenceofthehouse。

Item5PartyApromisesthatifthereisanydamageordemolitiontothehousedecorationsorauxiliaryfacilitiesduringtheperiodfromtheagreement—signingdatetothehouseacceptancedate,itshallpayPartyBthepenaltyofRMBYuan,whichisequivalenttothevalueofthedamagedordemolishedfacilities。

Item6PartyAandPartyBagreetoapplyforthehousetransferenceattherealestateexchangebeforeApril30th,2007。

Item7TherightofthelandwithinthescopeofthehouseandtheprincipalandinterestofthemaintenancefoundationforthepublicplaceshouldbeconsideredasbeingtransferredtoPartBatthesametimewhenthehouseistransferredtoPartB。

Item8Afterthiscontractbecomeseffective,bothPartAandPartBshouldobservethenationalandthiscityrelatedstipulationtopaythetaxandfee.

Beforetherealestateisshiftedholds,thefeeforrealtymanagement、water、electricity、gas、correspondenceandsoonhadnotbeenpaid,theyshouldbedefrayedasAppendixfour.

Item9IfPartBdoesn'tpaythepaymentinthetimepromisedinthiscontract,PartAandPartBagreetodealthatinthenextitems(I)。

(I)Exceedsthetimelimitperoneday,PartBshouldpaythepenaltyin%ofthepaymentwhichhasnotbeenpaidtoPartA。

Item10IfPartAdoesn’tdeliverytherealestatetothePartBinthetimepromisedinthiscontract,PartAandPartBagreetodealthatinthenextitems(I)。

(I)Exceedsthetimelimitperoneday,PartAshouldpaythepenaltyin%ofthepaymentwhichhasbeenpaid。

Item11Undertheprincipalthatbothsideshavegainedagreementontheaddeditemoritemswhichwilldefinitelynotviolateanyitemmentionedabove,moreitemscanbeaddedtothecontractinthesupplementarypart,whichwillbeconsideredaspartofthecontractandenjoythesamelegalforce。

Item13Ifanydisputehappensduringthewholeprocess,bothsidesshouldnegotiatefirstwitheachother。Iftheyfailtogetagreementacceptablebybothsides,theycanchoosethewayslistedasfollowingitems(II)tosettlethetrouble:

(I)SubmittoShanghaiArbitrationCommitteeforArbitration.

(II)AppealtotheLocalPeople’sCourt。
