創(chuàng)新型生產(chǎn)線設(shè)備采購(gòu)協(xié)議合同編號(hào)：__________parties：hereinafterreferredtoasthe"supplier"andthe"buyer",whicharebothlegalentitieswithindependentlegalcapacityandfulllegalrightsandobligations.subjectmatterofthecontract：thesuppliershallsupplythebuyerwithinnovativeproductionlineequipment(hereinafterreferredtoas"equipment")inaccordancewiththetermsandconditionsofthiscontract.article1:supplyofequipment1.1thesupplieragreestosupplytheequipmenttothebuyerinaccordancewiththespecifications,quantities,qualityandotherrequirementsspecifiedintheattachedschedule.1.2thesuppliershalldelivertheequipmenttothebuyer'sdesignatedlocationwithinthetimelimitspecifiedintheattachedschedule.1.3thesuppliershallprovidethebuyerwiththenecessarytechnicaldocuments,instructions,maintenanceandrepairservices,andsparepartsfortheequipment.article2:paymentterms2.1thebuyeragreestopaythetotalpurchasepriceoftheequipmentandrelatedservicesasspecifiedintheattachedschedule.2.2thepaymentshallbemadethebuyerwithin30daysafterthedateofthesupplier'sinvoice,unlessotherwisespecifiedintheattachedschedule.2.3thebuyershallhavetherighttowithholdoroffsetanyamountsduetothesupplierunderthiscontractifthesupplierfailstoperformitsobligationshereunder.article3:qualityandwarranty3.1thesupplierwarrantsthattheequipmentconformstothespecificationsandqualitystandardsagreedupontheparties,andisfreefromdefectsinmaterialsandworkmanship.3.2intheeventthattheequipmentfailstoconformtotheagreedspecificationsandqualitystandards,orisfoundtohavedefects,thesuppliershall,atitsownexpense,repairorreplacetheequipmentwithinareasonabletimeafterreceivingthebuyer'swrittennoticeofsuchnonconformityordefect.3.3thesupplier'swarrantyshallexpiretwoyearsafterthedateofdeliveryoftheequipment.article4:deliveryandacceptance4.1thesuppliershalldelivertheequipmenttothebuyer'sdesignatedlocationonthedeliverydatespecifiedintheattachedschedule.4.2thebuyershallhavetherighttoinspectandtesttheequipmentwithinareasonabletimeafterdeliverytoensurethatitconformstotheagreedspecificationsandqualitystandards.4.3ifthebuyerfindsthattheequipmentdoesnotconformtotheagreedspecificationsandqualitystandards,thebuyershallnotifythesupplierinwritingwithinareasonabletimeaftertheinspectionandtesting.4.4ifthebuyerfailstoinspectandtesttheequipmentwithinthetimelimitspecifiedinarticle4.1,theequipmentshallbedeemedtohavebeendeliveredandacceptedthebuyer.article5:breachofcontract5.1ifeitherpartyfailstoperformanyofitsobligationsunderthiscontract,theotherpartymayrequirethedefaultingpartytopromptlyperformsuchobligations.5.2ifeitherpartyfailstoperformanyofitsobligationsunderthiscontractandsuchfailurecontinuesforaperiodof30daysaftertheotherpartyhasgivenwrittennoticethereof,thenondefaultingpartymayterminatethiscontractwrittennoticetothedefaultingparty.5.3theterminationofthiscontractshallnotaffectanyrightsorobligationsofeitherpartyarisingoutofthiscontractpriortoitstermination.article6:disputeresolution6.1anydisputesarisingoutoforinconnectionwiththiscontractshallberesolvednegotiationbetweentheparties.article7:generalprovisions7.1thiscontractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof,andsupersedesallprioragreements,negotiationsandunderstandings,whetherwrittenororal,betweentheparties.7.2thiscontractmaybeamendedormodifiedonlyawritteninstrumentexecutedbothparties.7.4thepartiesacknowledgethatthiscontracthasbeenenteredintoingoodfaithandwiththeintentionofcreatingalegalobligation.inwitnesswhereof,thepartieshaveexecutedthiscontractasofthedatefirstabovewritten.supplier::_________________________name:_____________________________________________date:_______________________buyer::_________________________一、附件列表：1.創(chuàng)新型生產(chǎn)線設(shè)備詳細(xì)規(guī)格書(shū)2.創(chuàng)新型生產(chǎn)線設(shè)備技術(shù)參數(shù)表3.創(chuàng)新型生產(chǎn)線設(shè)備交付時(shí)間表4.創(chuàng)新型生產(chǎn)線設(shè)備付款計(jì)劃5.創(chuàng)新型生產(chǎn)線設(shè)備保修條款6.創(chuàng)新型生產(chǎn)線設(shè)備驗(yàn)收標(biāo)準(zhǔn)和方法7.創(chuàng)新型生產(chǎn)線設(shè)備維護(hù)和操作手冊(cè)二、違約行為及認(rèn)定：1.供應(yīng)商未能按照合同約定時(shí)間交付設(shè)備。2.供應(yīng)商交付的設(shè)備不符合約定的規(guī)格和質(zhì)量標(biāo)準(zhǔn)。3.供應(yīng)商未能提供合同約定的技術(shù)文檔、服務(wù)和支持。4.買方未能按照合同約定時(shí)間支付設(shè)備款項(xiàng)。5.買方未能在規(guī)定時(shí)間內(nèi)對(duì)設(shè)備進(jìn)行驗(yàn)收和測(cè)試。6.買方未能按照合同約定進(jìn)行維護(hù)和保養(yǎng)設(shè)備。三、法律名詞及解釋：1.供應(yīng)商：指合同中承擔(dān)供應(yīng)設(shè)備義務(wù)的法人或其他組織。2.買方：指合同中承擔(dān)購(gòu)買設(shè)備義務(wù)的法人或其他組織。3.創(chuàng)新型生產(chǎn)線設(shè)備：指合同中約定的具有創(chuàng)新特點(diǎn)的生產(chǎn)線設(shè)備。4.交付：指供應(yīng)商將設(shè)備運(yùn)輸至買方指定地點(diǎn)并交付給買方。5.付款：指買方按照合同約定支付設(shè)備款項(xiàng)的行為。6.質(zhì)量標(biāo)準(zhǔn)：指合同中約定的設(shè)備應(yīng)符合的技術(shù)要求和性能指標(biāo)。四、執(zhí)行中遇到的問(wèn)題及解決辦法：1.設(shè)備交付延誤：與供應(yīng)商溝通，要求其加快進(jìn)度，如有必要，根據(jù)合同條款要求賠償。2.設(shè)備質(zhì)量問(wèn)題：及時(shí)通知供應(yīng)商，要求其進(jìn)行修復(fù)或更換，如供應(yīng)商拒絕或未能解決問(wèn)題，可依據(jù)合同條款要求賠償。3.技術(shù)支持不足：向供應(yīng)商提出書(shū)面要求，要求其提供必要的技術(shù)支持和服務(wù)，如供應(yīng)商未能提供，可依據(jù)合同條款要求賠償。4.付款問(wèn)題：按照合同約定的付款計(jì)劃進(jìn)行支付，如買方資金周轉(zhuǎn)困難，可與供應(yīng)商協(xié)商調(diào)整付款計(jì)劃。
