手術(shù)室防護(hù)服采購(gòu)協(xié)議合同編號(hào)：__________surgeryroomprotectiveclothingprocurementagreementBETWEEN:[Contractor'sName]Address:[Contractor'sAddress]City:[City]Province:[Province]PostalCode:[PostalCode]AND:[Customer'sName]Address:[Customer'sAddress]City:[City]Province:[Province]PostalCode:[PostalCode]EffectiveDate:[EffectiveDate]1.0DEFINITIONSANDINTERPRETATION1.1InthisAgreement,unlessthecontextotherwiserequires:(a)"Agreement"meansthissurgeryroomprotectiveclothingprocurementagreement,includingallschedulesandappendiceshereto,asamendedfromtimetotime;(b)"Contractor"means[Contractor'sName];(c)"Customer"means[Customer'sName];(d)"DeliveryDate"meansthedateonwhichtheprotectiveclothingistobedeliveredtotheCustomer,assetoutinScheduleA;(e)"ProtectiveClothing"meansthesurgicalgowns,drapes,andotherprotectivegarmentsspecifiedinScheduleA;(f)"ProofofDelivery"meansadocumentprovidedtheContractortotheCustomerconfirmingthedeliveryoftheProtectiveClothing;(g)"Term"meansthetermofthisAgreement,assetoutinClause2.0;(h)"TotalPurchasePrice"meansthetotalpurchasepricefortheProtectiveClothing,assetoutinScheduleA.1.2TheheadingsinthisAgreementareforconvenienceonlyandshallnotbeusedtointerpretorconstrueitsprovisions.2.0TERM3.0PROTECTIVECLOTHING3.1TheContractoragreestosupplytheCustomerwiththeProtectiveClothinginaccordancewiththespecificationsandquantitiessetoutinScheduleA.3.2TheContractorrepresentsandwarrantsthattheProtectiveClothing:(a)conformstoallapplicablestandardsandregulationsforsurgicalapparel;(b)isofhighqualityandfreefromdefectsinmaterialsandworkmanship;(c)hasnotbeensubjecttoanyrecallorothersafetyalert;and(d)isfreefromanyliensorencumbrances.4.0DELIVERY4.1TheContractorshalldelivertheProtectiveClothingtotheCustomeronorbeforetheDeliveryDate.4.2TheContractorshallprovidetheCustomerwithaProofofDeliveryuponrequest.4.3TheCustomermayrejectanydeliverythatdoesnotconformtothespecificationssetoutinScheduleA,andtheContractorshall,atitssoleexpense,promptlyreplaceorrefundtheCustomerforanysuchnonconformingdelivery.5.0PURCHASEPRICEANDPAYMENTTERMS5.1TheCustomeragreestopaytheContractortheTotalPurchasePricefortheProtectiveClothing,assetoutinScheduleA.5.2TheCustomershallmakepaymenttotheContractorwithin[paymentterm]daysafterthedateoftheinvoiceissuedtheContractor.5.3TheContractorshallprovidetheCustomerwithadetailedinvoicefortheProtectiveClothing,showingthebreakdownoftheTotalPurchasePrice.6.0WARRANTY6.1TheContractorwarrantsthattheProtectiveClothing:(a)conformstothespecificationssetoutinScheduleA;(b)isfreefromdefectsinmaterialsandworkmanship;and6.2TheContractor'swarrantyshallexpire[warrantyexpirationperiod]afterthedateofdelivery.6.3TheCustomer'ssoleandexclusiveremedyforanybreachofwarrantyshallbethereplacementofthenonconformingProtectiveClothingorarefundofthepurchasepriceforsuchnonconformingProtectiveClothing.7.0LIABILITYANDINDEMNIFICATION7.1TheContractorshallindemnifyandholdharmlesstheCustomeragainstanyclaims,damages,losses,orexpenses(includingreasonablelegalfees)arisingoutoforinconnectionwith:(a)anybreachofthisAgreementtheContractor;一、附件列表：1.附件A：ProtectiveClothingSpecifications2.附件B：DeliverySchedule3.附件C：PaymentTermsandInvoiceDetails4.附件D：WarrantyTermsandConditions二、違約行為及認(rèn)定：1.遲延交付：如果Contractor未能在約定的DeliveryDate之前交付ProtectiveClothing，則構(gòu)成違約。2.產(chǎn)品質(zhì)量不符：如果交付的ProtectiveClothing與ScheduleA中規(guī)定的規(guī)格不符，或存在材料和做工上的缺陷，則構(gòu)成違約。3.未履行保修義務(wù)：如果Contractor未能在warrantyexpirationperiod內(nèi)履行保修義務(wù)，則構(gòu)成違約。4.未能履行付款義務(wù)：如果Customer未能在Contractor發(fā)出的發(fā)票日期之后[paymentterm]天內(nèi)支付TotalPurchasePrice，則構(gòu)成違約。三、法律名詞及解釋：1.合同方（Contractor/Customer）：指本協(xié)議中簽訂合同的雙方。2.保護(hù)服裝（ProtectiveClothing）：指手術(shù)服、手術(shù)布和其它規(guī)定的保護(hù)服裝。3.交貨日期（DeliveryDate）：指根據(jù)ScheduleA規(guī)定的ProtectiveClothing交付日期。4.付款期限（PaymentTerm）：指Customer支付TotalPurchasePrice的期限。5.保修期（WarrantyExpirationPeriod）：指Contractor提供的ProtectiveClothing保修期限。四、執(zhí)行中遇到的問(wèn)題及解決辦法：1.交貨問(wèn)題：如果Contractor未能按時(shí)交付ProtectiveClothing，應(yīng)立即與Contractor聯(lián)系，要求其在合理的期限內(nèi)交付。如果無(wú)法解決，Customer有權(quán)根據(jù)合同條款終止合同并尋求賠償。2.產(chǎn)品質(zhì)量問(wèn)題：如果ProtectiveClothing存在質(zhì)量問(wèn)題，Customer有權(quán)拒絕接收，并要求Contractor在指定期限內(nèi)更換或
