2.Carrierrepresentsandwarrantsthatitisadulylicensedandqualifiedcarrier,andhasthenecessaryequipmentandpersonneltoperformthetransportationservicesasspecifiedinthisContract.

SCOPEOFSERVICES:

1.TheCarrieragreestotransportthegoodsfromthepointofloadingat[Port/PlaceofLoading]tothepointofdischargeat[Port/PlaceofDischarge]inaccordancewiththetermsandconditionssetforthinthisContract.

2.TheCarriershallprovidethenecessarytransportationservices,including,butnotlimitedto,loading,unloading,handling,andtransportationofthegoods.

3.TheCarriershallendeavortodeliverthegoodstotheShipperatthePort/PlaceofDischargewithintheagreedtimeframe.

CARGOINFORMATION:

1.TheShippershallprovidetheCarrierwithaccurateandcompleteinformationregardingthenature,quantity,anddimensionsofthegoodstobetransported.

2.TheShippershallcomplywithallapplicablelawsandregulationsregardingthetransportationofhazardousordangerousgoods,andprovidetheCarrierwithallnecessarydocumentationandinformationrelatedthereto.

CHARGESANDPAYMENT:

1.TheShipperagreestopaytheCarrierthetransportationchargesinaccordancewiththeratesandtariffsspecifiedintheCarrier'stariffscheduleoranyotheragreed-uponrates.

2.Thepaymenttermsshallbe[specifypaymentterms,e.g.,30daysfromthedateofinvoice].

DELIVERYANDACCEPTANCE:

1.TheCarriershalldeliverthegoodstotheShipperatthePort/PlaceofDischarge,andtheShippershallacceptthegoodsupondelivery.

2.TheShippershallinspectthegoodsupondeliveryandnotifytheCarrierofanydiscrepanciesordamageswithin[specifytimeperiod,e.g.,48hours]fromthedateofdelivery.

LIABILITYANDINSURANCE:

1.TheCarriershallnotbeliableforanyloss,damage,ordelaytothegoodsarisingfromcausesbeyonditscontrol,includingbutnotlimitedtonaturaldisasters,actsofGod,war,strikes,orlabordisturbances.

2.TheCarriershallnotbeliableforanyloss,damage,ordelaytothegoodscausedbytheShipper'sfailuretoprovideaccurateorincompleteinformationregardingthegoods.

3.TheShippershallobtainandmaintainappropriateinsurancecoverageforthegoodsduringtransportationandshallprovidetheCarrierwithproofofinsuranceuponrequest.

TERMANDTERMINATION:

1.ThisContractshallremainineffectforaperiodof[specifyterm,e.g.,oneyear]fromthedateofitsexecution,unlessterminatedearlierbyeitherpartyinaccordancewiththeprovisionsofthisContract.

2.EitherpartymayterminatethisContractuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisContractandfailstocuresuchbreachwithinareasonabletimeafterreceiptofwrittennotice.

3.UponterminationofthisContract,theCarriershalldeliverthegoodstotheShipperatthePort/PlaceofDischargeandtheShippershallpaytheCarrierforanytransportationservicesperformedpriortotermination.

CONFIDENTIALITY:

1.ThepartiesagreetokeepconfidentialanyandallinformationdisclosedtothembytheotherpartyduringthetermofthisContract.

2.ThepartiesagreenottouseordiscloseanysuchconfidentialinformationforanypurposeotherthantheperformanceoftheirobligationsunderthisContract.

PRINCIPALSHIPPER'SOBLIGATIONS:

1.PrincipalShippershallprovidetheCarrierandThirdPartywithaccurateandcompleteinformationregardingthenature,quantity,anddimensionsofthegoodstobetransported.

2.PrincipalShippershallcomplywithallapplicablelawsandregulationsregardingthetransportationofhazardousordangerousgoods,andprovidetheCarrierandThirdPartywithallnecessarydocumentationandinformationrelatedthereto.

CARRIERANDTHIRDPARTYOBLIGATIONS:

1.TheCarriershallensurethatthetransportationservicesareperformedinasafeandefficientmanner,andshallpromptlynotifyPrincipalShipperofanypotentialrisksorissuesthatmayaffectthetransportationprocess.

2.TheThirdPartyshallactasanindependententityandshallnotbeboundbyanyconflictsofinterestthatmayarisebetweentheCarrierandPrincipalShipper.

3.TheThirdPartyshallpromptlyaddressanyconcernsordisputesraisedbyPrincipalShipperandshallstrivetoresolvetheminafairandtimelymanner.

LIABILITYANDINSURANCE:

1.TheCarriershallnotbeliableforanyloss,damage,ordelaytothegoodsarisingfromcausesbeyonditscontrol,includingbutnotlimitedtonaturaldisasters,actsofGod,war,strikes,orlabordisturbances.

2.TheCarriershallmaintainappropriateinsurancecoverageforthegoodsduringtransportationandshallprovidePrincipalShipperwithproofofinsuranceuponrequest.

3.TheThirdPartyshallensurethattheCarrierhasadequateinsurancecoverageandshallactasanintermediaryintheeventofanyclaimsordisputesarisingfromthetransportationservices.

CHARGESANDPAYMENT:

1.PrincipalShipperagreestopaytheCarrierthetransportationchargesinaccordancewiththeratesandtariffsspecifiedintheCarrier'stariffscheduleoranyotheragreed-uponrates.

2.PrincipalShippershallpaytheThirdPartyafeeforitsoversightandmanagementservices,asagreeduponinaseparateagreementbetweentheparties.

TERMANDTERMINATION:
