支付條款。3.1.Invoices,TermsofPayment.InvoicessettingforththequantityofGoodsandthepurchasepricethereforeshallbeforwardedtoBuyeratthetimeofshipmentoftheGoodshereunder.PaymenttermsshallbeinaccordancewithpolicyofChinaExportCreditInsuranceorIrrevocableSightLetterofCredit,20%shallbeprepaidbyT/Twiretransfer,andthebalanceof80%ofeachPurchaseOrderPaymentshallbemadetotheSupplieraddressspecifiedhereafter.發(fā)票、條款和付款。發(fā)票列明商品數(shù)量和購(gòu)買(mǎi)價(jià)格并應(yīng)當(dāng)在本合同提及的寄送時(shí)間轉(zhuǎn)發(fā)至采購(gòu)方。供貨方和采購(gòu)方以中國(guó)出口信用保險(xiǎn)或以即期不可撤銷信用證為基礎(chǔ)，付款條款應(yīng)當(dāng)為訂單金額20%以TT方式支付預(yù)付金，80%余款按下列方式付清。4.

ReceiptandInspection.

收貨與檢驗(yàn)。4.1.

Inspection.AllGoodsshallbereceivedsubjecttoBuyer’sinspectionatSupplier’sfacilityorataseaportinChina,inaccordancewithanacceptancetestingproceduretobeagreed,ingoodfaith,bytheParties,atSupplier’sfacilityorataseaportinChinawithin7businessdaysaftereachdelivery(the“InspectionPeriod”),andmayberejectedbyBuyeratanytimepriortotheexpirationoftheInspectionPeriodifanyGoodsaredefective,damagedorotherwisenon-conformingtotheSpecification,othertermsoftheIndividualContract,orthetermsofSupplier’swarranties.Buyer’sinspectionof,orfailuretoinspect,GoodspursuanttothisSectionshallnotaffectSupplier’swarrantieshereunderorlimittheavailabilityofBuyer’sremediesorSupplier’sindemnitieshereunder.檢驗(yàn)。所有商品應(yīng)當(dāng)以采購(gòu)方在供貨方場(chǎng)所或中國(guó)港口檢驗(yàn)為收貨條件，依據(jù)雙方在誠(chéng)信的基礎(chǔ)上同意的接收檢測(cè)程序，檢驗(yàn)須在每次交付7個(gè)工作日內(nèi)（以下簡(jiǎn)稱“檢驗(yàn)期”）在供貨方場(chǎng)所或中國(guó)港口進(jìn)行，且如果任何商品有缺陷，損壞或存在其他與規(guī)格、獨(dú)立合同其他條款或供貨商保障條款不符的問(wèn)題，采購(gòu)方可以在檢驗(yàn)期期限內(nèi)任何時(shí)間拒絕收貨。采購(gòu)方是否依照本節(jié)所述檢驗(yàn)或不檢驗(yàn)商品不應(yīng)影響供貨方對(duì)本合同的產(chǎn)品保障或限制采購(gòu)方據(jù)此獲得賠償?shù)哪芰?，也不?yīng)限制供貨方據(jù)此進(jìn)行賠償?shù)呢?zé)任。5.

SpecificationsandDocumentation.

規(guī)格和文檔。5.1.

CompliancewithSpecifications.TheGoodsshallbedesigned,manufacturedandsuppliedinaccordancewiththeSpecifications,standardsproceduresandothertermsandconditionsassetforthinanIndividualContractandthisAgreement.SuppliershallmakenochangeintheSpecificationsunlesssuchproposedchangesarecommunicatedtoBuyerandBuyeragreestosuchchangesinwriting.遵照規(guī)格。商品應(yīng)當(dāng)遵照規(guī)格、標(biāo)準(zhǔn)程序和其他在獨(dú)立合同和本合同中列明的條款條件設(shè)計(jì)、制造和供貨。供貨方除非與采購(gòu)方溝通并得到采購(gòu)方對(duì)變更的書(shū)面同意，否則不得對(duì)規(guī)格作出任何變更。5.2.

ApprovalandProvisionofDrawings.AtBuyer’srequest,Suppliershall,forGoodsdefinedinthisAgreement,prepareandusemutuallyagreedreasonabledrawings,billsofmaterial,specificationsand/oranyothersimilardocumentspreparedinaccordancewiththeSpecifications,andshallfurnishthemtoBuyerforapprovalbyBuyer.AtBuyer’srequest,SuppliershallsupplytoBuyermanufacturingdrawingsand/orspecificationsofsuchdrawings,specificationsand/orothersimilardocuments.批準(zhǔn)和提供圖紙。在采購(gòu)方的要求下，供貨方應(yīng)當(dāng)以合同定義的商品，準(zhǔn)備和使用雙方認(rèn)為合理的圖紙、材料清單，規(guī)格和/或任何其他類似文件，且應(yīng)當(dāng)將這些文件交給采購(gòu)方批準(zhǔn)。5.3.

ForceMajeure.NeitherPartytothisAgreementshallbeliabletotheotherPartyforanyloss,injury,delay,damagesorothercasualtysufferedorincurredbysuchotherPartyduetostrikes,lockouts,riots,storms,fires,earthquakes,floods,epidemics,explosions,actsofGod,governmentaction,war,hostilities,blockade,embargo,riot,insurrection,oranyothersimilarcauseorcircumstancewhichisbeyondthereasonablecontrolofsuchParty.AnysuchfailureordelaybyeitherPartyintheperformanceofanyobligationsunderthisAgreementduetooneormoreoftheforegoingcausesshallnotbeconsideredtobeabreachofthisAgreement.AnysuchfailureordelayunderthisSectionwhichlastslongerthan60daysshallbegroundsforeitherPartytoterminatethisAgreement.NoPartyshallbeliableforanybreachofthetermsandconditionsoftheAgreement,causedbywars,publichostilities,publicdisorders,actsofpublicenemies,fires,floods,actsofGod,andprohibitionsorrestrictionsbylawandgovernmentregulations,excepttotheextentthePartyfailstomitigatetheeffectsofsuchcauses.Theexistenceofsuchexcusabledelayshallbedeterminedbybothparties.Thelimitationofliabilityshallnotaffectbothparties’righttoterminate.不可抗力。本協(xié)議的任何一方不應(yīng)因?yàn)榱T工、工廠封鎖停工、暴亂、風(fēng)暴、火災(zāi)、地震、水災(zāi)、傳染病、爆炸、天災(zāi)、政府行為、戰(zhàn)爭(zhēng)、敵對(duì)行動(dòng)、封鎖、禁運(yùn)、騷亂、暴動(dòng)或其他類似超出該方合理控制范圍之外的原因或情況而遭受的損失、傷害、延誤、損毀或其他事故而對(duì)另一方承擔(dān)任何責(zé)任。任何一方因一項(xiàng)或多項(xiàng)以上原因出現(xiàn)任何此類不履行或延誤履行本合同項(xiàng)下的任何義務(wù)均不被視為違反本合同的約定。本節(jié)所述任何該等不履行或延遲履行如持續(xù)超過(guò)60日，則任何一方都可以依此終止本合同。任何一方均不對(duì)因戰(zhàn)爭(zhēng)、公共敵對(duì)行為、公共騷亂、公共地對(duì)事件、火災(zāi)、水災(zāi)、天災(zāi)、法律和政府法規(guī)禁止過(guò)限制的事項(xiàng)承擔(dān)對(duì)本合同條款條件違約的責(zé)任，除非該方本能減小該等原因所造成的影響而未采取有效措施。須由雙方?jīng)Q定該等可諒解的延遲原因是否存在。對(duì)責(zé)任的限制減輕不得影響雙方的終止權(quán)。6.2.

NoticeofForceMajeure.IfSupplierdiscoversanyfactwhichleadsittobelievethattheremaybeadelayforanyreasonwhatsoever(includinganexcusabledelay),SuppliershallimmediatelyadviseBuyerofsuchfactanduseitsbesteffortsintakingallmeasuresandprecautionstoreducetheeffectofsuchdelayuponBuyerandCustomer.不可抗力的通知。如果供貨方發(fā)現(xiàn)任何事實(shí)導(dǎo)致其相信有可能會(huì)出現(xiàn)任何延遲原因（包括可諒解的延遲），供貨方應(yīng)當(dāng)立即告知采購(gòu)方該事實(shí)，并盡其最大努力采取一切措施和預(yù)防手段以減少該等延遲可能對(duì)采購(gòu)方和客戶造成的影響。7.

Warranties.

保證。7.1.ProductWarranties.SupplierwarrantsthatallGoodsdeliveredhereunder:(a)shallbewithoutdefect;(b)shallcomplywithSpecifications;(c)shallcomply,andshall,withrespecttosuchGoods,enableBuyer’sProductstocomply,withrelatedlaws,orders,regulationsorstandards,whichtheBuyerrequestedtocomply,applicabletotheGoodsdeliveredhereunder;(d)shallbemanufacturedwithreferencetothequalityassurancestandardssetforthinthisAgreement;(e)shallbemerchantableandfitforparticularpurpose(s)requiredbyBuyerand/orCustomer;and(f)shallbefreeofclaimsorliens..產(chǎn)品保證。供貨方保證本合同項(xiàng)下的全部商品交付：(a)應(yīng)當(dāng)無(wú)缺陷；(b)應(yīng)符合規(guī)格；(c)應(yīng)符合、也應(yīng)使采購(gòu)方能符合適用于商品交付的采購(gòu)方要求的相關(guān)法律、命令、規(guī)章或標(biāo)準(zhǔn)；(d)應(yīng)參照本合同規(guī)定的質(zhì)量保證標(biāo)準(zhǔn)制造；(e)應(yīng)適銷且適合采購(gòu)方和/或顧客要求的特定用途；且(f)應(yīng)當(dāng)無(wú)索賠、留置權(quán)負(fù)擔(dān)于商品之上。7.2.RemediesforBreachofWarranty.IfSupplierbreachesthewarrantyofthedeliveredProducts,BuyershallnotifySupplierimmediatelyformitigation,andtotakevariousreasonabletechnicalandcommercialmeasureswithinitscapabilitiestominimizethedirectorindirectlossesoftheBuyeranditsrelatedparties.WhenalitigationoccursintheU.S.market,theBuyerwillrepresentandcutthelitigationriskoffattheBuyer.ThesupplierdoesnotdirectlyparticipateinlitigationbutshalltoassisttheBuyerinresolvinglitigationdisputesandprovidecorrespondingevidence.Remedialmeasuresincludereturn,processing,repair,sorting,inspection,replacementofdefectivegoodsormonetarycompensation.違反保證條款的補(bǔ)救措施。供貨方交付的商品若違反產(chǎn)品保證條款，采購(gòu)方應(yīng)盡快通知供貨方協(xié)商補(bǔ)救措施，并在其能力范圍內(nèi)采取各種合理的技術(shù)和商業(yè)措施將采購(gòu)方及其關(guān)聯(lián)方的直接或間接損失降至最低。當(dāng)美國(guó)市場(chǎng)發(fā)生法律訴訟爭(zhēng)議時(shí)，由采購(gòu)方出面解決，把訴訟風(fēng)險(xiǎn)截止于采購(gòu)方。供貨方不直接參與法律訴訟爭(zhēng)議，但需協(xié)助采購(gòu)方解決訴訟爭(zhēng)議問(wèn)題并提供相應(yīng)的證據(jù)支持。補(bǔ)救措施包括退貨、處理、維修、整理、檢查，換缺陷商品或賠償。8.GoverningLaw.

參照法律。ThisAgreementshallbegovernedbyandconstruedunderthelawsofCHINAwithoutregardtoitsconflictsoflawsprinciplesthatwouldrequiretheapplicationofthelawsofanyotherjurisdiction.本協(xié)議應(yīng)受中國(guó)法律法規(guī)的約束，并應(yīng)根據(jù)中國(guó)法律進(jìn)行解釋，不考慮法律沖突原則要求的其他司法管轄區(qū)的法律。9.EntireAgreement.
