1.LoanAmount

5.Security

AssecurityfortherepaymentoftheLoan,theBorrowerherebygrantstotheLenderafirstpriority,firstmortgageonthepropertydescribedintheattachedExhibitA(hereinafterreferredtoas"theSecurityProperty").

6.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLaw].

AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitratorshallbefinalandbindingonbothparties.

7.EntireAgreement
