OBLIGATIONS:

1.ThePrincipalshall:

a.ProvidetheAgentwithallnecessaryinformation,documentation,andinstructionstoenabletheAgenttoperformitsobligationsunderthisContract.

b.PaytheAgenttheagreed-uponcompensationfortheservicesrendered.

c.EnsurethattheservicesprovidedbytheAgentcomplywithallapplicablelaws,regulations,andindustrystandards.

2.TheAgentshall:

a.UseitsbesteffortstoperformtheservicesdescribedinthisContract.

b.MaintaintheconfidentialityofallinformationdisclosedbythePrincipal.

c.NotifythePrincipalimmediatelyofanyissuesorconcernsthatmayariseduringtheperformanceoftheContract.

TERMANDTERMINATION:

1.ThisContractshallcommenceonthe[StartDate]andshallcontinueforaperiodof[Duration],unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

2.TheAgentshallindemnifyandholdharmlessthePrincipalagainstanyclaims,actions,proceedings,losses,damages,liabilities,costs,andexpensesarisingoutoforinconnectionwiththeAgent'sbreachofthisContract.

3.TheindemnificationobligationsunderthisparagraphshallsurvivetheterminationorexpirationofthisContract.
