2.Definitions

ForthepurposesofthisAgreement,thefollowingtermsshallhavethefollowingmeanings:

(a)"Services"meansthe[NatureofServices]tobeprovidedbyPartyAtoPartyB;and

(b)"Products"meansthe[NatureofProducts]tobeprovidedbyPartyBtoPartyA.

3.TermandTermination

3.1ThisAgreementshallbeeffectivefromtheEffectiveDateandshallremainineffectforaperiodof[DurationofAgreement]("theTerm"),unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

3.2EitherPartymayterminatethisAgreementbyproviding[NoticePeriod]days'writtennoticetotheotherParty.

3.3UponterminationofthisAgreement,thePartiesshallpromptlysettlealloutstandingobligationsandliabilitiesarisingfromtheperformanceofthisAgreement.

4.Confidentiality

4.1ThePartiesagreetokeepconfidentialanyandallinformationofaconfidentialnature("ConfidentialInformation")obtainedfromtheotherPartyinconnectionwiththisAgreement.

4.2ThePartiesagreethattheyshallnotusetheConfidentialInformationforanypurposeotherthanfortheperformanceoftheirobligationsunderthisAgreement.

4.3TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisAgreement.

5.IntellectualProperty

5.1PartyAshallretainallownershiprightsinandtotheServicesprovidedunderthisAgreement.

5.2PartyBshallretainallownershiprightsinandtotheProductsprovidedunderthisAgreement.

5.3ThePartiesagreethatanyandallintellectualpropertyrightsarisingfromtheperformanceofthisAgreementshallbeownedbythePartywhocreatedsuchrights.

6.Indemnification

6.1PartyAshallindemnify,defend,andholdharmlessPartyBagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromtheServicesprovidedbyPartyAunderthisAgreement.

6.2PartyBshallindemnify,defend,andholdharmlessPartyAagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonableattorneys'fees)arisingoutoforresultingfromtheProductsprovidedbyPartyBunderthisAgreement.

7.LimitationofLiability

7.1InnoeventshalleitherPartybeliabletotheotherPartyforanyindirect,special,punitive,incidental,orconsequentialdamagesarisingoutoforresultingfromthisAgreement.

7.2TheaggregateliabilityofeitherPartytotheotherPartyunderthisAgreementshallnotexceedthetotalamountpaidbyPartyAtoPartyBorPartyBtoPartyA,asapplicable,fortheServicesorProductsprovidedunderthisAgreement.

8.GoverningLawandJurisdiction

8.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

8.2AnydisputearisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthecourtsof[Jurisdiction].

9.EntireAgreement

10.Principal'sLimitations

10.1PartyBshallnotbeliableforanydamagesorlossessufferedbyPartyAduetothefailureofPartyCtomeettheagreed-uponqualityandstandardsoftheServicesandProducts,exceptasspecificallyprovidedinthisAgreement.

10.2PartyBshallnotberesponsibleforanyactsoromissionsofPartyC.

11.GoverningLawandJurisdiction

11.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

11.2AnydisputearisingoutoforinconnectionwiththisAgreementshallbesubmittedtotheexclusivejurisdictionofthecourtsof[Jurisdiction].
