ectionandsupervision.12.3工程驗收標(biāo)準(zhǔn)與程序第十三條財務(wù)與支付13.1支付條件與方式ThepaymentunderthisContractshallbemadetheOwnertotheDesignerandtheConstructorwithin(period)afterthereceipttheOwnerofproperlyexecutedinvoicesandsupportingdocuments.13.2進度付款Theownershallmakeprogresspaymentstotheconstructorinaccordancewiththeprogressoftheconstructionworkandthecorrespondingbillforpaymentsubmittedtheconstructor.13.3最終付款Theownershallmakethefinalpaymenttotheconstructorupontheacceptanceoftheprojectandtheprovisionofallfinaldocumentsandcertificatesrequiredunderthecontract.13.4支付稅費與手續(xù)費Theowner,thedesigner,andtheconstructorshallberesponsiblefortheirrespectivetaxesanddutiesinconnectionwiththepaymentunderthisContract第二部分：第三方介入后的修正14.1第三方定義ForthepurposesofthisContract,"ThirdParty"meansanyindividual,entityororganizationthatisnottheOwner,theDesignerortheConstructor,andthatisinvolvedintheperformanceoftheContractinanyway,includingbutnotlimitedtoconsultants,subcontractors,suppliersandinspectors.14.2第三方介入的條件與程序IftheContractrequirestheinvolvementofaThirdParty,theOwner,theDesignerandtheConstructorshallagreeontheconditionsandproceduresforsuchinvolvement.TheThirdPartyshallbeengagedtheOwner,theDesignerortheConstructor,asapplicable,andshallbeboundthetermsandconditionsofthisContract.14.3第三方責(zé)任TheThirdPartyshallberesponsiblefortheperformanceoftheservicesordeliveryofthegoodsinaccordancewiththetermsoftheContract.TheThirdPartyshallindemnifyandholdharmlesstheOwner,theDesignerandtheConstructoragainstanyclaims,damages,lossesorexpensesarisingoutoforinconnectionwiththeThirdParty'sperformanceundertheContract.14.4第三方限額責(zé)任TheliabilityoftheThirdPartyunderthisContractshallbelimitedtotheextentprovidedintheContractorasagreedtheparties.TheOwner,theDesignerandtheConstructorshallberesponsiblefornegotiatingandagreeingonthelimitofliabilitywiththeThirdParty.14.5第三方違約處理IntheeventofabreachofcontracttheThirdParty,theOwner,theDesignerortheConstructor,asapplicable,shallhavetherighttotakesuchactionasmaybenecessarytoenforcetheContractagainsttheThirdParty.TheOwner,theDesignerandtheConstructorshallbeendtoclaimdamagesfromtheThirdPartyforanylossesorexpensesincurredasaresultofthebreach.14.6第三方權(quán)益保護TheOwner,theDesignerandtheConstructorshalltakeallnecessarystepstoprotecttheirinterestsandrightsundertheContract,includingbutnotlimitedtoobtainingappropriateinsurancecoverageandensuringthattheThirdPartyisawareofandboundthetermsoftheContract.14.7第三方退出與替換IfaThirdPartyisunabletoperformitsobligationsundertheContractoriftheOwner,theDesignerortheConstructordeterminesthatitisintheirbestinteresttoreplacetheThirdParty,theOwner,theDesignerortheConstructormayterminatetheThirdParty'sinvolvementintheContractuponnoticetotheotherparties.TheOwner,theDesignerandtheConstructorshallberesponsiblefornegotiatingandagreeingonthetermsofreplacementwithanewThirdParty.14.8第三方與其他各方的關(guān)系TheThirdPartyshallbeconsideredanindependentcontractorandshallnotbedeemedtobeanagent,employeeorrepresentativeoftheOwner,theDesignerortheConstructor.TheThirdPartyshallhavenoauthoritytobindtheOwner,theDesignerortheConstructorinanyway,andshallnotmakeanyrepresentationsorwarrantiesonbehalfoftheOwner,theDesignerortheConstructor.14.9第三方資料提供TheOwner,theDesignerandtheConstructorshallprovidetheThirdPartywithallnecessaryinformation,documentationandinstructionstoenabletheThirdPartytoperformitsobligationsundertheContract.TheThirdPartyshallpromptlyreporttotheOwner,theDesignerortheConstructoranyissuesorconcernsthatmayariseinconnectionwiththeperformanceoftheContract.14.10第三方合規(guī)與合法性14.11第三方索賠處理IntheeventthattheThirdPartyseekstomakeaclaimagainsttheOwner,theDesignerortheConstructor,theOwner,theDesignerortheConstructormay,attheirsolediscretion,electtonegotiateasettlementwiththeThirdPartyortodisputetheclaimthroughappropriatel
