3.Delivery
TheSellershalldelivertheProductstotheBuyer'sdesignatedaddresswithinthedeliveryperiodspecifiedintheattachedProductList.
4.PriceandPayment
ThepriceoftheProductsshallbeasspecifiedintheattachedProductList.TheBuyershallpaytheSellerthetotalamountwithinthepaymentperiodspecifiedintheattachedProductList.
5.InspectionandAcceptance
TheBuyershallinspectandaccepttheProductsupondelivery.AnydisputesarisingfromtheinspectionandacceptanceshallberesolvedthroughfriendlynegotiationbetweentheSellerandtheBuyer.
6.LiabilityforBreachofContract
IfeitherpartyfailstofulfillitsobligationsunderthisContract,itshallbearthecorrespondinglegalliability.
7.DisputeResolution
AnydisputesarisingfromtheexecutionofthisContractshallberesolvedthroughfriendlynegotiationbetweentheSellerandtheBuyer.Ifthenegotiationfails,thepartiesmayapplytothePeople'sCourthavingjurisdictionovertheSeller'splaceofbusinessforarbitrationorlitigation.
8.Miscellaneous
8.1ThisContractismadeintwocopies,oneforeachparty,andeachcopyisequallyeffective.
8.2AnyamendmentsorsupplementstothisContractshallbemadeinwritingandshallbesignedbybothparties.
8.3ThevalidityperiodofthisContractshallbecountedfromthedateofexecution.

3.Delivery
TheSellershalldelivertheProductstotheBuyer'sdesignatedaddresswithinthedeliveryperiodspecifiedintheattachedProductList.TheSellershallbeartheriskoflossordamagetotheProductsuntiltheProductsaredeliveredtotheBuyer.
4.PriceandPayment
ThepriceoftheProductsshallbeasspecifiedintheattachedProductList.TheBuyershallpaytheSellerthetotalamountwithinthepaymentperiodspecifiedintheattachedProductList.FailuretomaketimelypaymentshallentitlePartyAtoclaimdamagesfromPartyB.
5.ThirdParty'sRoleandObligations
PartyC,astheThirdParty,shallactasanintermediaryinthistransactionandshallperformthefollowingobligations:
-FacilitatecommunicationandnegotiationbetweenPartyAandPartyB.
-Ensuretheconfidentialityofthetransactionandtheparties'information.
-Provideassistanceintheresolutionofdisputesthatmayariseduringthetransaction.
-PartyCshallnotinterferewiththecontractualrightsandobligationsofPartyAandPartyB.
6.RightsandInterestsofPartyA
6.1PartyAshallhavetherighttorequestPartyBtoprovideevidenceofpaymentuponexpirationofthepaymentperiod.
6.2PartyAshallhavetherighttorequestPartyBtoprovideevidenceofthedeliveryandacceptanceoftheProducts.
6.3PartyAshallhavetherighttoterminatethisContractandclaimdamagesfromPartyBifPartyBbreachesanyofitsobligationsunderthisContract.
7.LimitationsandRestrictionsonPartyB
7.1PartyBshallnotsell,assign,orotherwisetransferitsrightsandobligationsunderthisContractwithoutthepriorwrittenconsentofPartyA.
7.2PartyBshallnotengageinanyactivitiesthatmayprejudicetherightsandinterestsofPartyA.
7.3PartyBshallnotdisclosetoanythirdpartyanyconfidentialinformationobtainedfromPartyAorthroughthisContract.
8.LiabilityforBreachofContract
IfPartyBbreachesanyofitsobligationsunderthisContract,itshallbearthecorrespondinglegalliability.PartyAshallhavetherighttoclaimdamagesfromPartyBforanylossordamagesufferedasaresultofthebreach.
9.DisputeResolution
AnydisputesarisingfromtheexecutionofthisContractshallberesolvedthroughfriendlynegotiationbetweentheparties.Ifthenegotiationfails,thepartiesmayapplytothePeople'sCourthavingjurisdictionovertheSeller'splaceofbusinessforarbitrationorlitigation.
10.Miscellaneous
10.1ThisContractismadeintwocopies,oneforeachparty,andeachcopyisequallyeffective.
10.2AnyamendmentsorsupplementstothisContractshallbemadeinwritingandshallbesignedbyallparties.
10.3ThevalidityperiodofthisContractshallbecountedfromthedateofexecution.
11.SignificanceandPurposeofThirdParty'sInvolvement
TheinvolvementofPartyCastheThirdPartyservestoenhancethesecurityandreliabilityofthetransaction.PartyC'sroleasanintermediaryhelpstomitigatetherisksassociatedwiththetransactionandensuresthatPartyA'srightsandinterestsareprotected.
12.PurposeandSignificanceofPartyA'sDominance
PartyA'sdominanceinthisContractisdesignedtoensurethatitsrightsandinterestsareprioritized.Byincorporatingspecificrightsandinterestclauses,PartyAisabletoexertgreatercontroloverthetransactionandprotectitselfagainstpotentialbreachesbyPartyB.

-AssistinthenegotiationoftermsandconditionsbetweenPartyAandPartyB.
-OverseetheexecutionofthisContracttoensurecompliancewiththeagreedterms.
6.RightsandInterestsofPartyB
6.1PartyBshallhavetherighttorequestinformationfromtheSellerregardingtheorigin,quality,andspecificationsoftheProducts.
6.2PartyBshallhavetherighttorequestsamplesoftheProductsbeforeplacinganorder.
6.3PartyBshallhavetherighttoterminatethisContractandclaimdamagesfromtheSelleriftheSellerbreachesanyofitsobligationsunderthisContract.
6.4PartyBshallhavetherighttoseekalternativesuppliersiftheSellerfailstomeettheagreeddeliveryscheduleorqualitystandards.
7.LimitationsandRestrictionsonPartyA
7.1PartyAshallnotdisclosetoanythirdpartyanyconfidentialinformationobtainedfromPartyBorthroughthisContract.
7.2PartyAshallnotengageinanyactivitiesthatmayprejudicetherightsandinterestsofPartyB.
7.3PartyAshallnotassignitsobligationsunderthisContractwithoutthepriorwrittenconsentofPartyB.
8.LiabilityforBreachofContract
IfPartyAbreachesanyofitsobligationsunderthisContract,itshallbearthecorrespondinglegalliability.PartyBshallhavetherighttoclaimdamagesfromPartyAforanylossordamagesufferedasaresultofthebreach.
9.DisputeResolution
