WHEREAS,PartyBiswillingtoprovideitsexpertiseandresourcestoassistPartyAintheresearchanddevelopmentof[specifictechnologyorproduct];

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.ScopeofWork

1.1PartyAherebyappointsPartyBtoperformtheresearchanddevelopmentworkasdescribedinExhibitAattachedhereto(hereinafterreferredtoasthe“ScopeofWork”).

1.2PartyBagreestouseitsbesteffortsandexpertisetocompletetheScopeofWorkinatimelyandprofessionalmanner.

2.TermandTermination

2.1ThetermofthisContractshallcommenceonthe[StartDate]andshallcontinueforaperiodof[Number]months,unlessterminatedearlierinaccordancewiththeprovisionsofthisContract.

2.2EitherPartymayterminatethisContractbyprovidingwrittennoticetotheotherPartyatleast[Number]dayspriortotheterminationdate.

3.CompensationandPayment

4.2PartyBagreestoassignallintellectualpropertyrightstoPartyAuponcompletionoftheScopeofWork.

5.Confidentiality

5.1ThepartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedduringtheperformanceofthisContract.

5.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.

6.GeneralProvisions

6.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.

6.2ThisContractmaybeamendedonlybyawrittenagreementexecutedbybothparties.

6.3ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/Region].

2.2ThirdPartyshallprovideregularprogressreportstoPartyB,whoshall,inturn,providethesereportstoPartyA.

3.CompensationandPayment

4.3ThirdPartyacknowledgesthatanyintellectualpropertyrightscreatedinthecourseofthesubcontractedworkshallbetheexclusivepropertyofPartyA.

5.Confidentiality

5.1ThepartiesagreetomaintaintheconfidentialityofallconfidentialinformationdisclosedduringtheperformanceofthisContract.

5.2TheobligationsofconfidentialityshallsurvivetheterminationorexpirationofthisContract.

6.ThirdParty'sLiabilityandLimitations

6.1ThirdPartyshallbeliableforanybreachofthisContractcausedbyitsownnegligenceorwillfulmisconduct.

6.2ThirdPartyagreestolimititsliabilitytotheextentoftheCompensationreceivedunderthisContractforanyclaimsarisingoutofthesubcontractedwork.

7.GeneralProvisions

7.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.

7.2ThisContractmaybeamendedonlybyawrittenagreementexecutedbyallparties.

7.3ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Country/Region].

4.3ThirdPartyshallhavetherighttoaccessthenecessaryresourcesandinformationfromPartyBtoperformthesubcontractedworkeffectively.

5.PartyA'sLiabilityandLimitations

5.1PartyAshallbeliableforanybreachofthisContractcausedbyitsownnegligenceorwillfulmisconduct.

5.2PartyAagreestolimititsliabilitytotheextentoftheCompensationpaidunderthisContractforanyclaimsarisingoutoftheoutsourcedservices.

5.3PartyAshallnotbeliableforanydelaysorfailuresintheperformanceoftheoutsourcedservicesduetocausesbeyonditscontrol,suchasforcemajeureevents.

6.GeneralProvisions

6.1ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.

6.2ThisContractmaybeamendedonlybyawrittenagreementexecutedbyallparties.
