2025年國(guó)際貿(mào)易合同實(shí)用英語(yǔ)合同編號(hào)：__________(INSTRUMENTOFAGREEMENT)ThisContract(the“Contract”)ismadeandenteredintoonthis_____dayof____________,2025,andbetween:Hereinafter,individuallyreferredtoasa“Party”andcollectivelyasthe“Parties”.RECITALS:WHEREAS,PartyAiswillingtosellandPartyBiswillingtobuytheGoods(asdefinedhereinafter)onthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhicharehereacknowledged,thePartiesheretoagreeasfollows:Article1:DefinitionofTerms1.1Unlessotherwisedefinedherein,capitalizedtermsandexpressionsusedinthisContractshallhavethefollowingmeanings:(a)“Goods”meanstheproductsand/orservicestobesoldanddeliveredPartyAtoPartyBunderthisContract,asdescribedinExhibitAattachedhereto;(b)“Incoterms”meanstheInternationalRulesfortheInterpretationofTradeTerms,aspublishedtheInternationalChamberofCommerceandinforceasofthedateofthisContract;(c)“Order”meansthepurchaseorderissuedPartyBtoPartyAforthepurchaseofGoodsinaccordancewiththetermsandconditionsofthisContract;(d)“Price”meansthepricefortheGoodsassetforthinExhibitBattachedhereto;(e)“DeliveryDate”meansthedateonwhichPartyAisrequiredtodelivertheGoodstoPartyBunderthetermsofthisContract;(f)“ForceMajeure”meansanyeventorcircumstancebeyondthereasonablecontrolofaParty,includingbutnotlimitedtoactsofGod,war,riot,embargo,labordisputes,andgovernmentactions,whichmakesitimpossibleorimpracticableforsuchPartytoperformitsobligationsunderthisContract;(g)“Exhibit”meansanyexhibitattachedheretoandincorporatedreferenceasiffullysetforthherein;and(h)“Parties”meansPartyAandPartyBcollectively.Article2:SaleandPurchaseofGoods2.1PartyAagreestosellandPartyBagreestobuytheGoodsinaccordancewiththetermsandconditionssetforthinthisContract.2.2PartyAshalldelivertheGoodstoPartyBattheplaceandtimespecifiedinExhibitAattachedhereto(the“PlaceofDelivery”)onorbeforetheDeliveryDate.2.3TheGoodsshallbegovernedtheIncotermsinforceasofthedateofthisContract,andtheriskoflossandtotheGoodsshallpasstoPartyBupontheGoods’arrivalatthePlaceofDelivery.Article3:PriceandPaymentTerms3.1ThePricefortheGoodsshallbeassetforthinExhibitBattachedhereto.3.2PartyBshallmakepaymentfortheGoodswiretransfertoanaccountdesignatedPartyAwithinthirty(30)daysafterthedateoftheinvoiceissuedPartyA.3.3InterestshallbechargedonanyoutstandingbalancebeyondthepaymentduedateatanannualinterestrateequaltotheprimelendingratepublishedthePeople’sBankofChina,plusthreepercent(3%)perannum,calculatedonadailybasis.Article4:DeliveryandInspection4.1PartyAshalldelivertheGoodstoPartyBonorbeforetheDeliveryDate.4.2PartyBshallhavetherighttoinspectandtesttheGoodswithinareasonabletimeaftertheirdelivery.IftheGoodsdonotconformtothetermsofthisContract,PartyBshallnotifyPartyAinwritingwithinthirty(30)daysafterdelivery.PartyAshall,atitssolediscretion,eitherreplacethenonconformingGoodsorrefundthepurchasepriceforsuchGoods.Article5:Warranties5.1PartyAwarrantsthattheGoodsshallconformtothespecificationssetforthinExhibitAattachedheretoandbefreefromdefectsinmaterialsandworkmanship.5.一、附件列表：1.附件A：Goods的詳細(xì)描述2.附件B：價(jià)格明細(xì)二、違約行為及認(rèn)定：1.遲延交付：如果PartyA未能在約定的DeliveryDate之前交付Goods，則構(gòu)成違約。2.商品不符合約定：如果Goods與ExhibitA中規(guī)定的規(guī)格不符，或存在材料和工藝上的缺陷，則構(gòu)成違約。3.未能支付：如果PartyB未能在約定的時(shí)間內(nèi)支付Price，則構(gòu)成違約。4.未能履行合同義務(wù)：如果任何一方未能履行本合同項(xiàng)下的任何其他義務(wù)，則構(gòu)成違約。三、法律名詞及解釋：1.Incoterms：國(guó)際貿(mào)易術(shù)語(yǔ)，用于解釋買賣雙方在國(guó)際貿(mào)易中運(yùn)輸和交付貨物的義務(wù)。2.ForceMajeure：不可抗力，指無(wú)法預(yù)見、無(wú)法避免且無(wú)法克服的客觀情況，導(dǎo)致一方無(wú)法履行合同義務(wù)。3.Exhibit：附件，用于補(bǔ)充和說(shuō)明合同中的條款。四、執(zhí)行中遇到的問(wèn)題及解決辦法：1.交付問(wèn)題：如果PartyA未能按時(shí)交付Goods，應(yīng)立即通知PartyB，并盡快采取補(bǔ)救措施。如果無(wú)法及時(shí)補(bǔ)救，PartyB有權(quán)解除合同并尋求賠償。2.質(zhì)量問(wèn)題：如果Goods存在缺陷，PartyB應(yīng)在接收貨物后30天內(nèi)書面通知PartyA。Pa
