talldeliverablesmeettheagreeduponstandardsandspecifications.PartyBmayrequestinspectionandtestingofthedeliverablesatanytimeduringthetermofthisAgreement.8.4DelayedDeliveryIntheeventofadelayindeliverybeyondtheagreeduponschedule,PartyAshallprovidePartyBwithwrittennoticeofthedelayandthereasonsforthedelay.ThePartiesshallnegotiateingoodfaithtodeterminethereviseddeliveryschedule.9.LiabilityandIndemnification9.1LimitationofLiabilityTheliabilityofPartyAunderthisAgreementshallbelimitedtothedirectdamagesactuallyincurredPartyBasaresultofPartyA'snegligenceorwillfulmisconduct.9.2IndemnificationPartyAshallindemnifyandholdharmlessPartyBfromandagainstanyandallclaims,liabilities,losses,damages,andexpensesarisingoutoforinconnectionwithPartyA'sperformanceofitsobligationsunderthisAgreement.9.3InsuranceRequirementsPartyAshallmaintain,duringthetermofthisAgreement,appropriateprofessionalliabilityinsurancecoveragewithlimitssatisfactorytoPartyB.10.DisputeResolution10.1DisputeResolutionMechanismAnydisputearisingoutoforinconnectionwiththisAgreementshallberesolvedthroughnegotiationbetweentheParties.IfthePartiesareunabletoreachanamicableresolutionwithin[NegotiationPeriod],thedisputeshallbesubmittedto[DisputeResolutionMechanism].10.2GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].10.3ArbitrationIfadisputecannotberesolvedthroughnegotiation,thePartiesagreetosubmitthedisputetoarbitrationinaccordancewiththe[ArbitrationRules]ofthe[ArbitrationInstitution].10.4LitigationIfarbitrationisnotsuccessful,thePartiesshallhavetherighttoseekjudicialresolutionofthedisputeinthecourtsof[Jurisdiction].11.MiscellaneousProvisions11.1ForceMajeureNeitherPartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetocausesbeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,naturaldisasters,war,strikes,orlabordisputes.11.2AmendmentsandModificationsAnyamendmentsormodificationstothisAgreementshallbemadeinwritingandshallbesignedbothParties.11.3AssignmentandSubcontractingNeitherPartymayassignorsubcontractitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherParty.11.4EntireAgreementThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreementsandunderstandings,whetherwrittenororal.11.5WaiverofBreachThefailureofeitherPartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionnoroftherightoftheotherPartytoenforcesuchprovision.11.6SeverabilityIfanytermorprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,theremainingtermsandprovisionsshallremaininfullforceandeffect.12.Signatures12.1ExecutionofAgreementThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.12.2AcceptanceofAgreementTheacceptanceofthisAgreementeitherPartyshallbeevidencedtheexecutionofthisAgreementandthereturnofasignedcopytotheotherParty.12.3CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.13.EffectiveDateandExecution13.1ExecutionDateThisAgreementshallbeexecutedon[ExecutionDate],2024.13.2EffectiveDate14.JurisdictionandGoverningLaw14.1JurisdictionAlldisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[Jurisdiction].14.2GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].第二部分：第三方介入后的修正1.ThirdPartyInvolvement1.1DefinitionofThirdPartyForthepurposesofthisAgreement,a"ThirdParty"shallmeananyentityorindividualthatisnotaPartytothisAgreementbutisinvolvedintheperformanceoftheAgreementortheprovisionofservicesrelatedthereto.1.2TypesofThirdPartiesThirdPartiesmayinclude,butarenotlimitedto,consultants,experts,intermediaries,suppliers,serviceproviders,andanyotherentitiesorindividualsengagedintheperformanceoftheAgreement.1.3ThirdPartySelection1.3.1PartyAmay,atitssolediscretion,engageaThirdPartytoassistintheperformanceofitsobligationsunderthisAgreement.1.3.2PartyBshallbenotifiedofanyThirdPartyengagementinwritingatleast[NoticePeriod]dayspriortotheengagement.1.4ThirdPartyContracts1.4.1AnycontractsoragreementsenteredintobetweenaThirdPartyandeitherPartyshallbesolelybetweentheThirdPartyandtherespectiveParty.1.4.2PartyAshallensurethatanyThirdPartyitengageshasthenecessaryqualifications,expertise,andauthoritytoperformtherequiredservices.2.AdditionalTermsandConditionsforThirdPartyInvolvement2.1AdditionalObligationsofPartyA2.1.1PartyAshallensurethatanyThirdPartyengagedisactingonbehalfofPartyAandinaccordancewiththetermsofthisAgreement.2.1.2PartyAshallremainultimatelyresponsiblefortheperformanceofitsobligationsunderthisAgreement,irrespectiveoftheinvolvementofaThirdParty.2.2AdditionalObligationsofPartyB2.2.1PartyBshallcooperatewithanyThirdPartyengagedPartyAtofacilitatetheperformanceoftheAgreement.2.2.2PartyBshallnotdirectlyengageorcontractwithanyThirdPartywithoutthepriorwrittenconsentofPartyA.3.Res
