")betweentheSellerandtheBuyer.1.3ContractPeriodThiscontractshalltakeeffectfromthedateofitssigningandshallremaininforceuntilallobligationsunderthecontractarefulfilledbothparties.2.PropertyDescription2.1PropertyLocationThePropertyislocatedat[PropertyAddress],whichisclearlydescribedandidentified.2.2PropertyTypeThePropertyisa[PropertyType],consistingof[NumberofBedrooms],[NumberofBathrooms],and[PropertyArea]squaremeters.2.3PropertyAreaThePropertyhasatotalareaof[PropertyArea]squaremeters,asconfirmedthepropertydocumentsandmeasurements.2.4PropertyConditionThePropertyissoldinitscurrentcondition,asevidencedthepropertyinspectionreportdated[DateofInspectionReport].3.PurchasePrice3.1PurchasePriceAmountThetotalpurchasepriceofthePropertyis[PurchasePriceAmount](hereinafterreferredtoas"thePurchasePrice").3.2PaymentTermsTheBuyershallpaythePurchasePriceinaccordancewiththepaymentschedulesetforthinArticle4ofthiscontract.3.3DepositUponsigningthiscontract,theBuyershallpayanonrefundabledepositof[DepositAmount]asagoodfaithgesture.4.PaymentSchedule4.1DownPaymentTheBuyershallpay[DownPaymentAmount]within[NumberofDays]fromthesigningofthiscontract.4.2InstallmentPaymentsTheremainingbalanceofthePurchasePriceshallbepaidin[NumberofInstallments]equalmonthlyinstallments,eachinstallmentbeing[InstallmentAmount].4.3FinalPayment5.PropertyTransfer5.1TransferProcessTheSellershalltransferthePropertytotheBuyerinaccordancewiththelawsandregulationsoftherelevantjurisdiction.5.2TransferDocumentsTheSellershallprovideallnecessarydocumentsforthetransferofthePropertytotheBuyer,includingbutnotlimitedtothepropertydeed,landuserightscertificate,andpropertyassessmentreport.5.3TransferFeeThetransferfeeshallbebornetheSeller,asstipulatedtherelevantlawsandregulations.6.LegalCompliance6.1LocalLawsandRegulations6.2InternationalLawsandRegulations6.3ComplianceVerificationTheSellershallensurethatthePropertyisfreefromanylegaldisputesorencumbrancesthatmayaffectthetransferofownership.8.ContingencyClauses8.1ForceMajeureIfanypartyisunabletofulfillitsobligationsunderthiscontractduetounforeseencircumstancesbeyonditscontrol,suchasnaturaldisasters,war,orgovernmentactions,itshallnotifytheotherpartyinwritingimmediately.Thenonperformingpartyshallbeexemptfromliabilityforanydelayornonperformanceduringtheperiodofforcemajeure.8.2TerminationConditionsEitherpartymayterminatethiscontractuponoccurrenceofthefollowingconditions:1.Theotherpartybreachesthiscontractandfailstocurethebreachwithin[NumberofDays]afterreceivingwrittennotice.2.AmaterialchangeinthePropertythatmakesitunsuitablefortheintendeduseasagreeduponinthiscontract.3.Anyactoreventthatisbeyondthereasonablecontrolofthepartiesandpreventsthefulfillmentofthiscontract.8.3DisputeResolution9.ContractAmendments9.1ModificationProcessAnyamendmenttothiscontractmustbemadeinwritingandsignedbothparties.Theamendmentshallbeanintegralpartofthiscontractandshallonlybeeffectiveuponitsexecution.9.2ApprovalofAmendmentsAnyamendmenttothiscontractshallnotbeeffectiveunlessapprovedbothparties.9.3EffectiveDateTheamendmentshalltakeeffectfromthedateofitsexecution,unlessotherwiseagreedupontheparties.10.Confidentiality10.1ConfidentialInformationConfidentialinformationreferstoanyinformationthatisnotpubliclyavailableandthatisdisclosedtoonepartytheotherpartyinconnectionwiththiscontract.10.2DisclosureRestrictionsNeitherpartyshalldiscloseanyconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.10.3BreachofConfidentialityAnybreachofconfidentialityeitherpartyshallentheotherpartytoseekappropriateremedies,includingdamagesandinjunctiverelief.11.GoverningLawandJurisdiction11.1GoverningLawThiscontractshallbegovernedandconstruedinaccordancewiththelawsofthejurisdictionwherethePropertyislocated.11.2Jurisdiction11.3DisputeResolutionIfanydisputearisesbetweenthepartiesinrelationtothiscontract,thepartiesagreetofirstseekaresolutionthroughmediation.Ifmediationfails,thedisputeshallbereferredtoarbitrationundertherulesof[ArbitrationInstitution].12.ContractExecutionandValidity12.1ExecutionProcessThiscontractshallbeexecutedintwocopies,oneforeachparty.Eachpartyshallretainonecopyofthecontractforitsrecords.12.2ValidityofContractThiscontractshallbevalidandbindinguponallpartiesuponitsexecutionanddelivery.12.3CounterpartsThiscontractmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.13.MiscellaneousProvisions13.1EntireAgreementThiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal,relatingtothesubjectmatterofthiscontract.13.2AssignmentNeitherpartymayassignitsrightsorobligationsunderthiscontractwithoutthepriorwrittenconsentoftheotherparty.13.3WaiverThefailureofeitherpartytoexerciseanyrightprovidedunderthiscontractshallnotbedeemedawaiverofsuchright,norshallitaffectthevalidityofthiscontract.14.Signatures14.1PartiesSignaturesThiscontractshallbeexecutedthepartiesortheirauthorizedrepresentatives,withtheirsignaturesorthesignaturesoftheirauthorizedrepresentativesaffixedhereto.14.2WitnessSignaturesThiscontractshallbewitnessed[NumberofWitnesses],eachofwhomshallsignasawitnessbelow.第二部分:第三方介入后的修正15.ThirdPartyInvolvement15.1DefinitionofThirdPartyForthepurposeofthiscontract,a"ThirdParty"referstoanyindividual,entity,ororganizationthatisnotapartytothisagreementbutisengagedinprovidingservicesorassistanceinconnectionwiththeexecutionofthiscontract.Thisincludes,butisnotlimitedto,realestateagents,legaladvisors,inspectors,appraisers,andanyotherprofessionalserviceproviders.15.2InvolvementofThirdPartiesThepartiesmay,attheirdiscretion,involveThirdPartiesinthetransactionprocess.TheinvolvementofThirdPartiesshallbesubjecttothefollowingprovisions:15.2.1ConsentTheinvolvementofanyThirdPartyshallbesubjecttothepriorwrittenconsentofboththeSellerandtheBuyer.15.2.2AppointmentThepartiesshallappointtheThirdPartyinwriting,specifyingthescopeofservicestobeprovidedandthedurationoftheengagement.15.2.3FeesandExpensesThepartiesshallagreeuponthefeesandexpensestobepaidtotheThirdParty,whichshallbebornethepartythatappointstheThirdParty,unlessotherwiseagreed.16.AdditionalTermsandConditionsforThirdPartyInvolvement16.1Seller'sandBuyer'sObligationsWhenaThirdPartyisinvolved,theSellerandtheBuyershallfulfillthefollowingobligations:16.1.1Seller'sObligationsTheSellershallprovidetheThirdPartywithallnecessaryinformationandaccesstothePropertytoenabletheThirdPartytoperformitsduties.16.1.2Buyer'sObligationsTheBuyershallprovidetheSellerwithallnecessaryinformationandaccesstothePropertytoenabletheSellertofulfillitsobligations.16.2ThirdParty'sDutiesandResponsibilitiesTheThirdPartyshallperformitsdutieswithduecareanddiligence,inaccordancewiththetermsofitsappointmentandtherequirementsofthiscontract.TheThirdParty'sdutiesshallinclude,butnotbelimitedto:16.2.1ConductingduediligenceontheProperty16.2.2Assistinginthenegotiationanddraftingofthecontract16.2.3Providingexpertadviceandservicesasrequired17.LimitationofLiabilityforThirdParties17.1GeneralLimitationTheliabilityofanyThirdPartyforanyactoromissioninconnectionwiththiscontractshallbelimitedtothescopeofservicesithasbeenengagedtoperformandthefeesreceivedforsuchservices.17.2ExclusionofLiabilityTheliabilityofanyThirdPartyforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththiscontractshallbeexcludedtothefullestextentpermittedlaw.17.3IndemnificationThepartiesshallindemnifyandholdharmlesstheThirdPartyagainstanyclaims,actions,orproceedingsbroughtagainsttheThirdPartyanythirdpartyarisingoutoforinconnectionwiththeperformanceofitsdutiesunderthiscontract.18.ThirdParty'sRights18.1RighttoBePaidTheThirdPartyshallhavetherighttobepaidfortheservicesrenderedinaccordancewiththeagreedfeesandexpenses.18.2RighttoInformationTheThirdPartyshallhavetherighttorequestandreceivefromthepartiesanyinformationnecessarytoperformitsdutiesunderthiscontract.18.3RighttoBeInformedTheThirdPartyshallhavetherighttobeinformedofanychangesordevelopmentsthatmayaffecttheperformanceofitsdutiesunderthiscontract.19.DivisionofResponsibilities19.1SellerandBuyerTheSellerandtheBuyershallremainprimarilyresponsiblefortheobligationsanddutiessetforthinthiscontract.19.2ThirdPartyTheThirdPartyshallperformitsdutiesasspecifiedinitsappointmentandshallnotbedeemedapartytothiscontract.19.3ThirdParty'sRelationshipwithOtherParties20.TerminationofThirdPartyEngagement20.1ByAgreementThepartiesmayterminatetheengagementofaThirdPartyatanytimemutualagreement.20.2ByNoticeThepartiesmayterminatetheengagementofaThirdPartyproviding[NumberofDays]writtennoticetotheThirdParty.20.3ByBreachIfaThirdPartybreachesitsdutiesunderthiscontract,thepartiesmayterminatetheengagem
