英文國際運輸合同范本

InternationalTransportationContract

ThisInternationalTransportationContract(the"Contract")isenteredintothis[insertdate]dayof[insertmonth],[insertyear],byandbetween[InsertNameofShipper],a[InsertShipper'sCountry]corporationwithitsprincipalplaceofbusinessat[InsertShipper'sAddress](hereinafterreferredtoas"Shipper"),and[InsertNameofCarrier],a[InsertCarrier'sCountry]corporationwithitsprincipalplaceofbusinessat[InsertCarrier'sAddress](hereinafterreferredtoas"Carrier").

WHEREAS,ShipperdesirestoengageCarriertotransportcertaingoods(the"Goods")from[InsertPlaceofOrigin]to[InsertPlaceofDestination],andCarrieragreestoprovidesuchtransportationservicesuponthetermsandconditionssetforthherein.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:

1.ServicestobeProvided

CarrieragreestotransporttheGoodsfromtheplaceoforigintotheplaceofdestinationasspecifiedbyShipper,usingthemodeoftransportationagreeduponbybothparties.Thetransportationservicesshallbeperformedinasafe,efficient,andtimelymanner,inaccordancewiththehigheststandardsofthetransportationindustry.

2.DescriptionofGoods

TheGoodstobetransportedaredescribedas[InsertDescriptionofGoods],andaretobepackedin[InsertTypeofPackaging],unlessotherwisespecifiedbyShipper.ThetotalweightoftheGoodsisestimatedtobe[InsertEstimatedWeight]kilograms,andthetotalvolumeisestimatedtobe[InsertEstimatedVolume]cubicmeters.

3.ShipmentSchedule

TheGoodsshallbereadyforpickupbyCarrierattheplaceoforiginonorbefore[InsertDate],andCarriershallmakebesteffortstotransporttheGoodstotheplaceofdestinationwithin[InsertNumber]daysfromthedateofpickup.

4.ChargesandPaymentTerms

Thetotalchargeforthetransportationservicesshallbe[InsertTotalCharge],whichincludesallcostsrelatedtothetransportationoftheGoods,includingbutnotlimitedtofuel,labor,andanyapplicabletaxesandfees.PaymentshallbemadebyShippertoCarrierupondeliveryoftheGoodsattheplaceofdestination,unlessotherwiseagreeduponinwritingbybothparties.

5.Insurance

CarriershallmaintaininsurancecoverageforthetransportationoftheGoodsinanamountnotlessthan[InsertInsuranceAmount]pershipment.Shippermay,atitsownexpense,obtainadditionalinsurancecoveragefortheGoodsifdesired.

6.PackagingandMarking

ShippershallensurethattheGoodsareproperlypackedandmarkedfortransportation,inaccordancewithallapplicablelawsandregulations,andinamannerthatwillprotecttheGoodsfromdamageduringtransit.CarriershallnotberesponsibleforanydamagetotheGoodscausedbyimproperpackingormarkingbyShipper.

7.DeliveryandAcceptance

Uponarrivalattheplaceofdestination,CarriershallnotifyShipperofthearrivaloftheGoodsandshallmaketheGoodsavailableforpickupordeliverytotheconsigneedesignatedbyShipper.ShipperoritsdesignatedconsigneeshallacceptdeliveryoftheGoodswithin[InsertNumber]businessdaysofnotificationbyCarrier.

8.ClaimsandLimitationsofLiability

IntheeventofanylossordamagetotheGoodsduringtransit,ShippershallprovidewrittennoticeoftheclaimtoCarrierwithin[InsertNumber]daysofthedeliveryoftheGoods.Carrier'sliabilityforanylossordamagetotheGoodsshallbelimitedto[InsertLimitationAmount]pershipment,unlessShipperdeclaresahighervaluefortheGoodsandpaystheadditionalchargesrequiredbyCarrierforsuchhighervalue.

9.ForceMajeure

CarriershallnotbeliableforanydelayorfailuretoperformitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,terrorism,riots,civilcommotion,governmentaction,laborstrikes,orshortagesoffuelorlabor.

10.CompliancewithLaws

BothpartiesagreetocomplywithallapplicablelawsandregulationsrelatedtothetransportationoftheGoods,includingbutnotlimitedtocustomsregulations,importandexportrestrictions,andsafetyregulations.

11.Confidentiality

Eachpartyagreestomaintaintheconfidentialityofallnon-publicinformationobtainedfromtheotherpartyinconnectionwiththisContract,andshallnotdisclosesuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

12.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningLawJurisdiction],withoutregardtoitsconflictoflawsprovisions.

13.DisputeResolution

AnydisputearisingoutoforrelatedtothisContractshallberesolvedthroughbindingarbitrationin[InsertCityofArbitration],inaccordancewiththerulesof[InsertArbitrationOrganization].Thearbitrator'sdecisionshallbefinalandbindingonbothparties,andjudgmentupontheawardrenderedbythearbitratormaybeenteredinanycourthavingjurisdictionthereof.

14.Severability

IfanyprovisionofthisContractisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

15.EntireAgreement

ThisContractconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereof,andsupersedesallpriororcontemporaneousagreements,understandings,orrepresentations,whetherwrittenororal.

16.Amendments

ThisContractmaynotbeamendedormodifiedexceptbyawrittenagreementsignedbybothparties.

17.Assignment

NeitherpartymayassignitsrightsordelegateitsobligationsunderthisContractwithoutthepriorwrittenconsentoftheotherparty.

18.Notices

Allnotices,requests,demands,andothercommunicationsunderthisContractshallbeinwritingandshallbedeemedtohavebeendulygivenifdeliveredpersonallyorsentbycertifiedmail,returnreceiptrequested,totheaddressessetforthbelow,ortosuchotheraddressesaseitherpartymayspecifyinwriting:
