2025年度跨境股權(quán)轉(zhuǎn)讓合同英文翻譯與執(zhí)行細(xì)則本合同共三部分組成，僅供學(xué)習(xí)使用，第一部分如下：2025ANNUALCROSSBORDERSHARESTRANSFERAGREEMENTENGLISHTRANSLATIONANDEXECUTIONSPECIFICATIONSPARTI:RECITALSWHEREAS,theSeller(“Seller”)isalegalentityregisteredandexistingunderthelawsof___________,havingitsprincipalplaceofbusinessat___________(hereinafterreferredtoasthe“Seller’sAddress”);WHEREAS,theBuyer(“Buyer”)isalegalentityregisteredandexistingunderthelawsof___________,havingitsprincipalplaceofbusinessat___________(hereinafterreferredtoasthe“Buyer’sAddress”);WHEREAS,theSelleristheownerofthesharesoftheCompany(hereinafterreferredtoasthe“Company”)andiswillingtotransfersuchsharestotheBuyer;WHEREAS,theBuyeriswillingtopurchasethesaidsharesfromtheSeller;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesheretoagreeasfollows:PARTII:RECITALS1.DefinitionofTermsForthepurposesofthisAgreement,thefollowingtermsandexpressionsshallhavethemeaningsassignedtothembelow:b.“Shares”meansallsharesoftheCompanycurrentlyheldtheSeller,includingbutnotlimitedtothefollowingdetails:___________;c.“Consideration”meansthetotalamountofmoneyagreeduponthepartiesforthetransferoftheShares,whichis___________(currencyandamount);e.“ClosingDate”meansthedateonwhichthetransferoftheSharesshallbelegallyeffective,whichis___________;f.“RegulatoryApprovals”meansallnecessaryapprovals,consents,andclearancesrequiredanygovernmentalorregulatoryauthorityforthetransferoftheShares;PARTIII:AGREEMENT1.TransferofShares2.ConsiderationTheConsiderationforthetransferoftheSharesis___________(currencyandamount).TheBuyershallpaytheConsiderationtotheSellerontheClosingDate.3.RegulatoryApprovalsThepartiesagreethatthetransferoftheSharesshallbesubjecttoallapplicablelaws,regulations,andrequirementsofanygovernmentalorregulatoryauthority.TheSellershalluseitsbesteffortstoobtainallnecessaryRegulatoryApprovalspriortotheClosingDate.IftheSellerfailstoobtaintheRegulatoryApprovals,theBuyershallhavetherighttoterminatethisAgreementwithoutanyliabilitytotheSeller.4.RepresentationsandWarrantiesa.TheSellerrepresentsandwarrantsthat:(i)IthasfulllegalauthorityandcapacitytoenterintothisAgreementandtotransfertheShares;(ii)TheSharesarefreeandclearofanyliens,encumbrances,orotherrestrictions;(iii)ThetransferoftheShareswillnotresultinaviolationofanylaw,regulation,oragreementtowhichtheSellerisaparty;(iv)IthasdisclosedtotheBuyerallmaterialfactsandinformationconcerningtheCompanyandtheShares;b.TheBuyerrepresentsandwarrantsthat:(i)IthasfulllegalauthorityandcapacitytoenterintothisAgreementandtopurchasetheShares;(ii)ItwillusetheSharesforlawfulpurposesonly;(iii)Itwillnotviolateanylaw,regulation,oragreementinconnectionwiththepurchaseoruseoftheShares;5.ConfidentialityThepartiesagreetokeepconfidentialallinformationdisclosedeitherpartytotheotherinconnectionwiththisAgreement,includingbutnotlimitedtothetermsofthisAgreement,thedetailsofthetransaction,andanyotherbusinessinformation.TheconfidentialityobligationshallsurvivetheterminationorexpirationofthisAgreement.6.ForceMajeure7.GoverningLawandJurisdictionThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof___________.AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof___________.PARTIV:AMENDMENTSANDWVERS1.AnyamendmentormodificationofthisAgreementshallbeeffectiveonlyifitisinwritingandissignedbothparties.2.NowaivereitherpartyofanybreachordefaultunderthisAgreementshallbedeemedawaiverofanyotherbreachordefault,whetherofasimilarordifferentnature.PARTV:ENTIREAGREEMENTThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedatefirstabovewritten._______________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________________
