2.TermandDuration
ThisContractshallbeeffectivefrom[StartDate]to[EndDate],unlessotherwiseterminatedinaccordancewiththeprovisionsofthisContract.
3.ScopeofServices
PartyAshallprovidetheServicesasoutlinedintheattachedScopeofServicesdocument(hereinafterreferredtoasthe"ScopeofServices").
4.FeesandPaymentTerms
ThetotalfeefortheServicesshallbe[TotalFeeAmount](hereinafterreferredtoasthe"Fees").PartyBshallpaytheFeestoPartyAinaccordancewiththepaymenttermssetforthintheattachedPaymentScheduledocument(hereinafterreferredtoasthe"PaymentSchedule").
5.DeliveryandPerformance
PartyAshalldelivertheServicesinaccordancewiththeschedulesetforthintheattachedDeliveryScheduledocument(hereinafterreferredtoasthe"DeliverySchedule").
6.Confidentiality
Bothpartiesagreetomaintaintheconfidentialityofanyandallconfidentialinformationdisclosedtothembytheotherparty,exceptasotherwiseprovidedbyapplicablelaworasrequiredbyacourtofcompetentjurisdiction.
7.WarrantiesandIndemnification
PartyAwarrantsthattheServicesshallbeprovidedinaprofessionalandworkmanlikemanner,freefromdefectsandinaccordancewiththespecificationssetforthintheScopeofServices.PartyAshallindemnifyandholdharmlessPartyBagainstanyandallclaims,damages,liabilities,orlossesarisingfromorinconnectionwiththeServices.
8.Termination
ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchterminationoccurswithin[NoticePeriod]daysfromthereceiptofthenotice.
9.GoverningLawandJurisdiction
ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].AnydisputesarisingoutoforinconnectionwiththisContractshallberesolvedthrougharbitrationin[Location],inaccordancewiththerulesofthe[ArbitrationInstitution].
10.EntireAgreement
ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,negotiations,understandings,andcommitments,whetherwrittenororal,relatingtothesubjectmatterofthisContract.

3.RightsandObligationsofPartyA
3.1.PartyAshallhavetherighttorequestPartyCtoprovidetheThird-PartyServicesasagreeduponinthisContract.
3.2.PartyAshallhavetherighttoinspectandapprovethequalityandtimelinessoftheThird-PartyServicesprovidedbyPartyC.
3.3.PartyAshallhavetherighttoterminatethisContractandseekdamagesifPartyCfailstomeettheagreed-uponstandardsoftheThird-PartyServices.
4.RightsandObligationsofPartyB
4.1.PartyBshallhavetherighttoreceivetheServicesfromPartyAinaccordancewiththeagreed-uponspecificationsandqualitystandards.
4.2.PartyBshallhavetherighttorequestPartyAtorectifyanydefectsordeficienciesintheServiceswithinareasonabletimeframe.
4.3.PartyBshallhavetherighttoterminatethisContractandseekdamagesifPartyAfailstoprovidetheServicesasagreedupon.
5.RightsandObligationsofPartyC
5.1.PartyCshallhavetherighttoreceivepaymentfortheThird-PartyServicesrenderedunderthisContract.
5.2.PartyCshallhavetherighttorequestPartyAtoprovidenecessaryinformationandresourcestofacilitatetheprovisionoftheThird-PartyServices.
5.3.PartyCshallhavetherighttoterminatethisContractandseekdamagesifPartyAfailstofulfillitsobligationsunderthisContract.
6.FeesandPaymentTerms

8.TerminationandConsequences
8.1.ThisContractmaybeterminatedbyeitherPartyAorPartyBuponwrittennoticetotheotherparty,providedthatsuchterminationoccurswithin[NoticePeriod]daysfromthereceiptofthenotice.
8.2.Intheeventoftermination,PartyAshallbeentitledtoclaimdamagesfromPartyBforanylossesincurredduetotheterminationofthisContract.

9.GoverningLawandJurisdiction

10.EntireAgreement

Inconclusion,theinvolvementofPartyCasathird-partyproviderinthisContractservestoenhancethequalityandefficiencyoftheServicesprovidedbyPartyAtoPartyB.ByprioritizingtherightsandinterestsofPartyA,thisContractensuresthatPartyAmaintainscontroloverthequalityanddeliveryoftheServices,whilealsoprovidingPartyCwiththenecessaryrightsandprotectionstofulfillitsobligations.ThepurposeofthisContractistoestablishaclearframeworkfortheprovisionofServices,ensuringthatPartyA'sinterestsaresafeguardedandthatPartyBreceivestheServicesasagreedupon.

4.1.PartyAshallhavetheobligationtodelivertheGoodstoPartyBinaccordancewiththeSpecificationandwithintheagreed-upontimeframe.
4.2.PartyAshallhavetheobligationtoprovidesupportandassistancetoPartyBintheeventofanytechnicalissuesrelatedtotheGoods.
4.3.PartyAshallhavetheobligationtocomplywithanyapplicablelawsandregulationsgoverningthesupplyoftheGoods.
5.RightsandObligationsofPartyC
5.1.PartyCshallhavetherighttoprovidetheGoodstoPartyAaspertherequirementsofthisContract.
5.2.PartyCshallhavetherighttorequestpaymentfortheGoodsfromPartyAupondelivery.
5.3.PartyCshallhavetherighttoterminatethisContractandseekdamagesifPartyAfailstomaketimelypaymentsfortheGoods.
6.FeesandPaymentTerms
