e."ForceMajeure"meansaneventoraseriesofeventsbeyondthereasonablecontrolofeitherParty,whichpreventsthePartyfromfulfillingitsobligationsunderthisContract;

2.ScopeofWork

PartyAshall,atitsownexpenseandrisk,performallthenecessaryengineering,procurement,andconstructionservicesrequiredtocompletetheProjectinaccordancewiththeagreedspecifications,standards,andtimeschedule.

3.ContractPrice

TheContractPricefortheProjectshallbe[AmountinCurrency]andshallbepayableasfollows:

6.Liability

a.PartyAshallindemnifyandholdharmlessPartyBagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeexecutionoftheProject,exceptforthosearisingoutofthenegligenceorwillfulmisconductofPartyB;

b.PartyBshallindemnifyandholdharmlessPartyAagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeProject,exceptforthosearisingoutofthenegligenceorwillfulmisconductofPartyA.

7.ForceMajeure

IntheeventofForceMajeure,eitherPartymaybeexcusedfromfulfillingitsobligationsunderthisContractforthedurationoftheForceMajeureevent,providedthattheaffectedPartyshallpromptlynotifytheotherPartyoftheoccurrenceoftheForceMajeureeventandshalluseitsbesteffortstomitigatetheeffectsofsuchevent.

8.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisContractshallbesettledthroughamicablenegotiationsbetweentheparties.Ifthepartiesfailtoreachanagreementthroughnegotiations,thedisputeshallbesubmittedtoarbitrationinaccordancewiththerulesofthe[NameofArbitrationInstitution].

9.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].

5.RightsandObligationsofPartyB

b.PartyBshallprovidePartyAwithregularprogressreportsandupdatesonthestatusoftheProject.

c.PartyBshallcomplywithallapplicablelaws,regulations,andcodesintheexecutionoftheProject.

6.RightsandObligationsofThirdParty

a.ThirdPartyshallprovideConsultancyServicestoPartyAinaccordancewiththeagreedscopeofwork.

b.ThirdPartyshallactingoodfaithanduseitsbesteffortstoprovideaccurateandtimelyadvicetoPartyA.

c.ThirdPartyshallnotdiscloseanyconfidentialinformationofPartyAtoanythirdpartywithoutthepriorwrittenconsentofPartyA.

7.LimitationsofLiabilityandIndemnity

a.PartyBshallindemnifyandholdharmlessPartyAagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeexecutionoftheProject,exceptforthosearisingoutofthenegligenceorwillfulmisconductofPartyA;

b.ThirdPartyshallindemnifyandholdharmlessPartyAagainstanyandallclaims,losses,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeConsultancyServices,exceptforthosearisingoutofthenegligenceorwillfulmisconductofPartyA.

8.TerminationandConsequences

a.ThisContractmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty,intheeventofabreachofanymaterialtermofthisContractbytheotherParty.

b.UponterminationofthisContract,PartyBshallceaseallworkontheProject,andPartyAshallpayPartyBfortheworkperformeduptothedateoftermination.

9.GoverningLaw

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
