1.ScopeofSupply

1.2Thegoodssuppliedshallcomplywiththerelevantlaws,regulations,andindustrystandardsinforceatthetimeofsupply.
2.DeliveryandAcceptance
2.1PartyAshalldeliverthegoodstoPartyBatthedeliveryaddressspecifiedintheSchedule.
2.2PartyBshallacceptthegoodsupondelivery,andifanydefectsorshortagesarefound,PartyBshallpromptlynotifyPartyAinwritingwithin[specifythetimeperiod]afteracceptance.
2.3Incaseofnon-compliancewiththespecifications,quality,quantity,ordeliveryschedule,PartyAshall,atitsownexpense,replaceorrepairthenon-compliantgoodswithin[specifythetimeperiod]afterreceivingthenotificationfromPartyB.
3.PriceandPayment
3.1Thepriceofthegoodsshallbe[specifytheprice],unlessotherwiseagreeduponbytheparties.
3.2PaymentshallbemadebyPartyBtoPartyAwithin[specifythetimeperiod]afterthegoodsaredeliveredandacceptedbyPartyB,inaccordancewiththepaymenttermsspecifiedintheattachedPaymentSchedule(hereinafterreferredtoasthe"PaymentSchedule").
4.IntellectualPropertyRights
4.1PartyAwarrantsthatithasallnecessaryrights,licenses,andpermissionstosupplythegoodstoPartyB.
4.2PartyBagreesnottoinfringeupontheintellectualpropertyrightsofPartyAduringthetermofthisContract.
5.ForceMajeure
5.1NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisContractduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,war,strikes,labordisputes,governmentactions,andunforeseenevents.
6.Confidentiality
6.1Thepartiesagreetokeepconfidentialanyandallinformation,includingtechnical,commercial,andbusinessinformation,disclosedbyeitherpartytotheotherpartyduringthetermofthisContract.
7.Termination
7.1ThisContractmaybeterminatedbyeitherpartyupon[specifythecircumstancesfortermination]byprovidingwrittennoticetotheotherparty.
7.2UponterminationofthisContract,thepartiesshallpromptlysettleanyoutstandingobligationsanddisputesarisingfromtheperformanceofthisContract.
8.GoverningLawandDisputeResolution
8.1ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[specifythejurisdiction].

2.2PartyAshallacceptthegoodsupondelivery,andifanydefectsorshortagesarefound,PartyAshallpromptlynotifyPartyBinwritingwithin[specifythetimeperiod]afteracceptance.
2.3PartyCshallensurethesafeandtimelytransportationandstorageofthegoods,andshallbeliableforanylossordamageincurredduringthetransportationprocess.

5.2PartyCshallprovidePartyAwithregularreportsonthetransportationandstoragestatusofthegoods.
5.3PartyCreservestherighttoadjustthetransportationandstoragefeesincaseofchangesinthemarketconditionsortransportationroutes.
6.PartyA'sRightsandInterests
6.1PartyAshallhavetherighttorequestPartyBandPartyCtoprovideanynecessaryinformationordocumentationtoverifythequality,quantity,anddeliveryofthegoods.
