NOWTHEREFOREthisAgreementwitnessesthat,forgoodandvaluableconsideration,thereceiptandsufficiencyofwhichisherebyacknowledgedbyPurchaserandVendor,thePartiescovenantandagreewitheachotherasfollows:為此，鑒于善意的有價約因（特此確認，該約因已被接受且內(nèi)容充分），買賣雙方達成如下協(xié)議，以資信守：NOWTHEREFORE,inconsiderationofthepremises,representations,warranties,covenants,andundertakingsofthepartieshereinaftersetforth,andforothergoodandvaluableconsideration,thepartiesagreeamongthemselvesasfollows:鑒于上述事實和各方在下文所做的陳述、保證、立約和承諾，及其它有效的有價約因，現(xiàn)各方達成協(xié)議如下：Courtofcompetentjurisdiction具有管轄權(quán)的法院Beneficialinterest實益權(quán)益Equity(inequity/equitable)衡平法Tort/tortious侵權(quán)行為（侵權(quán)的）Strictliability(美國侵權(quán)法中的)嚴格責任Encumbrance,lien財產(chǎn)留置權(quán)，扣押權(quán)Royalty礦區(qū)（土地）使用費Conveyance,assignment,transfer讓與、轉(zhuǎn)讓TheheadingsofArticles,SectionsandSubsectionsinthisAgreementareforconvenienceofreferenceonlyandshallnotaffecttheconstructionorinterpretationofthisAgreement.本協(xié)議各條、款和項各標題僅為參閱方便而設(shè)，不應(yīng)影響本協(xié)議的解釋或說明。Objection異議Workexpeditiouslyandingoodfaith以誠信的態(tài)度通力合作Befinalandbindingupontheparties為終局性的，且對雙方具有約束力Pre-emptiveright優(yōu)先購買權(quán)Indemnify,defendandsaveharmlessPurchaserfromandagainst…應(yīng)賠償買方，使買方免受損害，并為其進行抗辯Subrogation代位求償權(quán)AnynoticesogivenshallbedeemedtohavebeengivenandreceivedonthefirstBusinessDayonwhichitispresentedduringnormalbusinesshoursattheaddressforserviceoftheaddresseethereof,or,inthecaseofadirectfacsimiletelecommunication,onthedayonwhichitistransmitted,iftransmittedpriortoorduringnormalbusinesshoursonaBusinessDay,oronthefirstBusinessDayfollowingthedayonwhichitistransmitted,iftransmittedotherwise.任何通過此等方式遞送的通知均應(yīng)在正常營業(yè)時間發(fā)出后的第一個營業(yè)日被視為發(fā)出和送達；對于通過傳真發(fā)出的，如果在營業(yè)日正常營業(yè)時間之前或之時發(fā)出，發(fā)出之日即視為送達，如果在其他時間發(fā)出，在發(fā)出后的第一個營業(yè)日即視為送達。ThedocumentsconstitutingthisContractshallbetakenasmutuallyexplanatoryandintheeventofanyconflictbetweeneachdocument,theorderofpriorityforinterpretationshallbesubjecttotheorderlistedabove,exceptasexpresslyagreedtothecontrary.組成合同的各項文件應(yīng)互相解釋，互為說明。如果各文件之間出現(xiàn)矛盾，除非有相反的約定，否則，組成合同的文件的優(yōu)先解釋順序應(yīng)為上述順序。Thefollowingdocumentsshallbedeemedtobeanintegralpartof“EPCGeneralContractforReservoirProjectofOilWharfProjectunderMyanmar-ChinaOilPipelineProject”(hereinafterreferredtoasthe“Contract”)andconstruedasifexpresslyincorporatedherein:下列文件應(yīng)視為“中緬原油管道原油碼頭水庫工程EPC總承包合同”（簡稱“合同”）的組成部分，且應(yīng)被解釋為本協(xié)議的一部分。adheringtotheprinciplesofequality,voluntariness,fairness,honestyandtrust遵循平等、自愿、公平和誠實信用的原則InthisContract,theEmployerandtheContractorshallbereferredtocollectivelyasthe“Parties”andindividuallyas“Party”.業(yè)主和承包商在本合同項下統(tǒng)稱為“雙方”，單獨稱為“一方”。Addition/modification/alteration補充、修改、變更Legalsuccessor法定繼承人Fromtimetotime有時Staff/labour/employee/personnel職員、工人、雇員、人員Onoroffthesite在現(xiàn)場內(nèi)外Executionofworks實施工程Asthecasemaybe視情況而定Takeover接收Defectsnotificationperiod缺陷通知期限Remedyingofdefects缺陷修補Foreigncurrency外幣Provisionalsum暫列金額Retentionmoney保留金Shallnotbeunreasonablywithheldordelayed不得無故被扣壓或拖延Priorityofdocuments文件的優(yōu)先次序ThedocumentsformingtheContractaretobetakenasmutuallyexplanatoryofoneanother.Forthepurposeofinterpretation,thepriorityofthedocumentsshallbeinaccordancewiththefollowingsequence:構(gòu)成合同的文件應(yīng)視為互作說明的。為了解釋目的，文件的優(yōu)先次序如下：inthecustodyandcareof由xxx保存和照管Errorordefectofatechnicalnature技術(shù)性錯誤或缺陷BothPartiesshalltreatthedetailsoftheContractasprivateandconfidential,excepttotheextentnecessarytocarryoutobligationsunderitortocomplywithapplicablelaws.除了根據(jù)合同履行義務(wù)和遵守適用法律的需要外，雙方應(yīng)將合同的詳情視為私人的和秘密的。ThisAgreementandallitsappendicesshallconstitutetheentireagreementbetweenthePartieswithrespecttothesubjectmattersetforthhereinandsupersedeanyandallpreviousoralandwrittendiscussions,negotiations,notices,memoranda,documents,agreements,contractsandcommunicationsbetweenthePartiesrelatingtosuchsubjectmatter.
