NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thePrincipalandtheAgentherebyagreeasfollows:

1.EXCLUSIVEAGENCY:TheAgentagreestoactasthePrincipal'sexclusiveagentforthesaleoftheProperties,andthePrincipalagreestodealwiththeAgentexclusivelyinconnectionwiththesaleoftheProperties.

2.COMMISSION:TheAgentshallbeentitledtoreceiveacommission(hereinafterreferredtoas"theCommission")foreachPropertysoldduringthetermofthisContract.TheCommissionshallbecalculatedasfollows:

-Complywithallapplicablelaws,regulations,andstandards.

6.TERMINATION:ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeisgiven____________dayspriortotheterminationdate.Intheeventoftermination,theAgentshallbeentitledtoreceivetheCommissionforanyPropertiessoldpriortotheterminationdate.

8.DISPUTERESOLUTION:IntheeventofanydisputearisingoutoforinconnectionwiththisContract,thepartiesagreetoattempttoresolvesuchdisputethroughgoodfaithnegotiations.Ifthepartiesareunabletoresolvethedisputeamicably,theyshallsubmitthemattertoarbitrationinaccordancewiththerulesofthe[nameofarbitrationinstitution].

6.LIMITATIONSANDRESTRICTIONS:

-TheAgentagreesnottodiscloseanyconfidentialinformationofthePrincipalortheThirdPartytoanythirdpartywithoutpriorwrittenconsent.

-TheAgentagreesnottoengageinanyactivitiesthatcouldconflictwiththePrincipal'sortheThirdParty'sinterests.

-ThePrincipalagreesnottosolicittheAgent'sservicesdirectlyorindirectlyduringthetermofthisAgreementwithouttheconsentoftheAgent.

7.BREACHOFCONTRACT:

-IntheeventofabreachofthisAgreementbythePrincipal,theAgentshallhavetherighttoterminatetheAgreementimmediatelyandwithoutnotice.
