2025中信銀行企業(yè)貸款合同英文翻譯ThisLoanAgreement(the"Agreement")isenteredintoonthisdayof_,2025,byandbetween(the"Borrower"),whoseprincipalplaceofbusinessislocatedat_,and,分行ofChinaCITICBankCo.,Ltd.,whoseprincipalofficeislocatedat(the"Lender").1.LoanDetails1.1PrincipalAmountTheLenderagreestoextendaloantotheBorrowerintheamountof(the"LoanAmount").1.2PurposeofLoanTheBorroweragreesthattheproceedsoftheLoanshallbeusedsolelyforthepurposeofandshallnotbedivertedforanyotherpurposewithoutthepriorwrittenconsentoftheLender.1.3TermofLoanThetermoftheLoan(the"Term")shallbefromthedateofthisAgreementuntil,2025,unlessotherwiseextendedorterminatedinaccordancewiththetermshereof.1.4InterestRateTheLoanshallbearinterestattherateofperannum(the"InterestRate").TheinterestshallbecalculatedontheoutstandingprincipalbalanceandshallaccruefromthedateofdisbursementoftheLoan.1.5RepaymentScheduleTheBorrowershallrepaytheLoaninaccordancewiththefollowingschedule:RegularMonthlyPayments:TheBorrowershallmakemonthlypaymentsofeach,dueonthedayofeachmonth,commencing,2025,withthefirstpaymentdueon,2025.FinalPayment:Theoutstandingprincipalbalanceandanyaccruedinterestorotherfeesshallbedueandpayableon,2025.2.ConditionsPrecedentTheobligationsoftheLenderunderthisAgreementaresubjecttothefollowingconditions:2.1DocumentationTheBorrowershalldelivertotheLender,onorbeforethedateofthefirstdisbursement,alldocuments,agreements,andwritingsreasonablyrequestedbytheLender,includingbutnotlimitedtoanyorganizationaldocuments,resolutions,andlegalopinions.2.2RepresentationsandWarrantiesAllrepresentationsandwarrantiesmadebytheBorrowerinthisAgreementshallbetrue,accurate,andcompleteinallmaterialrespectsonthedateofthisAgreementandonthedateofanydisbursement.2.3NoDefaultTheBorrowershallnotbeindefaultunderanyotheragreementwiththeLenderoranyotherparty.3.Covenants3.1AffirmativeCovenantsTheBorroweragreesto:a.Maintainitsexistence,rights,andprivilegesinfullforceandeffect.b.Preserveandmaintainitsassetsandpropertiesingoodcondition,reasonablewearandtearexcepted.c.Timelyfileallrequiredfinancialstatementsandreportswiththeappropriategovernmentalauthorities.d.CooperatewiththeLenderandprovidesuchaccess,information,anddocumentationastheLendermayreasonablyrequest.3.2NegativeCovenantsTheBorroweragreesthat,withoutthepriorwrittenconsentoftheLender,itwillnot:a.Incurorassumeanyadditionalindebtednessorliabilities,whethersecuredorunsecured.b.Createorpermittoexistanylien,securityinterest,orotherencumbranceuponanyofitsassets.c.Makeanymaterialchangeinitsbusinessorconductofoperations.d.Disposeofanyofitsmaterialassetswithoutreplacementofequivalentvalue.e.Enterintoanytransactionwithanyaffiliatethatisnotonanarm's-lengthbasis.4.EventsofDefaultandRemedies4.1EventsofDefaultAnEventofDefaultshalloccurifanyofthefollowingoccurs:a.TheBorrowerfailstomakeanypaymentunderthisAgreementwhendue,whetheratmaturityorotherwise,andsuchfailurecontinuesforaperiodoften(10)daysafterwrittennotice.b.TheBorrowerbreachesanycovenantoragreementcontainedinthisAgreement.c.AnyrepresentationorwarrantymadebytheBorrowerprovestobeuntrueinanymaterialrespect.d.TheBorrowerbecomesinsolvent,filesforbankruptcy,orhasareceivership,liquidation,orothersimilarproceedingcommencedorinstitutedagainstit.4.2RemediesUpontheoccurrenceofanyEventofDefault,theLendermaytakesuchactionsasitdeemsnecessaryorappropriate,includingbutnotlimitedto:a.AcceleratingthematurityoftheLoan.b.RequiringtheBorrowertorepaytheoutstandingprincipalbalance,accruedinterest,andanyotheramountsowedunderthisAgreement.c.Enforcinganyrightsorremediesavailableatlaworinequity.5.PrepaymentTheBorrowermayprepaytheLoanatanytimewithoutpenalty,subjecttothefollowingterms:a.Prepaymentsshallbeappliedtoreducetheoutstandingprincipalbalance.b.TheBorrowershallprovidewrittennoticeofanyprepaymentatleastthirty(30)dayspriortothedateofsuchprepayment.c.Prepaymentsshallbeaccompaniedbyaccruedinterestontheprincipalamountbeingprepaiduptothedateofprepayment.6.ChangestotheAgreement6.1AmendmentsAnyamendmentstothisAgreementmustbeinwritingandsignedbybothparties.6.2WaiversAnywaiverofanyprovisionofthisAgreementshallbeinwritingandsignedbythepartyagainstwhomthewaiverissoughttobeenforced.Nowaivershallbeconstruedasawaiverofanyotherprovisionorasawaiverofanyrightorremedy.7.GoverningLawandDisputeResolution7.1GoverningLawThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.7.2DisputeResolutionAnydisputesarisingoutoforrelatingtothisAgreementshallberesolvedthroughfriendlynegotiationsbetweentheparties.Ifnegotiationsfail,thedisputesshallbesubmittedtotheCourtinforresolution.8.Miscellaneous8.1EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallpriornegotiations,understandings,andagreements,whetheroralorwritten.8.2CounterpartsThisAgreementmaybeexecutedincounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.8.3SeverabilityIfanyprovisionofthisAgreementisfoundtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.8.4NoticesAllnotices,requests,demands,orothercommunicationsrequiredorpermittedunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulyg
