CancellationAgreement

ThisCancellationAgreement(the"Agreement")ismadeandenteredintoasof[date]byandbetween[PartyAname],a[PartyAentitytype]organizedandexistingunderthelawsof[PartyAjurisdiction](hereinafterreferredtoas"PartyA"),and[PartyBname],a[PartyBentitytype]organizedandexistingunderthelawsof[PartyBjurisdiction](hereinafterreferredtoas"PartyB").

Recitals

WHEREAS,PartyAandPartyBenteredintoa[Contractname](the"OriginalContract")on[Originalcontractdate];

WHEREAS,bothpartiesnowdesiretocanceltheOriginalContractinitsentiretyandtosetforththetermsandconditionsforsuchcancellation.

Agreement

1.CancellationoftheOriginalContract

-PartyAandPartyBherebymutuallyagreetocanceltheOriginalContract,effectiveasofthedateofthisAgreement.AllrightsandobligationsofthepartiesundertheOriginalContractshallceaseandterminateasoftheeffectivedateofthisAgreement,exceptasotherwiseprovidedherein.

2.ReturnofConsideration

-Ifeitherpartyhasreceivedanyconsideration(suchaspayments,goods,orservices)fromtheotherpartypursuanttotheOriginalContract,thereceivingpartyshallreturnsuchconsiderationtothepayingpartywithin[numberofdays]daysoftheexecutionofthisAgreement.

-Inthecaseofpayments,thereturnshallbemadebywiretransfertothefollowingaccount:[Accountdetails].Inthecaseofgoods,thereceivingpartyshallarrangeforthereturnofthegoodstothelocationdesignatedbythepayingpartyatthereceivingparty'sexpense.

3.ReleaseofClaims

-Eachpartyherebyreleasesandforeverdischargestheotherparty,itsaffiliates,officers,directors,employees,agents,andrepresentativesfromallclaims,causesofaction,liabilities,damages,losses,andexpensesofeverykindandnature(includingbutnotlimitedtoattorneys'feesandcourtcosts)thatmayhavearisenorcouldhavearisenoutoforinconnectionwiththeOriginalContract.

4.Confidentiality

-ThepartiesacknowledgethatduringthetermoftheOriginalContract,theymayhavehadaccesstocertainconfidentialinformationoftheotherparty.EachpartyshallcontinuetobeboundbyanyconfidentialityobligationsitmayhavehadundertheOriginalContractwithrespecttosuchconfidentialinformation,andshallnotdisclosesuchconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.

5.EntireAgreement

-ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,oralorwritten,relatingtothesame.

6.AmendmentsandWaivers

-Noamendment,modification,orwaiverofanyprovisionofthisAgreementshallbeeffectiveunlessinwritingandsignedbybothparties.

7.GoverningLaw

-ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Governinglawjurisdiction].

8.Severability

-IfanyprovisionofthisAgreementisheldtobeinvalid,illegal,orunenforceable,thevalidity,legality,andenforceabilityoftheremainingprovisionsshallnotinanywaybeaffectedorimpaired.
