ThisDelegationAgreement("Agreement")ismadeandenteredintoasof[Date],byandbetween[Delegator'sFullLegalName],of[Delegator'sAddress],hereinafterreferredtoas"Delegator,"and[Delegate'sFullLegalName],of[Delegate'sAddress],hereinafterreferredtoas"Delegate,"collectivelyreferredtoasthe"Parties."

1.Recitals

WHEREAS,Delegatorisengagedin[describethenatureofDelegator'sbusinessoractivities],anddesirestodelegatecertainresponsibilitiesanddutiestoDelegateinordertofacilitatetheefficientoperationofDelegator'sbusinessoractivities;

WHEREAS,Delegateisacapableandexperiencedindividualwhoiswillingtoassumetheresponsibilitiesanddutiesasoutlinedherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:

2.ScopeofDelegation

2.1SubjecttothetermsandconditionsofthisAgreement,DelegatorherebydelegatestoDelegatethefollowingresponsibilitiesandduties:

ToactastherepresentativeofDelegatorinallmattersrelatedto[specifictasksorareasofresponsibility];

TomakedecisionsonbehalfofDelegatorwithinthescopeofauthoritygrantedbythisAgreement;

ToexecutecontractsandagreementsonbehalfofDelegator,subjecttotheapprovalofDelegator;

Tosuperviseandmanage[specificdepartmentsorprojects];

ToperformanyothertasksordutiesasmaybereasonablyrequiredbyDelegatorfromtimetotime.

2.2Delegateshallusethebestoftheireffortstoperformthedelegatedresponsibilitiesanddutieswithduecareanddiligence.

3.AuthorityandLimitations

3.1DelegateshallhavetheauthoritytoactonbehalfofDelegatorwithinthescopeoftheresponsibilitiesanddutiesdelegatedherein,butsuchauthorityshallnotexceedtheexpresstermsofthisAgreement.

3.2Delegateshallnot,withoutthepriorwrittenconsentofDelegator,enterintoanyagreements,contracts,orcommitmentsthatbindDelegatororthatwouldrequiretheconsentofDelegatorunderthetermsofthisAgreement.

3.3DelegateshallnotmakeanystatementsorrepresentationsonbehalfofDelegatorthatarefalse,misleading,orcontrarytoDelegator'spoliciesorinterests.

4.Compensation

4.1InconsiderationofDelegate’sservicesunderthisAgreement,DelegatorshallpayDelegateafeeof[amount]permonth,payableonthe[specificdate]ofeachmonth.

4.2Delegateshallalsobeentitledto[anyothercompensationsuchasbonuses,commissions,orreimbursementsforexpenses].

4.3Allpaymentsshallbemadeby[methodofpayment,e.g.,check,electronictransfer,etc.].

5.Termination

5.1ThisAgreementmaybeterminatedbyeitherPartyupon[specifynoticeperiod]writtennoticetotheotherParty.

5.2Intheeventoftermination,Delegateshallimmediatelyreturnallproperty,documents,andinformationprovidedbyDelegatortoDelegate.

5.3Upontermination,Delegateshallbeentitledtoanyunpaidcompensationduefortheperiodpriortotermination.

6.Confidentiality

6.1DelegateagreestokeepstrictlyconfidentialallconfidentialinformationofDelegator,includingbutnotlimitedtotradesecrets,customerlists,andbusinessplans.

6.2DelegateshallnotuseanyconfidentialinformationforanypurposeotherthantheperformanceoftheirdutiesunderthisAgreement.

6.3TheconfidentialityobligationsshallsurvivetheterminationorexpirationofthisAgreement.

7.Indemnification

7.1DelegateagreestoindemnifyandholdharmlessDelegatorfromandagainstanyandallclaims,actions,suits,damages,liabilities,costs,andexpensesarisingfromDelegate’sactsoromissionsintheperformanceoftheirdutiesunderthisAgreement.

8.GeneralProvisions

8.1ThisAgreementconstitutestheentireagreementbetweenthePartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterhereof.

8.2ThisAgreementmaybeamendedormodifiedonlybywrittenagreementsignedbybothParties.

8.3IfanyprovisionofthisAgreementisheldtobeinvalidorunenforceable,theremainingprovisionsshallremaininfullforceandeffect.

8.4ThisAgreementshallbegovernedbyandconstruedinacc
